Dalam rangka memenuhi ketentuan Peraturan Otoritas Jasa Keuangan Republik Indonesia (“OJK”) No.
31/POJK.04/2015 tentang Keterbukaan atas Informasi atau Fakta Material oleh Emiten atau Perusahaan
Publik sebagaimana telah diubah sebagian dengan Peraturan OJK No. 45 Tahun 2024 tentang Pengembangan
dan Penguatan Emiten dan Perusahaan Publik (“POJK No. 31/2015”), dengan ini kami, PT Mulia Boga Raya
Tbk. bermaksud untuk menyampaikan penjelasan atas laporan informasi atau fakta material sebagai berikut:
In compliance with the provisions of the Regulation of the Financial Services Authority of the Republic of
Indonesia (“OJK”) No. 31/POJK.04/2015 on Disclosure of Material Information or Facts by Issuers or Public
Companies, as partially amended by OJK Regulation No. 45 of 2024 on the Development and Strengthening of
Issuers and Public Companies (“OJK Regulation No. 31/2015”), we, PT Mulia Boga Raya Tbk., hereby intend
to submit an explanation regarding the report on material information or facts as follows:

Description of Information or Material Facts
1. Surat tertanggal 7 Agustus 2025 perihal penyampaian
pengumuman negosiasi sehubungan dengan rencana
perubahan pengendalian Perseroan yang disampaikan
oleh suatu perusahaan yang didirikan berdasarkan
hukum Negara Prancis (“Bel”) kepada Perseroan; dan
2. Surat tertanggal 7 Agustus 2025 yang disampaikan oleh
PT Garudafood Putra Putri Jaya Tbk. (“GPPJ”) kepada
Perseroan dengan melampirkan salinan Surat
Keterbukaan Informasi Nomor 015/KI/LGL/VIII/2025
tertanggal 7 Agustus 2025 yang disampaikan oleh GPPJ
kepada OJK.
Perseroan menerima informasi bahwa:
a. oleh dan antara GPPJ (selaku pemegang saham
pengendali Perseroan) dan Bel telah menandatangani
Framework Agreement pada tanggal 6 Agustus 2025
(“Perjanjian”) terkait rencana kerja sama strategis
yang dapat mengakibatkan Bel, secara bersama-sama
dengan GPPJ, menjadi pengendali Perseroan.
Berdasarkan ketentuan dalam Perjanjian dan dengan
tunduk kepada syarat dalam Perjanjian, Bel akan
memperoleh hak-hak pengelolaan tertentu atas
Perseroan yang memungkinkan Bel, bersama-sama
dengan GPPJ, untuk menentukan kebijakan keuangan
dan operasional Perseroan. Perjanjian baru akan
berlaku efektif setelah dipenuhinya persyaratan
sebagaimana diatur dalam Perjanjian; dan
b. tujuan dari penandatanganan Perjanjian adalah untuk
menciptakan kolaborasi antara Bel dan GPPJ dalam
mengembangkan bisnis keju Perseroan di Indonesia
melalui pengembangan produk keju yang inovatif oleh
Perseroan, dengan memanfaatkan keahlian dan
kemampuan inovasi Bel dalam kategori keju dan
camilan berbahan dasar keju.
Perseroan bukan merupakan pihak dalam Perjanjian dan
saat ini tidak memiliki hubungan afiliasi dengan Bel.

Based on:
1. letter dated August 7, 2025, regarding submission of
negotiation announcement in relation to the proposed
change of control of the Company delivered by Bel to the
Company; and
2. letter dated August 7, 2025, delivered by GPPJ to the
Company, attaching a copy of the Information
Disclosure Letter No. 015/KI/LGL/VIII/2025 dated
August 7, 2025 submitted by GPPJ to the OJK.
The Company received information:
a. that by and between GPPJ (as a controlling shareholder
of the Company) and Bel, a Framework Agreement (the
“Agreement”) was signed on August 6, 2025, regarding
a proposed strategic partnership that may result in Bel,
together with GPPJ, becoming joint controllers of the
Company. Pursuant to the provisions of the Agreement
and subject to the conditions as set out in the Agreement,
Bel will obtain certain governance rights over the
Company which would enable Bel, together with GPPJ, to
determine the Company’s financial and operational
policies. The Agreement will become effective after
fulfillment of the conditions as set out in the Agreement;
and
b. the purpose of signing the Agreement is to foster
collaboration between Bel and GPPJ to expand the
Company’s cheese business in Indonesia through the
development of innovative cheese products by the
Company, by leveraging Bel’s expertise and innovation
capabilities within the cheese and cheese snacking
categories.
The Company is not a party to the Agreement and currently
does not have any affiliated relationship with Bel.
Dampak kejadian, informasi atau fakta material : Penandatanganan Perjanjian antara GPPJ dan Bel tidak
tersebut terhadap kegiatan operasional, memiliki dampak langsung terhadap kegiatan operasional
hukum, kondisi keuangan, atau kelangsungan dan kondisi keuangan bagi Perseroan. Namun, Perseroan
usaha Emiten atau Perusahaan Publik yakin bahwa kehadiran Bel sebagai pemegang saham baru

The signing of the Agreement between GPPJ and Bel does not
have a direct impact on the Company's operational activities
and financial condition. However, the Company believes that
Bel's presence as a new shareholder of the Company will
provide significant long-term contributions and value to all
of the Company's stakeholders.
The Company is enthusiastic for the objective of potential
collaboration in developing and expanding the Company's
business with the support of GPPJ and Bel.

affiliated transaction as referred to in OJK Regulation No.
42/POJK.04/2020 on Affiliated Transactions and Conflict of
Interest Transactions, nor as material transaction pursuant
to OJK Regulation No. 17/POJK.04/2020 on Material
Transactions and Change of Business Activities.
