45 Tahun 2024 tentang Pengembangan dan Penguatan Emiten dan Perusahaan Publik (“POJK 45”),
(iii) Keputusan Direksi BEI No. Kep-00066/BEI/09-2022, Perubahan Peraturan No. I-E tentang
Kewajiban Penyampaian Informasi, (iv) Peraturan OJK No. 17/POJK.04/2020 tentang Transaksi
Material Dan Perubahan Kegiatan Usaha (“POJK 17”) dan (v) Peraturan OJK No. 42 Tahun 2020
tentang Transaksi Afiliasi dan Transaksi Benturan Kepentingan (“POJK 42”), dengan ini kami PT
Sarana Menara Nusantara Tbk (“Perseroan”), menyampaikan Keterbukaan Informasi atas Transaksi
Material sebagai berikut:
To comply with the (i) OJK Regulation No. 31/POJK.04/2015 on Disclosure of Material Information or
Facts by Issuers or Public Companies (“POJK 31”), (ii) Financial Services Authority Rule No. 45 Year
2024 Concerning the Development and Strenghtening of Issuers and Public Companies (“POJK 45”)
(iii) the IDX Board of Directors Decree No. Kep-00066/BEI/09-2022, Amendment to Regulation No. I-E
on Obligation to Submit Information, (iv) Financial Services Authority Rule No. 17/POJK.04/2020
Concerning Material Transactions And Alteration Of Business Activities (“POJK 17”) and (v) Financial
Services Authority Rule No.42/POJK.04/2020 concerning Affiliated Transactions and Conflict of Interest
(“POJK 42”), we, PT Sarana Menara Nusantara Tbk (the “Company”), hereby submit a Disclosure on

3. Objek dan Nilai Perseroan mengambil bagian atas seluruh saham baru yang dikeluarkan oleh
Transaksi / Object Protelindo melalui peningkatan modal dasar, modal ditempatkan dan disetor

4. Penjelasan, Peningkatan Modal sebagaimana disebutkan di atas sesuai dengan rencana
Pertimbangan dan penggunaan dana dari hasil pelaksanaan Penambahan Modal Dengan
Alasan Memberikan Hak Memesan Efek Terlebih Dahulu (“PMHMETD”) Perseroan yang
dilakukannya baru saja selesai dilaksanakan.

7. Keterangan lain- 1. Transaksi merupakan transaksi material sebagaimana dimaksud dalam POJK
lain / Other 17, dengan mengingat bahwa nilai Transaksi yaitu mencapai lebih dari 20%,
information namun kurang dari 50% ekuitas Perseroan berdasarkan Laporan Keuangan
Perseroan yang diaudit per tanggal 31 Desember 2024 dan Laporan Keuangan
Perseroan yang ditelaah secara terbatas per tanggal 31 Maret 2025. Transaksi
merupakan transaksi material yang dikecualikan sebagaimana dimaksud dalam
Pasal 11 huruf a/ The Transaction is a material transaction as referred to in
POJK 17, i.e., the value of the Transaction exceeds 20%, but less than 50% of
the equity of the Company based on the audited Financial Statement as of
December 31, 2024 of the Company and the limited review Financial Statement
as of March 31, 2025 of the Company.
2. Transaksi merupakan transaksi afiliasi sebagaimana dimaksud dalam Pasal 6
ayat (1) huruf b POJK 42, yaitu transaksi antara Perusahaan terbuka dengan
perusahaan terkendali yang sahamnya dimiliki paling sedikit 99% dari modal
disetor Perusahaan terkendali/ The Transaction is an affiliated transaction as
referred to Article 6 paragraph (1) letter b POJK 42, namely transactions
between a public company and a controlled company whose shares are owned
by at least 99% of the issued and paid-up capital of the controlled company.
3. Transaksi tersebut di atas bukan merupakan transaksi benturan kepentingan
bagi Perseroan sebagaimana diatur dalam POJK 42/ The above transaction
does not constitute conflicts of interest for the Company as stipulated in POJK
42.
Dewan Komisaris dan Direksi Perseroan dengan ini menyatakan bahwa / The Board of Commissioners
and Directors of the Company hereby declares that:
1. Transaksi bukan merupakan transaksi benturan kepentingan bagi Perseroan sebagaiman diatur
dalam POJK 42/ The Transaction is not a conflict-of-interest transaction of the Company as referred
to POJK 42.
2. Keterbukaan Informasi ini telah memuat seluruh informasi material yang benar dan tidak
menyesatkan/ This Disclosure contains material information which is true and not misleading.
Sesuai dengan Pasal 8 pada POJK 31, keterbukaan informasi ini juga merupakan pemenuhan ketentuan
dalam POJK 31 / According to POJK 31, this Disclosure is also made to comply with the provision under
POJK 31 jo POJK 45.
