Description of Material Information or (I) The Company has received a resignation letter from Mr.
Facts Rogelio Paulino Jr. Castillo Lao in his capacity as Director of
the Company, dated 29 July 2025.
(II) The resignation of the member of the Board of Directors of
the Company as referred to in point (I) above shall become
effective as of the date of approval by the Extraordinary
General Meeting of Shareholders (EGMS) of the Company
that resolves to approve such resignation.
