Latar Belakang Pengambilalihan Pengendali Baru mengambil alih Perusahaan Sasaran
dengan tujuan untuk memperluas jangkauan usaha

rencana ekspansi grup Pengendali Baru. Melalui
sinergi dengan Pengendali Baru, Perusahaan Sasaran
akan memperoleh dukungan finansial, manajerial, dan
infrastruktur yang diperlukan untuk mendorong
pertumbuhan usaha perkebunan yang berkelanjutan,
meningkatkan daya saing, serta memperkuat tata
kelola dan arah strategis Pengendali Baru dalam
menghadapi peluang dan tantangan industri ke depan

Disclosure of Information regarding mandatory tender offer by new controlling shareholder is as follows:
Mandatory Tender Offer Background The New Controller acquired the Target Company
with the aim of expanding the New Controller
business reach in the palm oil plantation sector.
The New Controller is an investment holding
company that is 100% owned by AEP Plantations
Plc, which has been engaged in the palm oil
plantation business since 1985. Accordingly, the
acquisition is strategically aligned with the New
Controller group expansion plan. Through synergy
with the New Controller, the Target Company will
obtain the financial, managerial, and infrastructure
support necessary to drive sustainable plantation
business growth, increase competitiveness, and
strengthen the New Controller governance and
strategic direction in facing future industry
opportunities and challenges

directly or indirectly owned by new controlling shareholder
New Controlling Shareholder Profile that will conduct The New Controller is a private company
