Indonesia No. Kep-00066/BEI/09-2022 regarding the Amendment to Regulation No. I-E on Obligation

The proposed acquisition of the Company’s shares owned
by PT Suwarna Arta Mandiri (the Company’s majority
shareholder), Bridge Leed Limited (shareholder of
17,51%) and several other minority shareholders of the
Company (“Sellers”) by PT Saka Industrial Arjaya
(“Purchaser”).
3. Uraian Informasi atau Fakta Material / : Perseroan menerima pemberitahuan tertulis dari Pembeli
Description of Material Information or pada tanggal 22 Juli 2025 (“Pemberitahuan”) bahwa
Facts pada tanggal 21 Juli 2025 Pembeli dan Para Penjual telah
menandatangani Perjanjian Jual Beli Saham Bersyarat
(“Perjanjian Bersyarat”), yang mana Pembeli berencana
untuk membeli saham milik Para Penjual di Perseroan
yang mewakili kurang lebih 83,67% dari modal
ditempatkan dan disetor Perseroan. Penyelesaian
transaksi berdasarkan Perjanjian Bersyarat tunduk pada
dipenuhinya seluruh persyaratan pendahuluan dalam
Perjanjian Bersyarat.
Apabila transaksi berdasarkan Perjanjian Bersyarat
tersebut diselesaikan, pengendalian Perseroan akan
beralih kepada Pembeli. Sebagaimana disampaikan
dalam Pemberitahuan, Pembeli sebagai pengendali baru
akan melaksanakan Penawaran Tender Wajib sesuai
dengan ketentuan dalam Peraturan OJK No.
9/POJK.04/2018 tentang Pengambilalihan Perusahaan
Terbuka dan ketentuan di bidang pasar modal yang
berlaku.
The Company received written notification from the
Purchaser on 22 July 2025 (“Notification”) that on 21 July
2025 the Purchaser and the Sellers have entered into a
Conditional Share Purchase Agreement (“CSPA”), in
which the Purchaser plans to purchase shares owned by
the Sellers representing approximately 83.67% of the
issued and paid-up capital of the Company. Completion of
the transaction based on CSPA is subject to fulfillment of
all conditions precedent in the CSPA.
If the transaction based on CSPA is completed, such
completion will result in the transfer of control over the
Company to the Purchaser. As stated in the Notification,
the Purchaser as the new controller will conduct
Mandatory Tender Offer in accordance with the provisions
of OJK Regulation No. 9/POJK.04/2018 on Acquisition of
Public Company and prevailing capital market
regulations.
