Dalam Rangka Rencana Penambahan Modal Dengan
Memberikan Hak Memesan Efek Terlebih Dahulu
Uraian Informasi atau Fakta Material Perseroan berencana untuk melakukan PMHMETD dalam
jumlah sebanyak-banyaknya 4.800.000.000 (empat miliar
delapan ratus juta) saham baru atau sebesar maksimum
23,31% (dua puluh tiga koma tiga satu persen) dari jumlah
seluruh saham yang ditempatkan dan disetor penuh dalam
Perseroan, yang akan diterbitkan dari saham portopel
Perseroan dengan nilai nominal Rp 50 (lima puluh Rupiah) per
saham
Dampak kejadian, informasi atau fakta PMHMETD dilakukan untuk memperkuat struktur permodalan
material tersebut terhadap kegiatan Perseroan sehingga memberikan Perseroan tambahan dana
operasional, hukum, kondisi keuangan, untuk mendukung kinerja Perseroan. Apabila pemegang
atau kelangsungan usaha Emiten atau saham Perseroan tidak melaksanakan hak memesan efek
Perusahaan Publik terlebih dahulu yang dimiliki olehnya dalam PMHMETD, maka
kepemilikan pemegang saham Perseroan tersebut akan
terkena dilusi dengan persentase maksimum sebesar 18,90%
(delapan belas koma sembilan nol persen) dari jumlah
kepemilikan sahamnya di Perseroan

Type of Material Information or Facts Shareholders of PT Bukit Uluwatu Villa Tbk in Relation to The
Proposed Capital Increase with Pre-Emptive Rights
Description of Material Information or The Company plans to conduct a Rights Issue of up to
Facts 4,800,000,000 (four billion eight hundred million) new shares
or a maximum of 23.31 percent (twenty three point three one
percent) of the total issued and fully paid-up shares of the
Company, which will be issued from the Company portfolio
shares with a nominal value of IDR 50 (fifty Rupiah) per share
Impact of event, material information or The Rights Issue is carried out by the Company to strengthen
facts towards Issuers or Public its capital structure, providing additional funds to support the
Company’s operational activities, legal, Company performance. If the Company shareholders do not
financial condition, or going concern exercise their pre-emptive rights in the Capital Increase, their
shareholding in the Company will be diluted by a maximum
percentage of 18.90% (eighteen point nine zero percent) of
their total share ownership in the Company
