tentang Pengembangan dan Penguatan Emiten dan Perusahaan Publik (“POJK 45”);

Material Facts Multi Global (“BACH”) dan Laporan Perubahan Kepemilikan
Saham yang disampaikan oleh para pemegang saham BACH,
yakni PT Global Telekomunikasi Prima (“GTP”) dan PT Bach

Multi Sukses Investama (“BMSI”), pada tanggal 14 Juli 2026: (i)
GTP, pemegang saham pengendali BACH yang merupakan
anak perusahaan yang seluruh sahamnya (baik langsung
maupun tidak langsung) dimiliki oleh Perseroan, dan (ii) BMSI
telah menandatangani Perjanjian Penutupan (“Perjanjian
Penutupan” atau “Transaksi”) sehubungan dengan
pelaksanaan Perjanjian Opsi yang ditandatangani oleh para
pihak pada tanggal 7 Januari 2026. / In accordance with the
Information Disclosure published in the Initial Public Offering
Prospectus of PT Bach Multi Global (“BACH”) and the Report
of Changes in Share Ownership submitted by the shareholders
of BACH, namely PT Global Telekomunikasi Prima (“GTP”) and
PT Bach Multi Sukses Investama (“BMSI”), on July 14, 2026: (i)
GTP, the controlling shareholder of BACH which is a subsidiary
wholly owned (directly and indirectly) by the Company, and (ii)
BMSI have signed a Closing Agreement (“Closing Agreement”
or “Transaction”) in connection with the execution of the Option
Agreement signed by the parties on 7 January 2026.
Berdasarkan Perjanjian Penutupan, BMSI telah setuju untuk
menjual dan mengalihkan kepemilikannya atas 1.042.227.300
(satu miliar empat puluh dua juta dua ratus dua puluh tujuh ribu
tiga ratus) saham BACH, atau sekitar 25,52% dari total modal
ditempatkan dan disetor BACH, kepada GTP. / Pursuant to the
Closing Agreement, BMSI has agreed to sell and transfer its
ownership of 1,042,227,300 (one billion forty-two million two
hundred twenty-seven thousand three hundred) shares in
BACH or approximately 25.52% of BACH's total issued and
paid-up capital, to GTP.
Setelah pelaksanaan Transaksi, susunan pemegang saham
BACH menjadi sebagai berikut: /
