(“NPR”)
Keterbukaan Informasi ini dibuat dan dilakukan dalam rangka memenuhi ketentuan Peraturan
Otoritas Jasa Keuangan (“POJK”) No. 32/POJK.04/2015 tentang Penambahan Modal Perusahaan
Terbuka Dengan Memberikan Hak Memesan Efek Terlebih Dahulu, sebagaimana diubah dengan
POJK No. 14/POJK.04/2019 tentang Perubahan atas POJK No. 32/POJK.04/2015 tentang
Penambahan Modal Perusahaan Terbuka Dengan Memberikan Hak Memesan Efek Terlebih Dahulu
(“POJK 14/2019”), khususnya Pasal 43A.
This Information Disclosure is made and conducted in compliance with the Financial Services
Authority (Otoritas Jasa Keuangan) Regulation (“POJK”) No. 32/POJK.04/2015 on Capital Increase
of Public Companies with Pre-emptive Rights as amended by the POJK No. 14/POJK.04/2019 on
Amendment of POJK No. 32/POJK.04/2015 on Capital Increase of Public Companies with Pre-
emptive Rights (“POJK 14/2019”), especially Article 43A.
Keterbukaan Informasi ini penting untuk diperhatikan oleh para pemegang saham Perseroan dan
merupakan satu kesatuan dengan keterbukaan informasi sehubungan dengan rencana PMTHMETD
yang telah diumumkan oleh Perseroan pada tanggal 20 Mei 2025 dan 24 Juni 2025
(“Keterbukaan Informasi PMTHMETD”).
This Information Disclosure is important to be considered by the shareholders of the Company and
is an integral part of the information disclosure in connection with the proposed NPR that have been
announced by the Company on 20 May 2025 and 24 June 2025 (“NPR Information Disclosure”).

Dengan merujuk kepada Pasal 43A POJK 14/2019 dan Keterbukaan Informasi PMTHMETD,
Perseroan dengan ini mengumumkan bahwa Perseroan akan melaksanakan PMTHMETD dengan
menerbitkan 1.175.000.000 (satu milyar seratus tujuh puluh lima juta) saham baru Seri B dengan nilai
nominal Rp100,- (seratus Rupiah) per lembar saham (“Saham Baru”) dengan jadwal pelaksanaan
sebagai berikut:
Referring to the Article 43A of POJK 14/2019 and NPR Information Disclosure, the Company hereby
announces that the Company will carry out NPR, by issuing 1,175,000,000 (one billion one hundred
seventy five million) new series B shares with a nominal value of Rp100.- (one hundred Rupiah) per
share (“New Shares”) with the following implementation schedule:

The announcement of the NPR implementation results 16 July 2025
Seluruh Saham Baru tersebut akan diambil bagian oleh PT Bakrie Capital Indonesia yang merupakan
pihak terafiliasi dari Perseroan.
All of the New Shares will be subscribed by PT Bakrie Capital Indonesia which is an affiliated party of
the Company.
Sifat Hubungan Afiliasi.
Nature of Affiliation.
PT Bakrie Capital Indonesia (“BCI”) merupakan pihak terafiliasi dengan Perseroan, dimana Perseroan
dan BCI sama-sama dikendalikan, baik secara langsung maupun tidak langsung oleh pihak yang sama,
yakni Kelompok Usaha Bakrie. BCI saat ini juga merupakan pemegang saham Perseroan. Dengan
demikian, pengambilanbagian saham Perseroan oleh BCI dalam PMTHMETD merupakan suatu
transaksi afiliasi sebagaimana dimaksud dalam POJK No. 42/POJK.04/2020 tentang Transaksi Afiliasi
dan Transaksi Benturan Kepentingan (“POJK 42/2020”). Namun, sesuai Pasal 44B POJK 14/2019,
Perseroan dikecualikan untuk mengikuti ketentuan POJK 42/2020.
PT Bakrie Capital Indonesia (“BCI”) is an affiliated party of the Company, because both the Company
and BCI are controlled, either directly or indirectly, by the same party, which is the Bakrie Group. BCI is
also currently a shareholder of the Company. Therefore, BCI’s participation in the Company’s NPR
constitutes an affiliated transaction as referred to in POJK No. 42/POJK.04/2020 on Affiliated
Transactions and Conflict of Interest Transactions (“POJK 42/2020”). However, pursuant to Article 44B
of POJK 14/2019, the Company is exempted from complying with the provisions of POJK 42/2020.

Explanation, Consideration, and Rationale for the Capital Increase by an Investor Who Is an
Affiliated Party Compared to If It Were Conducted by a Non-Affiliated Party
PMTHMETD ini dilakukan oleh pemodal yang merupakan pihak terafiliasi dengan pertimbangan bahwa
komitmen yang diperoleh dari BCI untuk melakukan penambahan modal ini memungkinkan Perseroan
untuk segera memperoleh dana hasil pelaksanaan PMTHMETD, sehingga Perseroan dapat segera
merealisasikan rencana bisnis sesuai penggunaan dana yang ditargetkan.
This NPR is exercised by affiliated parties based on consideration that the commitments obtained from
BCI to participate in this capital increase enable the Company to immediately obtain the proceeds from
the NPR, hence allowing the Company to realize its business plans in accordance with the intended use
of proceed.

Sehubungan dengan pelaksanaan PMTHMETD, Perseroan telah memperoleh persetujuan dari para
pemegang saham Perseroan sesuai dengan Pasal 8A POJK 14/2019 melalui Rapat Umum Pemegang
Saham Luar Biasa (“RUPSLB”) Perseroan pada tanggal 26 Juni 2025 sebagaimana dituangkan dalam
Ringkasan Risalah RUPSLB Perseroan tanggal 1 Juli 2025.
In connection with the NPR implementation, the Company has obtained the approval from the
shareholders of the Company pursuant to Article 8A of POJK 14/2019 through the Extraordinary General
Meeting of Shareholders (“EGMS”) of the Company on 26 June 2025 as set forth in the EGMS Minutes
of Meeting Summary dated 1 July 2025.
PMTHMETD akan dilakukan dengan harga pelaksanaan Rp288,- (dua ratus delapan puluh delapan
Rupiah) per saham. Penentuan harga pelaksanaan PMTHMETD tersebut sesuai dengan ketentuan
V.1.1 Lampiran II Surat Keputusan Direksi PT Bursa Efek Indonesia Nomor Kep-00101/BEI/12-2021
perihal Perubahan Peraturan Nomor I-A tentang Pencatatan Saham dan Efek Bersifat Ekuitas Selain
Saham yang Diterbitkan oleh Perusahaan Tercatat.
NPR will be implemented at the exercise price of Rp288.- (two hundred eighty eight Rupiah) per share.
The determination of the exercise price of NPR is in accordance with the provisions of V.1.1 Appendix
II Decree of Board of Directors of Indonesia Stock Exchange Number Kep-00101/BEI/12-2021 on the
Amendment of the Rule Number I-A on Listing of Shares and Non-Share Equity Securities Issued by a
Listed Company.
Setelah pelaksanaan PMTHMETD, jumlah modal ditempatkan dan modal disetor penuh Perseroan
akan meningkat menjadi 25.996.230.250 (dua puluh lima milyar sembilan ratus sembilan puluh enam
juta dua ratus tiga puluh ribu dua ratus lima puluh) saham atau sebesar Rp6.896.466.604.000,- (enam
triliun delapan ratus sembilan puluh enam miliar empat ratus enam puluh enam juta enam ratus empat
ribu Rupiah).
After the implementation of NPR, the Company’s fully issued and paid-up capital will increase to
25,996,230,250 (twenty five billion nine hundred ninety six million two hundred thirty thousand two
hundred fifty) shares or amounting to Rp6,896,466,604,000.- (six trillion eight hundred ninety-six billion
four hundred sixty-six million six hundred four thousand Rupiah).
