Uraian Informasi atau Fakta Material Merujuk pada Laporan Perubahan Kepemilikan Saham yang
disampaikan oleh: (i) para pemegang saham Perseroan, yakni
Verah Wahyudi Singgih Wong (Verah) dan PT Iforte Solusi
Infotek (iForte); serta (ii) Laporan Perubahan Kepemilikan
Saham yang disampaikan oleh PT Profesional Telekomunikasi
Indonesia (Protelindo) seluruhnya pada tanggal 13 Juli 2026,
Perseroan dengan ini memberitahukan adanya perubahan
susunan pemegang saham Perseroan.
Perubahan susunan pemegang saham tersebut di atas, tidak
menyebabkan perubahan Pengendalian dalam Perseroan
sebagaimana dimaksud dalam Peraturan Otoritas Jasa
Keuangan Nomor 9 tahun 2018 tentang Pengambilalihan
Perusahaan Terbuka yaitu bahwa Perseroan tetap
dikendalikan oleh PT Sarana Menara Nusantara Tbk melalui
anak perusahaannya, yaitu Protelindo. Protelindo sendiri
merupakan pemegang 99% saham dalam iForte. Sebagai
pengendali baru Perseroan, iForte telah menyelesaikan
Penawaran Tender Wajib atas saham Perseroan pada tanggal
11 Agustus 2025.
Dampak kejadian, informasi atau fakta Tidak terdapat dampak negatif material terhadap kegiatan
material tersebut terhadap kegiatan operasional, hukum, kondisi keuangan, atau kelangsungan
operasional, hukum, kondisi keuangan, usaha Perseroan sehubungan Transaksi.

Changes in the Companys shareholding composition
Type of Material Information or Facts
Description of Material Information or With reference to the Report on Changes in Share Ownership
Facts submitted by: (i) the Companys shareholders, namely Verah
Wahyudi Singgih Wong (Verah) and PT Iforte Solusi Infotek
(iForte); as well as (ii) the Report on Changes in Share
Ownership submitted by PT Profesional Telekomunikasi
Indonesia (Protelindo) all dated July 13, 2026, the Company
hereby announces a change in the composition of its
shareholders.
The aforementioned changes in the composition of the
Companys shareholders do not result in a change in control of
the Company as referred to in OJK Regulation No. 9 of 2018
regarding Acquisition of Public Companies, whereby the
Company remains controlled by PT Sarana Menara Nusantara
Tbk through its subsidiary, Protelindo. Protelindo itself holds a
99% shareholding in iForte. As the Companys new controlling
party, iForte has completed a Mandatory Tender Offer for the
Companys shares on 11 August 2025.
