Perubahan susunan pemegang saham tersebut di atas, tidak menyebabkan perubahan Pengendalian dalam Perseroan sebagaimana dimaksud dalam Peraturan Otoritas Jasa Keuangan Nomor 9 tahun 2018 tentang Pengambilalihan Perusahaan Terbuka yaitu bahwa Perseroan tetap dikendalikan oleh PT Sarana Menara Nusantara Tbk melalui anak perusahaannya, yaitu Protelindo. Protelindo sendiri merupakan pemegang 99Yo saham dalam iForte. Sebagai pengendali baru Perseroan, iForte telah menyelesaikan Penawaran Tender Wajib atas saham Perseroan pada tanggal 11 Agustus 2025. With reference to the Report on Changes in Share Ownership submitted by: (i) the Company's shareholders, namely Verah Wahyudi Singgih Wong (“Verah”) and PT Iforte Solusi Infotek (“UForte”): as well as (ii) the Report on Changes in Share Ownership submitted by PT Profesional Telekomunikasi Indonesia (“Protelindo”) all dated July 13, 2026, the Company hereby announces a change in the composition of its shareholders. The aforementioned changes in the composition of the Company's shareholders do not result in a change in control of the Company as referred to in OJK Regulation No. 9 of 2018 regarding Acguisition of Public Companies, whereby the Company remains controlled by PT Sarana Menara Nusantara Tbk through its subsidiary, Protelindo. Protelindo itself holds a 9945 shareholding in iForte. As the Company's new controlling party, iForte has completed a Mandatory Tender Offer for the Company's shares on 11 August 2025. Pada tanggal 13 Juli 2026, masing-masing Verah dan iForte (masing-masing bertindak sebagai Penjual) dan Protelindo (bertindak sebagai Pembeli) telah menandatangani Perjanjian Jual Beli Saham (“Transaksi”) dengan rincian sebagai berikut: (a) Perjanjian Jual Beli Saham antara Verah (sebagai Penjual) dan Protelindo (sebagai Pembeli) atas 151.250.000 saham atau yang mewakili sekitar 11Y6 dari modal ditempatkan dan disetor Perseroan, dan (b) Perjanjian Jual Beli Saham antara iForte (sebagai Penjual) dan Protelindo (sebagai Pembeli) atas 550.000.900 saham atau yang mewakili sekitar 40”o dari modal ditempatkan dan disetor Perseroan. On July 13, 2026, Verah and iForte (each of the respective party as the Seller) and Protelindo (as the Purchaser), have signed Shares Sale and Purchase Agreements (the “Transaction”), with the following details: (a) A Share Purchase Agreement between Verah (as the Seller) and Protelindo (as the Buyer) for 151,250,000 Shares, representing approximately 1146 of the Company's issued and paid-in capital: and (b) A Share Purchase Agreement between iForte (as the Seller) and Protelindo (as the Buyer) for 550,000,900 Shares, representing approximately 404 of the Company's issued and paid-in capital.
