Uraian Informasi atau Fakta Material Pada tanggal 30 Juni 2025, KAI telah menerbitkan sebanyak
1.457.688 (satu juta empat ratus lima puluh tujuh ribu enam
ratus delapan puluh delapan) saham baru dengan total
nominal sebesar Rp1.457.688.000.000,- (satu triliun empat
ratus lima puluh tujuh miliar enam ratus delapan puluh delapan
juta Rupiah) (untuk selanjutnya disebut sebagai Saham Baru).
Saham Baru tersebut telah diambil bagian oleh Perseroan
sebanyak 182.211 (seratus delapan puluh dua ribu dua ratus
sebelas) saham dengan total nominal sebesar
Rp182.211.000.000,- (seratus delapan puluh dua miliar dua
ratus sebelas juta Rupiah) atau setara dengan
US$11.111.111,- (sebelas juta seratus sebelas ribu seratus
sebelas Dolar Amerika Serikat), dimana pemegang saham
lainnya telah turut mengambil bagian sesuai dengan porsi
kepemilikannya masing-masing atas penerbitan Saham Baru
tersebut, sehingga komposisi pemegang saham KAI menjadi
sebagai berikut:

Total nilai penambahan modal yang dilakukan oleh Perseroan
kepada KAI tersebut adalah sebesar US$11.111.111,-
(sebelas juta seratus sebelas ribu seratus sebelas Dolar
Amerika Serikat) atau setara dengan Rp182.211.000.000,-
(seratus delapan puluh dua miliar dua ratus sebelas juta
Rupiah) dan tidak melebihi batasan nilai transaksi material
sebagaimana dimaksud oleh POJK No.17/POJK.04/2020
tentang Transaksi Material dan Perubahan Kegiatan Usaha
(POJK 17).
Tujuan Transaksi : Sebagai salah satu langkah Perseroan
dalam rangka mendukung hilirisasi mineral logam, tujuan
dilakukannya transaksi tersebut adalah untuk mendukung
pengembangan proyek smelter aluminium milik KAI yang
berlokasi di kawasan industri Kalimantan Industrial Park
Indonesia, Kabupaten Bulungan, Kalimantan Utara, Indonesia.
Melalui smelter aluminium KAI, Perseroan berkontribusi
terhadap program hilirisasi dengan menciptakan nilai tambah
terhadap alumina serta menutupi kesenjangan antara suplai
dan permintaan aluminium.
Dampak kejadian, informasi atau fakta Tidak ada dampak yang tidak menguntungkan terhadap
material tersebut terhadap kegiatan kegiatan operasional, hukum, kondisi keuangan, atau
operasional, hukum, kondisi keuangan, kelangsungan usaha Perseroan.

Description of Material Information or On June 30, 2025, KAI has issued 1,457,688 (one million four
Facts hundred fifty seven thousand six hundred eighty eight) new
shares with a total amount of Rp1,457,688,000,000.- (one
trillion four hundred fifty seven billion six hundred eighty eight
million Rupiah) (hereinafter will be referred to as New Shares).
The New Shares issued has been subscribed by the Company
in the amount of 182,211 (one hundred eighty two thousand
two hundred eleven) shares with a total nominal value of
Rp182,211,000,000,- (one hundred eighty two billion two
hundred eleven million Rupiah) or equivalent to
US$11,111,111.- (eleven million one hundred eleven thousand
one hundred eleven United States Dollars), where the other
shareholders have followed the rights to take part in the
issuance of the New Shares respectively, therefore the
shareholder structure of KAI thereafter became as follows:

The issuance of the New Shares was carried out by making an
injection by the Company to KAI with nominal value of
US$11,111,111,- (eleven million one hundred eleven thousand
one hundred eleven
United States Dollars), or equivalent to Rp182,211,000,000.-
(one hundred eighty two billion two hundred eleven million
Rupiah) and does not exceed the material transaction
threshold referred to in POJK No.17/POJK.04/2020 concerning
Material Transactions and Changes in Business Activities
(POJK 17).
Purpose of transaction : As one of the Company's steps in
supporting the downstreaming of metal minerals, the purpose
of the transaction is to support the development of KAI's
aluminum smelter project located in the Kalimantan Industrial
Park Indonesia industrial area, Bulungan Regency, North
Kalimantan, Indonesia. Through the KAI aluminum smelter, the
Company contributes to the downstream program by creating
added value to alumina and closing the gap between
aluminum supply and demand.
