SHAREHOLDER NOTIFICATION CONCERNING THE COMPANY’S PLAN TO BUY BACK ITS SHARES
The Company plans to conduct a share buyback (“Buyback”) of its issued shares listed on the Indonesia Stock Exchange,
by referring to the Financial Services Authority (“OJK”) Regulation No. 29 of 2023 concerning Share Buybacks by Public
Companies (“OJK Regulation 29/2023”) in conjunction with OJK Regulation No. 13 of 2023 concerning Policies to
Maintain Capital Market Performance and Stability under Significantly Fluctuating Market Conditions (“OJK Regulation
13/2023”) and OJK Circular Letter No. S-17/D.04/2025 dated 18 March 2025 concerning the Policy on the Implementation
of Share Buybacks by Public Companies under Significantly Fluctuating Market Conditions (“OJK Circular 18 March
2025”), for a maximum of 200,000,000 shares or approximately 3.7% of the Company’s issued and fully paid-up capital.

Share Buyback Period
September 2025
The total cost for this Share Buyback is planned to be a maximum of IDR 100,000,000,000 (One Hundred Billion Rupiah),
which will be sourced from the Company’s internal funds. This cost includes the share repurchase price, broker-dealer
commissions, and other expenses related to the Share Buyback.
The number of shares to be repurchased will not exceed 200,000,000 (two hundred million) shares or 3.7% (three point
seven percent) of the Company’s issued and fully paid-up capital.
In accordance with OJK Regulation No. 13/2023, the number of shares to be repurchased shall not exceed 20% (twenty
percent) of the Company’s paid-up capital.
A. ESTIMATED DECREASE IN THE COMPANY’S REVENUE AS A RESULT OF THE IMPLEMENTATION OF
THE SHARE BUYBACK AND IMPACT OF THE SHARE BUYBACK ON THE COMPANY’S FINANCING COSTS
The Company will utilize internal funds for the Share Buyback in the amount of IDR 100,000,000,000 (One Hundred
Billion Rupiah), inclusive of transaction costs. Following the buyback, the Company’s Debt to Equity Ratio is projected
to increase slightly by 0.5%, from 11.8% to 12.3%. Earnings per Share (EPS) is estimated to increase by 3.9%, from
IDR 44.86 per share to IDR 46.63 per share. Return on Equity (ROE) is expected to improve by 0.4%, from 9.0% to
9.4%.
The Company believes that the implementation of the Share Buyback will not have any material adverse impact on its
business operations, considering that the Company has sufficient working capital and healthy cash flows to finance the
transaction while continuing to support its ongoing business activities.

Based on the above proforma, there is no significant change in the Company’s financial indicators because of the Share
Buyback.

B. SHARE PRICE LIMITATION FOR THE REPURCHASE OF THE COMPANY’S SHARES
The Company’s Share Buyback will be carried out at a price deemed fair by the Company, with due regard to the
provisions of OJK Regulation No. 13 of 2023.
TIME LIMITATION FOR THE REPURCHASE OF THE COMPANY’S SHARES
The Share Buyback will be carried out within a period of three (3) months from the date of this Information Disclosure.
C. METHOD OF EXECUTION FOR THE SHARE BUYBACK
The Company’s Share Buyback may be conducted through transactions on the Stock Exchange or off-
exchange in accordance with the applicable regulations. In the event that the Share Buyback is carried out
through the Stock Exchange, it shall be executed through one (1) member of the Stock Exchange.
The following parties:
a) Commissioners, Directors, Employees, and the Company’s Controlling Shareholders;
b) Individuals who, by virtue of their position, profession, or business relationship with the Company, may
obtain insider information; or
c) Parties who, within the last six (6) months, were classified as any of the parties mentioned in items (a) or
(b);
Are prohibited from conducting any purchase and/or sale transactions of the Company’s shares during the
share buyback period or on the same day the Company sells the repurchased shares through the Stock
Exchange.
MANAGEMENT’S DISCUSSION AND ANALYSIS ON THE IMPACT OF THE SHARE BUYBACK
ON THE COMPANY’S BUSINESS ACTIVITIES AND FUTURE GROWTH
Impact on the Company’s Financial Statements:
The Company’s revenue is not expected to decline as a result of the implementation of the share buyback. The share
buyback is anticipated to help maintain the stability of the Company’s share price going forward, particularly since the
current share price does not reflect the Company’s underlying fundamentals and future prospects. Through the buyback,
it is expected that the Company’s shares will experience a more positive price movement.
Impact on Operational Activities:
The Company believes that the execution of the share buyback will not have a material adverse impact on its business
operations, as the Company has sufficient working capital and cash flow to finance the transaction while continuing its
ongoing business activities.
The share buyback is expected to stabilize the Company’s share price during periods of market volatility, while also
reinforcing investor confidence in the fundamental value of the Company’s shares. Furthermore, the share buyback
provides the Company with greater flexibility in managing its long-term capital structure, as treasury shares may be
resold in the future at an optimal value should the Company require additional capital.

D. SOURCE OF FUNDS FOR THE IMPLEMENTATION OF THE SHARE BUYBACK
The source of funding for Share Buyback will be derived from the optimization of the Company’s cash flow. This
funding source complies with Article 5 of OJK Regulation No. 29/2023, which stipulates that:
a. it does not significantly impair the Company’s financial ability to meet its maturing obligations;
b. it utilizes the Company’s internal funds;
c. it does not originate from proceeds of a public offering; and
d. it does not originate from loans and/or any form of indebtedness.
