Uraian Informasi atau Fakta Material Perseroan berencana untuk melakukan PMHMETD dalam
jumlah sebanyak-banyaknya 3.600.000.000 (tiga miliar enam
ratus juta) saham baru atau sebesar maksimum 17,48% (tujuh
belas koma empat delapan persen) dari jumlah seluruh saham
yang ditempatkan dan disetor penuh oleh Perseroan pada
saat tanggal Keterbukaan Informasi ini diterbitkan.
Dampak kejadian, informasi atau fakta PMHMETD dilakukan oleh Perseroan untuk memperkuat
material tersebut terhadap kegiatan struktur permodalan Perseroan sehingga memberikan
operasional, hukum, kondisi keuangan, Perseroan tambahan dana untuk mendukung kinerja
atau kelangsungan usaha Emiten atau Perseroan. Apabila pemegang saham Perseroan tidak
Perusahaan Publik melaksanakan hak memesan efek terlebih dahulu yang dimiliki
olehnya dalam PMHMETD, maka kepemilikan pemegang
saham Perseroan tersebut akan terkena dilusi dengan
persentase maksimum sebesar 14,88% (empat belas koma
delapan delapan persen) dari jumlah kepemilikan sahamnya di
Perseroan.

Type of Material Information or Facts Uluwatu Villa Tbk in Relation to The Proposed Capital Increase
with Pre-Emptive Rights
Description of Material Information or The Company plans to conduct a Rights Issue of up to
Facts 3,600,000,000 (three billion six hundred million) new shares or
a maximum of 17.48% (seventeen point four eight percent) of
the total issued and fully paid-up shares by the Company as of
the date of this Disclosure of the Information is published.
Impact of event, material information or The Rights Issue is carried out by the Company to strengthen
facts towards Issuers or Public its capital structure, providing additional funds to support the
Company’s operational activities, legal, Company's performance. If the Company's shareholders do
financial condition, or going concern not exercise their pre-emptive rights in the Capital Increase,
their shareholding in the Company will be diluted by a
maximum percentage of 14.88% (fourteen point eight eight
percent) of their total share ownership in the Company.
