PT Famon Awal Bros Sedaya Tbk.

Berdasarkan Akta Jual Beli No. 16 tanggal 11 Juni 2025, yang
dibuat di hadapan Dr. Dewi Tenty Septi Artiany, S.H., M.H. M.Kn.,
Notaris di Jakarta Pusat, Perseroan telah melakukan
pembelian/akuisisi saham sebanyak 17.250 (tujuh belas ribu dua
ratus lima puluh) saham atau sebesar 51,0155 (lima puluh satu
koma nol satu persen) bagian dari seluruh saham yang ditempatkan
dan disetor dalam PT Lynas Medikal, dengan nilai
Rp17.250.000.000 (tujuh belas miliar dua ratus lima puluh juta
rupiah) (“Transaksi”). Setelah dilakukan Transaksi, maka
Perseroan akan menjadi pemegang saham pengendali baru dalam
PT Lynas Medikal.

Pursuant to Share Sale and Purchase Deed No. 16 dated 11 June
2025, drawn up before Dr. Dewi Tenty Septi Artiany, S.H., M.H.,
MKn., a Notary in Central Jakarta, the Company has
purchased/acguired 17,250 (seventeen thousand two hundred fifty)
shares or representing 51.014 (fifiy-one point zero one perceni) of"
the total issued and paid-up shares in PT Lynas Medikal, valued at
IDR 17,250,000,000 (seventeen billion two hundred fifty million
rupiah) (the “Transaction ”). Upon complerion of the Transaction,
the Company will become the new controlling shareholder in PT
Lynas Medikal.

Sesuai Perjanjian Jual Beli Saham Bersyarat tanggal 7 Mei 2025,
Perseroan juga akan melaksanakan pembelian saham tambahan,
dalam waktu 1 (satu) bulan setelah tanggal Transaksi, sebanyak
3.380 (tiga ribu tiga ratus delapan puluh) saham dengan nilai
Rp3.380.000.000 (tiga miliar tiga ratus delapan puluh juta rupiah),
sehingga total kepemilikan akhir Perseroan di PT Lynas Medikal
adalah sebesar 6156 (enam puluh satu persen) dari total
keseluruhan saham yang dikeluarkan dan disetor dalam PT Lynas
Medikal.

According to the Conditional Share Purchase Agreement dated 7
May 2025, the Company will also acguire an additional 3,380
(three thousand three hundred eighty) shares within I (one) month
after the Transacrion date, valued at IDR 3,380,000,000 (three
billion three hundred eighty million rupiah), resulting in the
Company $ final ownership in PT Lynas Medikal amounting to
6146 (sixty-one percent) of the total issued and paid-up shares in
PT Lynas Medikal.

Total nilai Transaksi dan pembelian saham tambahan tersebut di
atas adalah sebesar Rp20.630.000.000 (dua puluh miliar enam
ratus tiga puluh juta rupiah), sehingga jumlah total nilai tersebut
tidak memenuhi ketentuan batasan nilai transaksi material
sebagaimana diatur dalam POJK Nomor 17/POJK.04/2020 Tahun
2020 Tentang Transaksi Material dan Perubahan Kegiatan Usaha
(“POJK 17/2020”), di mana nilai transaksi tidak sama dengan
206 (dua puluh persen) atau lebih dari ekuitas Perseroan.

transaction threshold as stipulated in OJK Regulation Number
17/POJK.04/2020 of 2020 concerning Material Transacrions and
Change of Business Activities (“POJK 17/2020”), where the
transaction value is not egual to 2074 (twenty percent) or more of
the Company's eguity.

Lebih lanjut, berdasarkan perhitungan, diperoleh hasil bahwa
rasio-rasio berikut juga tidak mencapai ambang batas 204 (dua
puluh persen):

Dengan demikian, Transaksi tersebut tidak dikategorikan sebagai
transaksi material sebagaimana diatur dalam POJK 17/2020.
Accordingly, the Transaction is not categorized as a material
transaction as stipulated in POJK 17/2020.

Transaksi dilakukan dengan pemegang saham PT Lynas Medikal
yang tidak terafiliasi dengan Perseroan, pemegang saham utama
Perseroan, atau pengendali, atau anggota Direksi, mau pun
anggota Dewan Komisaris Perseroan.

The Transaction was carried out with a shareholder of PT Lynas
Medikal who is not affiliated with the Company, the Companys
principal shareholders, controllers, members of' the Board of
Directors, or members af the Board af Commissioners.

Sesuai dengan tujuan Transaksi. PT Lynas Medikal nantinya akan
menjadi salah satu anak perusahaan Perseroan yang bergerak di
bidang distributor alat-alat kesehatan.
