Referring to the email from the Indonesia Stock Exchange No. S-05539/BEI.PP3/06-2025 dated June 10, 2025,
regarding the Request for Clarification, we hereby provide the following explanation:


1. Transaction value of the acquisition of PT Bank Victoria Syariah (BVIS) by the Company.
Explanation:
The transaction value for the acquisition of PT Bank Victoria Syariah (BVIS) is IDR 1.6 trillion.
2. Basis for determining the transaction value of the acquisition of PT Bank Victoria Syariah (BVIS).
Explanation:
The transaction value was determined based on a valuation prepared by an independent party, namely KJPP
Suwendho Rinaldy & Partner.
3. Strategy and efforts to ensure the transaction, particularly the price determination, was conducted fairly, in
accordance with the arms-length principle, and did not harm minority shareholders.
Explanation:
The Company appointed a consortium of independent consultants to develop a study and strategy for the
transaction, including conducting the valuation, to ensure that the transaction was conducted fairly and in line with
the arms-length principle. The Company confirms that there was no conflict of interest, the price was determined
based on KJPP's valuation, and there was no undue influence or pressure from any party.
4. The Company strategic plans for Its Sharia Business Unit and PT Bank Victoria Syariah (BVIS) following the
acquisition.
Explanation:
Following the acquisition of BVIS, the Company will initiate preparatory steps for the spin off of its Sharia Business
Unit (UUS) by integrating it with BVIS. This spin off is expected to grow and enhance the Company's sharia
business, allowing the sharia bank under BTN to innovate independently, improve product and service quality, and
increase customer satisfaction. BTN has also started a comprehensive integration process, covering governance,
information technology, human resources, and business models. Currently, BTN Syariah is moving forward with a
progressive and digital first roadmap, aiming to become the second largest sharia bank in Indonesia, with a focus on
inclusive, efficient digital services based on sharia principles.
5. Other material information or facts related to the acquisition of PT Bank Victoria Syariah (BVIS).
Explanation:
There is no other material information or fact regarding the acquisition of PT Bank Victoria Syariah (BVIS).

Permintaan Penjelasan Bursa, dengan ini kami sampaikan penjelasan sebagai berikut:


1. Nilai transaksi pengambilalihan PT Bank Victoria Syariah (BVIS) oleh Perseroan.
Penjelasan:
Nilai transaksi pengambilalihan PT Bank Victoria Syariah (BVIS) adalah sebesar Rp1,6 Triliun
2. Dasar penentuan nilai transaksi pengambilalihan PT Bank Victoria Syariah (BVIS).
Penjelasan:
Penentuan nilai transaksi didasarkan pada nilai valuasi yang disusun oleh pihak independen yaitu KJPP Suwendho
Rinaldy & Rekan
3. Strategi dan upaya agar transaksi tersebut khususnya terkait penentuan harga telah dilakukan secara wajar dan
memenuhi prinsip arms length transaction serta tidak merugikan pihak minoritas.
Penjelasan:
Dalam pelaksanaan transaksi tersebut Perseroan telah menunjuk konsorsium konsultan independen untuk
menyusun kajian dan strategi atas transaksi termasuk untuk melakukan valuasi guna memastikan bahwa transaksi
dilakukan secara wajar dan memenuhi prinsip arms length. Perseroan memastikan tidak terdapat konflik
kepentingan, penentuan harga telah berdasarkan valuasi KJPP, dan tidak terdapat pengaruh maupun tekanan dari
pihak manapun.
4. Rencana strategis Perseroan terhadap Unit Usaha Syariah Perseroan dan PT Bank Victoria Syariah (BVIS)
setelah melakukan pengambilalihan PT Bank Victoria Syariah (BVIS) oleh Perseroan.
Penjelasan:
Setelah pelaksanaan pengambilalihan BVIS tersebut, Perseroan akan melakukan langkah-langkah persiapan untuk
pemisahan UUS dengan cara mengintegrasikan UUS Perseroan dengan BVIS. Pemisahan tersebut diharapkan
dapat mengembangkan dan meningkatkan bisnis syariah Perseroan serta menjadikan bank syariah yang dimiliki
BTN dapat terus berinovasi secara mandiri untuk lebih meningkatkan kualitas produk dan layanan serta
meningkatkan kepuasan nasabah. BTN juga telah memulai proses integrasi menyeluruh, mulai dari tata kelola,
teknologi informasi, SDM, hingga model bisnis. Saat ini, BTN Syariah siap melaju dengan roadmap yang progresif
dan digital-first untuk menjadi bank syariah kedua terbesar di Indonesia, dengan fokus pada layanan digital yang
inklusif, efisien, dan berbasis nilai-nilai syariah
