Uraian Informasi atau Fakta Material Entitas Anak Perseroan, PT Puri Permai Intisentosa Sukses
bersama dengan Refa Maulana Putra, Wahyu Febri
Frasyudha dan Thomas Matulesi telah mendirikan Perusahaan
baru dengan nama PT Pohon Senja Nusantara (PSN).
Pendirian PSN tersebut telah dituangkan ke dalam Akta
Pendirian No. 298 tanggal 25 Juni 2026 yang dibuat oleh Anly
Cenggana, Sarjana Hukum, Notaris yang berkedudukan di
Kota Batam 09 Juli 2026dan telah mendapat pengesahan dari
Menteri Hukum Republik Indonesia pada tanggal 25 Juni 2026
No. AHU- 0050062.AH.01. 01.TAHUN 2026.
Bahwa maksud dan tujuan PSN, yaitu berusaha dalam bidang:
- Aktivitas Penyediaan Makanan di Bangunan Tetap (56101)
- Aktivitas Rumah Minum/Kafe (56303)
PSN berkedudukan di Kota Batam, Provinsi Kepulauan Riau.
Transaksi ini dilaksanakan dalam rangka mengembangkan
strategi usaha Perseroan di masa yang akan datang.
Nilai transaksi ini adalah sebesar 0.0022% dari ekuitas
Perseroan yang merujuk pada Laporan Keuangan Tahunan
Konsolidasian yang diaudit tanggal 31 Desember 2025 oleh
KAP Rama Wendra. Dengan demikian transaksi tersebut
bukan merupakan transaksi material sesuai ketentuan
Peraturan Otoritas Jasa Keuangan Republik Indonesia Nomor
17 /POJK.04/2020 Tentang Transaksi Material Dan Perubahan

Description of Material Information or The Company's subsidiary, PT Puri Permai Intisentosa
Facts Sukses, together with Refa Maulana Putra, Wahyu Febri
Frasyudha, and Thomas Matulesi, has established a new
company under the name PT Pohon Senja Nusantara (PSN).
The establishment of PSN is set forth in Deed of
Establishment No. 298 dated 25 June 2026, drawn up before
**Anly Cenggana, Bachelor of Laws, Notary domiciled in
Batam City, and was approved by the Minister of Law of the
Republic of Indonesia on 25 June 2026 under Approval No.
AHU-0050062.AH.01.01.TAHUN 2026.
The purposes and objectives of PSN are to engage in the
following business activities:
- Food Service Activities in Permanent Buildings (KBLI 56101);
-Beverage Service Activities/Cafes (KBLI 56303).
PSN is domiciled in Batam City, Riau Islands Province. This
transaction was undertaken as part of the Company's strategy
to support the future development of its business.
The value of this transaction represents approximately
0.0022% of the Company's equity, based on the audited
Consolidated Annual Financial Statements as of 31 December
2025, audited by KAP Rama Wendra. Accordingly, this
transaction does not constitute a material transaction as
defined under Financial Services Authority of the Republic of
Indonesia Regulation No. 17/POJK.04/2020 concerning
Material Transactions and Changes in Business Activities.
