Jenis Informasi atau Fakta Material Penyelesaian Penawaran Tender
Uraian Informasi atau Fakta Material Perseroan bermaksud untuk mengumumkan penyelesaian
untuk penawaran pembelian tunai atas setiap dan seluruh
jumlah terhutang atas (i) 7,375% Surat Utang Senior jatuh
tempo 2026 yang diterbitkan oleh Medco Oak Tree Pte. Ltd.
(Surat Utang 2026) dan (ii) 6,375% Surat Utang Senior jatuh
tempo 2027 yang diterbitkan oleh Medco Bell Pte. Ltd. (Surat
Utang 2027), tidak termasuk bunga yang masih harus dibayar
sebagaimana berlaku (Penawaran Tender).
Setelah penyelesaian atas Penawaran Tender, jumlah pokok
terutang atas masing-masing Surat Utang 2026 dan Surat
Utang 2027 menjadi sebesar US$91.724.000 dan US$
107.774.000
Medco Oak Tree Pte. Ltd. dan Medco Bell Pte. Ltd.
merupakan anak perusahaan yang seluruhnya dimiliki oleh
Perseroan secara tidak langsung (Para Penerbit). Surat Utang
2026 dan Surat Utang 2027 dijamin secara tanpa syarat dan
tidak dapat ditarik kembali oleh Perseroan dan beberapa anak
perusahaannya.
Sebagai referensi, terlampir kami sampaikan pengumuman
SGX-ST (versi Bahasa Inggris dan terjemahan Bahasa
Indonesia) tertanggal 10 Juni 2025 sehubungan dengan
Penawaran Tender.
Dampak kejadian, informasi atau fakta Tidak terdapat dampak khusus terhadap kegiatan operasional,
material tersebut terhadap kegiatan hukum, kondisi keuangan atau kelangsungan usaha
operasional, hukum, kondisi keuangan, Perseroan atas penyampaian keterbukaan informasi ini,
atau kelangsungan usaha Emiten atau mengingat penyampaian keterbukaan informasi ini merupakan
Perusahaan Publik pemenuhan kewajiban keterbukaan informasi berdasarkan
POJK No. 31/2015.

Type of Material Information or Facts
Description of Material Information or The Company intends to announce the settlement for the cash
Facts tender offer for the repurchase of any and all of the
outstanding amounts of: (i) 7.375% Senior Notes due 2026
issued by Medco Oak Tree Pte. Ltd. (the 2026 Notes), and (ii)
6.375% Senior Notes due 2027 issued by Medco Bell Pte. Ltd
(2027 Notes), does not include the applicable accrued interest
(Tender Offers).
Upon completion of the Tender Offers, the principal amount
outstanding of each 2026 Notes and 2027 Notes shall be
US$91,724,000 dan US$ 107,774,000 .
Medco Oak Tree Pte. Ltd. and Medco Bell Pte. Ltd are wholly
owned indirect subsidiaries of the Company (the Issuers).
2026 Notes and 2027 Notes unconditionally and irrevocably
guaranteed by the Company and its certain subsidiaries.
As a reference, we hereby attached the SGX-ST
announcement (in English language version and Bahasa
Indonesia translation) dated 10 June 2025 in relation to the
Tender Offer.
Impact of event, material information or There is no specific impact on the Companys operations, legal
facts towards Issuers or Public matters, financial condition, or business continuity arising from
Company’s operational activities, legal, the submission of this disclosure of information, given that this
financial condition, or going concern disclosure of information is submitted to fulfill the disclosure of
information obligation under POJK No. 31/2015.
