Uraian Informasi atau Fakta Material Dalam rangka pemenuhan ketentuan-ketentuan berdasarkan
(i) Pasal 22 ayat (1) huruf c, Pasal 22 ayat (1) huruf e, dan
Pasal 32 Peraturan Otoritas Jasa Keuangan Nomor
17/POJK.04/2020 tentang Transaksi Material dan Perubahan
Kegiatan Usaha; dan (ii) Surat Nomor: S-268/PM.023/2025
tanggal 26 Mei 2025 perihal Perubahan dan/atau Tambahan
Informasi atas Rencana Penambahan Kegiatan Usaha PT
Lotte Chemical Titan Tbk yang diterbitkan oleh Otoritas Jasa
Keuangan kepada Perseroan, yang mewajibkan Perseroan
untuk mengumumkan perubahan dan/atau tambahan
informasi atas Keterbukaan Informasi kepada pemegang
saham Perseroan sehubungan dengan rencana penambahan
kegiatan usaha perusahaan terkendali Perseroan yaitu LCTN,
paling lambat 2 (dua) hari kerja sebelum Rapat Umum
Pemegang Saham Tahunan Tahun Buku 2024 Perseroan
(RUPS) dilaksanakan (RUPS akan dilaksanakan oleh
Perseroan pada 20 Juni 2025). Mengingat bahwa kontribusi
pendapatan LCTN lebih dari 20% (dua puluh persen) dari
pendapatan Perseroan berdasarkan Laporan Keuangan
Konsolidasian Tanggal 31 Desember 2024 dan untuk Tahun
yang Berakhir Pada Tanggal Tersebut Beserta Laporan
Auditor Independen Perseroan, maka untuk melakukan
penambahan kegiatan usaha LCTN, Perseroan diwajibkan
untuk terlebih dahulu memperoleh persetujuan rapat umum
pemegang saham Perseroan. Perseroan berencana untuk
meminta persetujuan tersebut melalui RUPS.

Dampak kejadian, informasi atau fakta Penambahan kegiatan usaha LCTN diharapkan dapat
material tersebut terhadap kegiatan memberikan dampak yang positif bagi kelangsungan usaha
operasional, hukum, kondisi keuangan, Perseroan dan tentunya akan berdampak pula terhadap
atau kelangsungan usaha Emiten atau kondisi keuangan Perseroan. Sehubungan dengan rencana
Perusahaan Publik penambahan kegiatan usaha LCTN, pendapatan usaha dan
ekuitas Perseroan diharapkan akan mengalami peningkatan
pada tahun-tahun yang akan datang. Hal ini diharapkan pula
dapat memberikan nilai tambah bagi para pemegang saham
Perseroan.

Amendment and/or Addition of Information of Disclosure of
Type of Material Information or Facts Information of PT Lotte Chemical Titan Tbk (Company) of Plan
of Addition of Business Activity of Controlled Company of the
Company, namely PT Lotte Chemical Titan Nusantara
Description of Material Information or In the framework of fulfillment to the provisions under (i) Article
Facts 22 paragraph (1) letter c, Article 22 paragraph (1) letter e, and
Article 32 of Financial Services Authority Regulation Number
17/POJK.04/2020 concerning Material Transaction and
Change of Business Activity, and (ii) Letter Number: S-
268/PM.023/2025 dated May 26th, 2025 regarding
Amendment and/or Addition of Information of Plan of Addition
of Business Activity of PT Lotte Chemical Titan Tbk issued by
Financial Services Authority to the Company, which requires
the Company to announce Amendment and/or Addition of the
Disclosure of Information to the shareholders of the Company
in connection with the plan of addition of business activity of
the Company controlled company namely LCTN, at the latest
of 2 (two) business days before Annual General Meeting of
Shareholders of Financial Year of 2024 of the Company
(AGM) is held (AGM will be held by the Company on June
20th, 2025). Given that LCTNs revenue contribution is more
than 20% (twenty percent) of the Company's revenue based
on the Consolidated Financial Statements as of December 31,
2024 and for the Year then Ended with the Independent
Auditor's Report of the Company, then to carry out addition of
business activity of LCTN, the Company is required to obtain
prior approval from the general meeting of shareholders of the
Company. The Company plans to request for the approval
through AGM.
Impact of event, material information or The addition of business activity of LCTN is expected to give a
facts towards Issuers or Public positive impact to the Company's business sustainability and
Company’s operational activities, legal, will impact to the Company's financial condition. With regard to
financial condition, or going concern the plan of addition of business activity of LCTN, the
Company's revenue and equity are expected to increase in the
future. The foregoing is also expected to provide added value
for the shareholders of the Company.
