Jenis Informasi atau Fakta Material Hasil Penawaran Tender
Uraian Informasi atau Fakta Material Perseroan bermaksud untuk mengumumkan hasil tender
untuk pembelian tunai atas setiap dan seluruh jumlah
terhutang atas (i) 7,375% Surat Utang Senior jatuh tempo
2026 yang diterbitkan oleh Medco Oak Tree Pte. Ltd. (Surat
Utang 2026) dan (ii) 6,375% Surat Utang Senior jatuh tempo
2027 yang diterbitkan oleh Medco Bell Pte. Ltd. (Surat Utang
2027), tidak termasuk bunga yang masih harus dibayar yang
akan dibayarkan secara terpisah di luar dari harga penawaran
awal maupun harga penawaran akhir (Penawaran Tender).
Sampai dengan tanggal keterbukaan informasi ini, jumlah
pokok terutang atas masing-masing Surat Utang 2026 dan
Surat Utang 2027 adalah US$242.319.000 dan
US$418.708.000.
Medco Oak Tree Pte. Ltd. dan Medco Bell Pte. Ltd.
merupakan anak perusahaan yang seluruhnya dimiliki oleh
Perseroan secara tidak langsung (Para Penerbit). Surat Utang
2026 dan Surat Utang 2027 dijamin secara tanpa syarat dan
tidak dapat ditarik kembali oleh Perseroan dan beberapa anak
perusahaannya.
Penyelesaian Penawaran Tender bergantung pada
pemenuhan kondisi tertentu, dalam setiap hal, sebagaimana
diubah, diganti, dikesampingkan atau ditambah oleh Para
Penerbit dan Perseroan.
Sebagai referensi, terlampir kami sampaikan pengumuman
SGX-ST (versi Bahasa Inggris dan terjemahan Bahasa
Indonesia) tertanggal 4 Juni 2025 sehubungan dengan
Penawaran Tender.

Dampak kejadian, informasi atau fakta Tidak terdapat dampak khusus terhadap kegiatan operasional,
material tersebut terhadap kegiatan hukum, kondisi keuangan atau kelangsungan usaha
operasional, hukum, kondisi keuangan, Perseroan atas penyampaian keterbukaan informasi ini,
atau kelangsungan usaha Emiten atau mengingat pengumuman hasil Penawaran Tender ini masih
Perusahaan Publik bergantung pada penyelesaian yang akan dilakukan
selanjutnya. Penyampaian keterbukaan informasi ini
merupakan pemenuhan kewajiban keterbukaan informasi
berdasarkan POJK No. 31/2015.

Type of Material Information or Facts
Description of Material Information or The Company intends to announce the tender results for the
Facts cash tender offer for the repurchase of any and all of the
outstanding amounts of: (i) 7.375% Senior Notes due 2026
issued by Medco Oak Tree Pte. Ltd. (the 2026 Notes), and (ii)
6.375% Senior Notes due 2027 issued by Medco Bell Pte. Ltd
(2027 Notes), does not include the applicable accrued interest,
which will be payable in addition to the early tender offer
consideration or the late tender offer consideration (Tender
Offers).
Until the date of this disclosure of information, the principal
amount outstanding of each 2026 Notes and 2027 Notes are
US$242,319,000 and US$418,708,000.
Medco Oak Tree Pte. Ltd. and Medco Bell Pte. Ltd are wholly
owned indirect subsidiaries of the Company (the Issuers).
2026 Notes and 2027 Notes unconditionally and irrevocably
guaranteed by the Company and its certain subsidiaries.
The consummation of the Tender Offer is conditioned upon the
satisfaction of certain conditions, in each case, as modified,
amended, waived or supplemented by the Issuers and the
Company.
As a reference, we hereby attached the SGX-ST
announcement (in English language version and Bahasa
Indonesia translation) dated 4 June 2025 in relation to the
Tender Offer.
Impact of event, material information or There is no specific impact on the Companys operations, legal
facts towards Issuers or Public matters, financial condition, or business continuity arising from
Company’s operational activities, legal, the submission of this disclosure of information, given that the
financial condition, or going concern announcement of the Tender Offer results remains subject to
further completion. This disclosure of information is submitted
to fulfill the disclosure of information obligation under POJK
No. 31/2015.
