Uraian Informasi atau Fakta Material Berdasarkan Keputusan Sirkuler Sebagai Pengganti Rapat
Umum Pemegang Saham Luar Biasa PT. Soho Industri
Pharmasi tertanggal 08 Juli 2026 (Keputusan Sirkuler
Pemegang Saham), SIP yang merupakan Perusahaan
Terkendali dari Perseroan telah melakukan penyesuaian atas
Pasal 3 Anggaran Dasar SIP mengenai Maksud dan Tujuan
serta Kegiatan Usaha SIP (Penyesuaian Anggaran Dasar
SIP).
Penyesuaian Anggaran Dasar SIP dilakukan sebagai
penyesuaian administratif atas bidang usaha yang selama ini
telah dijalankan oleh SIP agar selaras dengan ketentuan
peraturan perundang-undangan yang berlaku, termasuk di
antaranya (i) Klasifikasi Baku Lapangan Usaha Indonesia
Tahun 2025 sebagaimana diatur dalam Peraturan Badan
Pusat Statistik Nomor 7 Tahun 2025 tentang Klasifikasi Baku
Lapangan Usaha Indonesia (KBLI 2025) dan (ii) Peraturan
Menteri Kesehatan Republik Indonesia Nomor 11 Tahun 2025
tentang Standar Kegiatan Usaha dan Standar Produk atau
Jasa pada Penyelenggaraan Perizinan Berusaha Berbasis
Risiko Subsektor Kesehatan. Penyesuaian Anggaran Dasar
SIP ini juga telah memperoleh persetujuan pemegang saham
SIP melalui Keputusan Sirkuler Pemegang Saham.
Penyesuaian Anggaran Dasar SIP tersebut meliputi:
- penambahan kode KBLI 86105 - Aktivitas Klinik Swasta,
yang dilakukan semata-mata sebagai penyesuaian
administratif agar SIP dapat terus menjalankan kegiatan
operasional yang selama ini telah dilaksanakan, yaitu
pengoperasian fasilitas klinik karyawan yang bersifat non-
komersial, sesuai dengan ketentuan peraturan perundang-
undangan yang berlaku; dan
- penyesuaian judul, nomor kode klasifikasi (KBLI) dan/atau
uraian kegiatan usaha yang sebelumnya telah tercantum
dalam Pasal 3 Anggaran Dasar SIP agar sesuai dengan
klasifikasi, nomenklatur (nama bidang usaha), dan ruang
lingkup kegiatan usaha sebagaimana diatur dalam KBLI 2025.
Dampak kejadian, informasi atau fakta Penyesuaian Anggaran Dasar SIP tersebut tidak menimbulkan
material tersebut terhadap kegiatan dampak material terhadap kegiatan operasional, aspek
operasional, hukum, kondisi keuangan, hukum, kondisi keuangan, atau kelangsungan usaha
atau kelangsungan usaha Emiten atau Perseroan. Penyesuaian Anggaran Dasar SIP ini dilakukan
Perusahaan Publik semata-mata sebagai penyesuaian administratif dan tidak
mengakibatkan adanya perubahan terhadap kegiatan usaha
SIP yang telah berjalan selama ini
Informasi Lain
Penyesuaian Anggaran Dasar PT Soho Industri Pharmasi ini tidak termasuk dalam definisi dan kriteria Perubahan
Kegiatan Usaha sebagaimana dimaksud di dalam Penjelasan Pasal 22 Peraturan Otoritas Jasa Keuangan Nomor
17/POJK.04/2020 tentang Transaksi Material dan Perubahan Kegiatan Usaha ( POJK 17/2020 ). Oleh karenanya,
Penyesuaian Anggaran Dasar SIP tidak menimbulkan kewajiban bagi SIP maupun Perseroan untuk memenuhi
persyaratan dan prosedur yang berlaku atas Perubahan Kegiatan Usaha sebagaimana diatur dalam POJK 17/2020

Description of Material Information or Pursuant to the Circular Resolution in Lieu of the Extraordinary
Facts General Meeting of Shareholders of PT Soho Industri
Pharmasi dated 08 July 2026 (Shareholders Circular
Resolution), SIP, a Controlled Company of the Company, has
amended Article 3 of its Articles of Association concerning its
Purposes and Objectives as well as Business Activities
(Amendment to SIP Articles of Association).
The Amendment to SIP's Articles of Association was made as
an administrative adjustment to align SIP existing business
activities with the prevailing laws and regulations, including (i)
the 2025 Indonesian Standard Industrial Classification
(Klasifikasi Baku Lapangan Usaha Indonesia or KBLI 2025) as
stipulated under Statistics Indonesia Regulation No. 7 of 2025
on the Indonesian Standard Industrial Classification, and (ii)
the Regulation of the Minister of Health of the Republic of
Indonesia No. 11 of 2025 concerning Business Activity
Standards and Product/Service Standards for Risk-Based
Business Licensing in the Health Subsector. The Amendment
to SIP's Articles of Association has also been approved by
SIP's shareholders through the Shareholders' Circular
Resolution.
The Amendment to SIP Articles of Association includes:
- the addition of KBLI Code 86105 - Private Clinic Activities,
solely as an administrative adjustment to enable SIP to
continue carrying out its existing operational activities, namely
the operation of its non-commercial employee clinic, in
compliance with the prevailing laws and regulations; and
- the adjustment of the titles, KBLI classification codes/number
and/or descriptions of the business activities previously set out
in Article 3 of the SIP Articles of Association to align them with
the classifications, nomenclature (business activity titles), and
scope of business activities as stipulated in KBLI 2025.
Impact of event, material information or The Amendment to SIP's Articles of Association does not have
facts towards Issuers or Public any material impact on the Company's operational activities,
Company’s operational activities, legal, legal aspects, financial condition, or business continuity. The
financial condition, or going concern Amendment to SIP's Articles of Association is made solely for
administrative purposes and does not result in any change to
SIP's existing business activities
Other Information
The Amendment to PT Soho Industri Pharmasi Articles of Association does not fall within the definition and criteria
of a Change of Business Activities as referred to in the Elucidation of Article 22 of the Financial Services Authority
Regulation Number 17/POJK.04/2020 on Material Transactions and Changes of Business Activities ( POJK
17/2020 ). Accordingly, the Amendment to SIP's Articles of Association does not give rise to any obligation on the
part of SIP or the Company to comply with the requirements and procedures applicable to a Change of Business
Activities under POJK 17/2020
