Uraian Informasi atau Fakta Material Sesuai pada mata acara ketujuh RUPS Tahunan PT
Saraswanti Indoland Development Tbk, yaitu :
Persetujuan atas perubahan intensi manajemen terhadap
fungsi Tower Bima.
Perseroan mengusulkan kepada RUPS Tahunan sebagai
berikut :
Dengan mempertimbangkan bahwa :
Sebagaimana diketahui sebelumnya, bahwa sesuai yang
tersebut pada prospektus, Tower Bima pada mulanya
direncanakan untuk difungsikan sebagai apartemen. Namun,
manajemen memiliki intensi untuk melakukan perubahan
fungsi Tower Bima yang semula diperuntukkan sebagai
apartemen, menjadi hotel. Perubahan Tower Bima dari
apartemen menjadi hotel dinilai memberikan dampak positif
dalam menghasilkan recurring income yang lebih tinggi jika
dibandingkan dengan tower tersebut tetap difungsikan sebagai
apartemen. Recurring income yang lebih tinggi memberikan
jaminan keberlanjutan usaha yang lebih baik bagi Perseroan.
Hal ini juga dilatarbelakangi oleh permintaan kamar yang lebih
besar daripada jumlah kamar yang tersedia. Ketersediaan
kapasitas convention center di Mataram City sangat besar
secara daya tampung jika dibandingkan dengan jumlah kamar
hotel The Alana Yogyakarta Hotel & Convention Center yang
sekarang tersedia, sehingga selama ini sering sekali terjadi
peserta konvensi harus menginap di hotel lain.
Perubahan intensi ini akan berdampak pada reklasifikasi
akuntansi aset, serta menunjukkan pergeseran strategi
pemanfaatan aset untuk mendukung pertumbuhan dan
efisiensi operasional Perseroan. Tower Bima sebelumnya
diklasifikasikan sebagai persediaan, dengan niat awal untuk
dialihkan ke pihak ketiga. Namun, sesuai dengan perubahan
fungsi yang sudah disampaikan sebelumnya, aset tersebut
akan digunakan dalam kegiatan operasional Perseroan secara
berkelanjutan, sehingga karakteristiknya tidak lagi
mencerminkan persediaan, melainkan lebih sesuai untuk
diklasifikasikan sebagai aset tetap. Perubahan ini didasarkan
pada evaluasi internal serta pertimbangan akuntansi dan
strategis yang sejalan dengan prinsip kehati-hatian.
Dukungan dari seluruh pemegang saham merupakan hal yang
sangat penting untuk kelancaran proses penyesuaian ini.
Dengan ini, kami mohon persetujuan dari para pemegang
saham agar Direksi dapat menindaklanjuti perubahan fungsi
dan klasifikasi aset sesuai ketentuan yang berlaku.
Atas dasar usulan tersebut, diputuskan :
Menerima baik dan menyetujui atas perubahan intensi
manajemen terhadap fungsi Tower Bima.
Dampak kejadian, informasi atau fakta -
material tersebut terhadap kegiatan
operasional, hukum, kondisi keuangan,
atau kelangsungan usaha Emiten atau
Perusahaan Publik

Description of Material Information or In accordance with the seventh agenda item of the Annual
Facts GMS of PT Saraswanti Indoland Development Tbk, namely :
Approval of the change in managements intention regarding
the function of Bima Tower.
The Company submitted the following proposal to the GMS:
With due consideration of the following:
As previously stated in the prospectus, Bima Tower was
initially planned to function as an apartment. However,
management now intends to change the function of Bima
Tower from its original purpose as an apartment to a hotel.
This change is considered to have a positive impact by
generating higher recurring income compared to maintaining
its use as an apartment. Higher recurring income provides
stronger assurance of the Companys long term business
sustainability.
This change is also driven by room demand that exceeds the
available supply. The convention center at Mataram City has a
significantly larger capacity compared to the number of rooms
currently available at The Alana Yogyakarta Hotel and
Convention Center, resulting in frequent situations where
convention participants must stay at other hotels.
This change in intention will affect the accounting
reclassification of assets and signifies a shift in the Companys
asset utilization strategy to support growth and operational
efficiency. Bima Tower was previously classified as inventory,
originally intended to be sold to third parties. However, in line
with the new function as previously mentioned, the asset will
now be used in the Companys ongoing operations, and thus
no longer meets the characteristics of inventory. Instead, it is
more appropriately classified as a fixed asset. This
reclassification is based on internal evaluation and both
accounting and strategic considerations in line with the
principle of prudence.
Support from all shareholders is essential to ensure the
smooth implementation of this adjustment. Therefore, we
respectfully request the approval of shareholders so that the
Board of Directors may proceed with the changes in function
and asset classification in accordance with applicable
regulations.
Based on this proposal, it was resolved:
To duly receive and approve the change in managements
intention regarding the function of Bima Tower.
