23 Mei 2025 Perihal: Penyampaian Pengumuman Perkembangan Negosiasi
atas Rencana Pengambilalihan PT Tourindo Guide Indonesia Tbk. Bersama
ini kami informasikan bahwa, pada tanggal 22 Mei 2025, BII telah
menandatangani Perjanjian Pembelian Saham Bersyarat dengan PT Surya
Fajar Capital Tbk, Henri Widodo, Ing Ing Cindy Eva, Claudia Ingkiriwang, Ellen
Yanury Luassa, dan Adi Putera Widjaja (seluruhnya disebut sebagai ”Calon
Penjual”) sehubungan dengan rencana transaksi pengambilalihan atas
sejumlah 493.088.500 (empat ratus sembilan puluh tiga juta delapan puluh
delapan ribu lima ratus) saham dalam Perseroan atau yang mewakili 61,96%
(enam puluh satu koma sembilan enam persen) dari keseluruhan modal yang
telah ditempatkan dan disetor penuh di Perseroan, sebagai kelanjutan dari
Kesepakatan antara Calon Pengendali Baru dengan Calon Penjual yang
ditandatangani pada tanggal 16 April 2025 sebagaimana telah diumumkan
dalam Pengumuman Negosiasi yang telah diumumkan pada surat kabar
Investor Daily tertanggal 17 April 2025.
Referring to the letter from PT Batu Investasi Indonesia (formerly known as
PT Zhengyu Global Trading) (“BII”) No. 002/BII/V/2025 dated 23rd May 2025
regarding: Submission of Progress of Negotiation Announcement on the
Takeover Plan of PT Tourindo Guide Indonesia Tbk. We hereby inform you
that, on May 22, 2025, BII has signed a Conditional Share Purchase
Agreement with PT Surya Fajar Capital Tbk, Henri Widodo, Ing Ing Cindy Eva,
Claudia Ingkiriwang, Ellen Yanury Luassa, and Adi Putera Widjaja (collectively
referred to as the "Prospective Sellers") in relation to the planned acquisition
transaction of a total of 493,088,500 (four hundred ninety-three million eighty-
eight thousand five hundred) shares in the Company, representing 61.96%
(sixty-one point nine six) of the total shares as a continuation of the Agreement
between BII and the Prospective Seller signed on April 16, 2025, as previously
disclosed in the Negotiation Announcement published in the Investor Daily
newspaper dated April 17, 2025.
4 Dampak kejadian, informasi atau fakta : Penyelesaian atas rencana pengambilalihan tersebut baru akan terjadi setelah
material tersebut terhadap kegiatan Calon Penjual memenuhi persyaratan pendahuluan yang ditetapkan oleh
operasional, hukum, kondisi keuangan, atau Calon Pengendali Baru, dan Calon Pengendali Baru akan senantiasa
kelangsungan usaha Emiten atau memperhatikan dan mematuhi hukum dan peraturan perundang-undangan
Perusahaan Publik/ yang berlaku, termasuk POJK No.9/2018. Informasi lebih lanjut mengenai
Reason, impact of the incident, information or penyelesaian pengambilalihan oleh Calon Pengendali Baru akan diumumkan
material facts on operational activities, law, kepada masyarakat dengan memperhatikan ketentuan dalam POJK
financial condition, business continuity or No.9/2018. Namun demikian, kejadian tersebut tidak berpengaruh material
issuer or public company terhadap kegiatan operasional, hukum, kondisi keuangan, atau kelangsungan
usaha Perseroan.
Completion of the takeover plan will only occur if the Prospective Sellers have
fulfilled the conditions precedent stipulated by the Prospective New Controller,
and the Prospective New Controller will always observe and comply with the
applicable laws and regulations, including POJK No.9/2018. Information
regarding the completion of the takeover by the Prospective New Controller will
be announced to the public in accordance with POJK No.9/2018. However, this
event does not have a material impact on the Company's operational activities,
legal standing, financial condition, or business continuity.
