2. Jenis Informasi atau Fakta Material Medco Cypress Tree Pte. Ltd., yang merupakan anak
Type of Information or Material Fact perusahaan yang dimiliki seluruhnya oleh Perseroan
secara tidak langsung melalui Medco Strait Services Pte.
Ltd., telah menerbitkan surat utang senilai USD
400.000.000, dengan tingkat bunga 8,625% jatuh tempo
pada tahun 2030, di luar wilayah Republik Indonesia yang
tunduk berdasarkan Rule 144A dan Regulation S
berdasarkan U.S Securities Act (“Surat Utang”)./

Medco Cypress Tree Pte. Ltd., a wholly-owned subsidiary
of the Company held indirectly through Medco Strait
Services Pte. Ltd., has issued notes in the aggregate
principal amount of USD 400,000,000 bearing interest
8.625% due 2030, outside the territory of the Republic of
Indonesia, subject to Rule 144A and Regulation S under
the U.S. Securities Act (the “Notes”).
3. Uraian Informasi atau Fakta Material Surat Utang dijamin dengan jaminan perusahaan yang
Material Information or Fact Description diberikan oleh Perseroan dan beberapa anak perusahaan
Perseroan, dimana dana bersih hasil Surat Utang setelah
dikurangi biaya untuk Interest Reserve Account dan biaya
lainnya sebagaimana dimaksud dalam Indenture, akan
dipinjamkan kepada Perseroan dan/atau satu atau lebih
Anak Perusahaan Yang Dibatasi (sebagaimana
didefinisikan dalam Indenture), untuk (bersama dengan
dana kas yang tersedia, sebagaimana relevan), antara
lain, melakukan tender, membiayai kembali atau
membayar kembali utang yang ada saat ini (termasuk
Surat Utang Senior jatuh tempo 2026 yang diterbitkan
oleh Medco Oak Tree Pte. Ltd dan Surat Utang Senior
jatuh tempo 2027 yang diterbitkan oleh Medco Bell Pte.
Ltd melalui tender, pelunasan atau bentuk pembelian
lainnya) atau mengganti fasilitas committed yang saat ini
belum ditarik, termasuk setiap premi, accrued interest,
dan biaya atau pengeluaran terkait.
Penerbitan Surat Utang ini bukan merupakan suatu
penawaran umum sebagaimana dimaksud dalam
Undang-Undang No. 8 Tahun 1995 tentang Pasar Modal
sebagaimana terakhir diubah dengan Undang-Undang
No. 4 Tahun 2023 tentang Pengembangan dan
Penguatan Sektor Keuangan dan bukan merupakan suatu
penerbitan surat utang tanpa melalui penawaran umum
sebagaimana dimaksud dalam Peraturan OJK No.
30/POJK.04/2019 tentang Penerbitan Efek Bersifat Utang
dan/atau Sukuk Yang Dilakukan Tanpa Melalui
Penawaran Umum./
The Notes is secured by a corporate guarantee provided
by the Company and certain of its subsidiaries, whereby
the net proceeds from the Notes, after deducting amounts
for the Interest Reserve Account and other costs (as set
out in the Indenture), will be lent to the Company and/or
one or more Restricted Subsidiaries (as defined in the
Indenture) in order to, (together with the cash in hand, as
the case may be), among others, tender for, refinance or
repay the existing indebtedness (including the 2026
Senior Notes issued by Medco Oak Tree Pte. Ltd. and the
2027 Senior Notes issued by Medco Bell Pte. Ltd., through
tender, redemption or other purchase), or replace
committed but currently undrawn facilities, including any
premiums, accrued interest, and fees or expenses.
The issuance of the Notes does not constitute a public
offering as referred to in Law No. 8 of 1995 on Capital
Markets, as lastly amended by Law No. 4 of 2023 on the
Development and Strengthening of the Financial Sector,
and does not constitute a private placement of debt
securities as referred to in OJK Regulation No.

4. Dampak kejadian, informasi atau fakta Kejadian, informasi atau fakta material tersebut
