Dengan Hormat, Dalam rangka memenuhi ketentuan Pasal 17 huruf (g) Peraturan Otoritas Jasa Keuangan (“POJK”) Nomor 17/POJK.04/2020 tentang Transaksi Material dan Perubahan Kegiatan Usaha berupa (i) pemberian fasilitas pinjaman dari PT Geo Energy Investama selaku Kreditur kepada Perseroan selaku Debitur dengan total nilai fasilitas pinjaman sebanyak-banyaknya sebesar Rp500.000.000.000 (lima ratus miliar Rupiah), dan (ii) pengambilalihan sebanyak-banyaknya sebesar 128.155 (seratus dua puluh delapan ribu seratus lima puluh lima) lembar saham atau sebanyak- banyaknya sebesar setara dengan 1006 (seratus persen) kepemilikan saham dalam PT Bara Enim Sejahtera yang telah dan akan dimiliki PT Sinar Unggul Internasional oleh Perseroan dengan total nilai transaksi sebanyak-banyaknya sebesar Rp673.200.000.000 (enam ratus tujuh puluh tiga miliar dua ratus juta Rupiah), maka kami yang bertanda tangan di bawah ini selaku Komisaris Utama dan Direktur Utama Perseroan dengan ini menyatakan bahwa: Dear Sir/Madam, In order to comply with the provisions of Article 17 letter (g) of the Financial Services Authority Regulation (“OJK Regulation”) Number 17/POJK.04/2020 concerning Material Transactions and Changes in Business Activities, in relation to (i) the provision of a loan facility by PT Geo Energy Investama as the Creditor to the Company as the Debtor, with a maximum total loan facility amount of IDR500,000,000,000 (five hundred billion Rupiah), and (ii) the acguisition of up to 128,155 (one hundred twenty-eight thousand one hundred fifty-five) shares, or up to 10046 (one hundred percent) of the share ownership in PT Bara Enim Sejahtera owned and will be own by PT Sinar Unggul Internasional by the Company, with a maximum total transaction value of IDR673,200,000,000 (six hundred seventy- three billion two hundred million Rupiah), we, the undersigned, as the President Commissioner and the President Director of the Company, hereby declare that: 7, 1 k
