Uraian Informasi atau fakta material: Menindaklanjuti Keterbukaan — Informasi Perseroan tertanggal 29 Januari 2026 dan 3 Maret 2026, serta Keputusan RUPS Tahunan Perseroan 9 Maret 2026 ((RUPST”), RUPST telah menyetujui pembelian kembali (buyback) saham Perseroan yang telah dikeluarkan dan tercatat di Bursa Efek Indonesia dengan jumlah sebesar-besarnya Rp905.480.000.000,- (sembilan ratus lima miliar empat ratus delapan puluh juta Rupiah) termasuk biaya-biaya terkait pembelian kembali (buyback) saham dengan memperhatikan perizinan serta ketentuan peraturan perundang-undangan. Sehubungan dengan hal dimaksud, memperhatikan kondisi makro ekonomi, kondisi market, dan kebutuhan pelaksanaan pengalihan saham sesuai Keputusan RUPST tersebut di atas, maka melalui Keterbukaan Informasi ini kami laporkan bahwa Perseroan telah menghentikan pelaksanaan pembelian kembali saham dan telah menyelesaikan seluruh periode transaksi buyback Tahun 2026 dengan total saham yang telah dibeli kembali sebanyak 77.856.100 lembar saham. Dengan memperhatikan tujuan pengalihan saham hasil buyback yang telah disetujui oleh RUPST, maka saham hasil buyback yang disimpan sebagai saham treasuri (treasury stock) akan dialihkan melalui Program Kepemilikan Saham bagi Pegawai Ac BNI Date of occurrence: 6 July 2026 Types of Information or Material Facts: Others: Report on Information or Material Facts regarding the Termination and Completion of the 2026 Share Buyback Transaction of PT Bank Negara Indonesia (Persero) Tbk. Description of Information or Material Facts: In relation to the Company's Information Disclosure dated 29 January 2026 and 3 March 2026, as well as the resolution of the Company's Annual General Meeting of Shareholders held on 9 March 2026 (“AGMS”), the AGMS has approved the repurchase (buyback) of the Company's issued and listed Shares on the Indonesia Stock Exchange for a maximum amount of Rp905,480,000,000 (nine hundred five billion four hundred eighty million Rupiah), including all costs related to the share buyback, subject to the applicable permits and prevailing laws and regulations. In connection with the foregoing, taking into account the macroeconomic conditions, market conditions, and the need to implement the transfer of shares in accordance with the resolution of the Annual General Meeting of Shareholders (AGMS) referred to above, through this Disclosure of Information, we hereby report that the Company has completed and terminated the 2026 share buyback program. The Company has repurchased a total of 77,856,100 shares. dengan memperhatikan ketentuan yang berlaku. Dampak terhadap kegiatan operasional, hukum, kondisi keuangan, dan kelangsungan usaha: Penghentian dan penyelesaian transaksi Pembelian Kembali Saham (Buyback) tidak memengaruhi kegiatan usaha dan pertumbuhan Perseroan, mengingat kondisi permodalan dan likuiditas Perseroan yang tetap kuat pasca pelaksanaan buyback. Perseroan masih memiliki rasio kecukupan modal (CAR) yang berada di level yang sehat serta arus kas operasional yang memadai untuk mendukung seluruh rencana bisnis dan pengembangan usaha ke depan. Pelaksanaan buyback juga merupakan upaya Perseroan untuk memberikan dukungan terhadap stabilitas perdagangan saham di tengah dinamika kondisi pasar, tanpa memengaruhi kondisi fundamental maupun kemampuan Perseroan dalam menjalankan kegiatan usahanya. The impact on operational activities, legal matters, financial conditions, and business continuity: The termination and completion of the Share Buyback Transaction does not affect the Company's business operations and growth, as the Company maintains strong capital and liguidity positions following the implementation of the buyback. The Company maintains a healthy Capital Adeguacy Ratio (CAR) as well as sufficient operating cash flow to support all business plans and future business development initiatives. The buyback also represents the Company's effort to support the stability of its share trading amid prevailing market dynamics, without affecting the Company's fundamental condition or its ability to conduct its business operations.
