DEFINISI DAN SINGKATAN

BEI 1 Bursa efek sebagaimana didefinisikan dalam Pasal 1 angka
4 UUPM, dalam hal ini yang diselenggarakan oleh Bursa
Efek Indonesia, berkedudukan di Jakarta.

Biro Administrasi Efek 1 PT Sinartama Gunita sebagai biro administrasi efek
Perseroan yang ditunjuk oleh Perseroan untuk
melaksanakan administrasi saham Perseroan.

Singkatan dari Otoritas Jasa Keuangan, suatu lembaga
independen sebagaimana dimaksud dalam Undang-
Undang No. 21 Tahun 2011 tentang Otoritas Jasa
Keuangan sebagaimana diubah dengan Undang-Undang
No. 4 Tahun 2023 tentang Pengembangan dan Penguatan
Sektor Keuangan (“UU OJK”), yang tugas dan
wewenangnya meliputi pengaturan dan pengawasan
kegiatan jasa keuangan di sektor perbankan, pasar modal,
perasuransian, dana pensiun, lembaga pembiayaan dan
lembaga keuangan lainnya.

Para pemegang saham Perseroan yang namanya terdaftar
dalam Daftar Pemegang Saham.

Kantor Jasa Penilai Publik (KJPP) Sugianto Prasodjo dan
Rekan, penilai independen yang terdaftar di OJK yang
mengeluarkan laporan penilaian atas saham Perseroan.

Kantor Jasa Penilai Publik (KJPP) Suwendho Rinaldy dan
Rekan, penilai independen yang terdaftar di OJK yang
mengeluarkan laporan penilaian pendapat kewajaran atas
Harga Konversi.

Memesan Efek Terlebih Dahulu dalam rangka perbaikan

tertanggal 13 Februari 2015.

Surat Pemberitahuan Cessie tanggal 2 Desember 2024
yang memberitahukan pengalihan Perjanjian Fasilitas oleh
Rosewood Financial Holdings Limited kepada Oliva Vera
Dome Holding Ltd., berdasarkan Transfer Certificate Ketiga
tertanggal 30 November 2024.

Transfer Certificate tanggal 7 Desember 2012, Standard
Bank PLC selaku kreditur mengalihkan Perjanjian Fasilitas
berikut perubahannya kepada kreditur baru, yaitu Indies
Investments Pte Ltd., dan disepakati bahwa pengalihan
berlaku efektif sejak tanggal 12 Desember 2012.

Transfer Certificate tanggal 13 Februari 2015, Indies
Investments Pte. Ltd., selaku kreditur mengalihkan
Perjanjian Fasilitas berikut perubahannya kepada kreditur
baru, yaitu Rosewood Financial Holdings Limited dan
disepakati bahwa pengalihan berlaku efektif sejak tanggal
13 Februari 2015.

Transfer Certificate tanggal 30 November 2024, Rosewood
Financial Holdings selaku kreditur mengalihkan Perjanjian
Fasilitas berikut perubahannya kepada kreditur baru, yaitu
Oliva Vera Dome Holding Ltd., dan disepakati bahwa
pengalihan berlaku efektif sejak tanggal 30 November
2024.

Singkatan dari United States Dollar, mata uang yang sah di
Amerika Serikat atau Dolar Amerika Serikat.

Undang-Undang No. 40 Tahun 2007 tentang Perseroan
Terbatas sebagaimana diubah dengan Undang-Undang
No. 6 Tahun 2023 tentang Penetapan Peraturan
Pemerintah Pengganti Undang-Undang No. 2 Tahun 2022
tentang Cipta Kerja.

Pinjaman Perseroan kepada Kreditur Baru berupa jumlah
kewajiban dari pinjaman pokok berdasarkan Perjanjian
Fasilitas yang akan dikonversi menjadi Saham Baru yaitu
sebesar USD8.000.000 atau setara dengan
Rp129.296.000.000,- pada nilai tukar Rp16.162,-

Undang-Undang No. 8 tahun 1995 tentang Pasar Modal
sebagaimana diubah dengan Undang-Undang No. 4 Tahun
2023 tentang Pengembangan dan Penguatan Sektor
Keuangan.

|. KETERANGAN MENGENAI PMTHMETD

A. ALASAN DAN TUJUAN PMTHMETD

Berdasarkan Laporan Keuangan Konsolidasian Perseroan per 31 Desember 2024,
jumlah terutang Perseroan kepada Kreditur Baru berdasarkan Perjanjian Fasilitas
adalah sebesar USD19.332.681 atau setara dengan Rp312.454.790.322,- (nilai tukar
Rp16.162,00 per tanggal 31 Desember 2024) yang terdiri dari:

a. pinjaman pokok sebesar USD8.000.000 atau setara dengan Rp129.296.000.000,-:

dan

b. bunga sebesar USD11.332.681 atau setara dengan Rp183.158.790.322,-

Berdasarkan Pasal 6.1 Perjanjian Fasilitas Awal, Perseroan wajib untuk melunasi
Pinjaman dan semua jumlah lain yang masih terutang berdasarkan Dokumen Keuangan
(dalam Perjanjian Fasilitas disebut sebagai “Finance Documents”) secara penuh pada
Tanggal Jatuh Tempo Akhir (dalam Perjanjian Fasilitas Awal disebut sebagai “Final
Maturity Date”) yaitu 204 bulan sejak tanggal utilisasi pertama yang akan jatuh pada
tanggal 30 November 2028, atau pada tanggal lebih awal sebagaimana disyaratkan
berdasarkan ketentuan Perjanjian Fasilitas Awal.

Melihat ketidakmampuan Perseroan untuk melakukan kewajibannya/pembayaran baik
pinjaman pokok maupun bunga, Perseroan melakukan beberapa kali perpanjangan atas
Perjanjian Fasilitas. Meskipun secara konsolidasi nilai aset dan pendapatan
konsolidasian Perseroan menunjukkan hasil yang positif, mayoritas pendapatan
tersebut dikontribusikan oleh Entitas Anak. Entitas Anak, dalam operasionalnya juga
memiliki kewajiban utang dan beban bunga kepada kreditur masing-masing, sehingga
nilai yang tersisa untuk Perseroan selaku pemegang saham/perusahaan induk tidak
cukup untuk membayar kewajiban utang Perseroan kepada krediturnya.

Lebih lanjut, berdasarkan Pasal 8.2 Perjanjian Fasilitas Awal, tunduk pada Pasal 20
(Distribution Waterfall), Perseroan wajib membayar bunga yang telah jatuh tempo atas
setiap Pinjaman pada setiap Tanggal Pembayaran Bunga sebagai berikut:

a. 6 bulan setelah first Utilisation Date dan tanggal-tanggal 6 bulan setelahnya, dan
b. Final Maturity Date,

Sampai dengan tanggal Perubahan dan/atau Tambahan atas Keterbukaan Informasi ini
Perseroan belum pernah melakukan pembayaran atas pinjaman pokok berdasarkan
Perjanjian Fasilitas, sedangkan pembayaran bunga berdasarkan Perjanjian Fasilitas
dilakukan sebanyak 2 (dua) kali, yaitu pada 29 Juni 2012 sebesar USD522.300 dan
pada 31 Desember 2012 sebesar USD193.873.

Terkait dengan kewajiban pembayaran bunga pada Tanggal Pembayaran Bunga itu
sendiri, Pasal 20 Perjanjian Fasilitas Awal mengatur mengenai Distribution Waterfall
yang memuat pengaturan bagi Perseroan untuk memastikan bahwa semua dividen,
distribusi, serta pendapatan lainnya yang diterima dari waktu ke waktu akan
dialokasikan dalam urutan sebagai berikut:

a. Pertama, untuk pembayaran biaya operasional (operating expenditure) dan
belanja modal Perseroan (capital expenditure). Untuk menghindari keraguan,
penggunaan kas harus semata-mata digunakan untuk tujuan yang disebutkan di
atas dan tidak boleh digunakan untuk kegiatan bisnis atau operasional lainnya dari
Perseroan atau untuk tujuan lain apa pun,

b. Kedua, untuk pembayaran kembali atau (sebagaimana berlaku) pelunasan lebih
awal atas Pinjaman CIMB dan bunga yang telah jatuh tempo terkait pinjaman
tersebut,

c. Ketiga, untuk mempertahankan saldo kas minimum sebesar USD750.000 dalam
rekening bank mana pun milik Perseroan,

d. Keempat, untuk pembayaran secara pro rata atas biaya, ongkos, dan pengeluaran
yang belum dibayar kepada setiap Administrative Party berdasarkan Dokumen
Keuangan:

e. Kelima, untuk pembayaran secara pro rata atas bunga yang telah jatuh tempo
(termasuk bunga keterlambatan) yang terutang tetapi belum dibayar berdasarkan
Perjanjian Fasilitas ini,

f. Keenam, untuk pembayaran atau pelunasan lebih awal secara pro rata atas pokok
pinjaman yang telah jatuh tempo dan harus dibayarkan berdasarkan Perjanjian
Fasilitas ini, dan

9. Ketujuh, untuk pembayaran secara pro rata atas jumlah lain yang terutang tetapi
belum dibayarkan berdasarkan Dokumen Keuangan.

Sehubungan dengan Pasal 20 Perjanjian Fasilitas Awal tersebut, Pasal 37.2 Perjanjian
Fasilitas Awal lebih lanjut mengatur bahwa Kreditur Baru berhak untuk meminta
pelunasan lebih awal (prepayment) atas biaya, bunga yang telah jatuh tempo, atau
pokok pinjaman yang harus dibayarkan berdasarkan Perjanjian Fasilitas Awal ini,
apabila Perseroan memiliki kelebihan kas dan telah memenuhi kewajibannya kepada
CIMB atau pinjaman senior lainnya. Mengingat bahwa Kreditur Baru telah menerima
pengalihan hak dan seluruh kewajiban berdasarkan Perjanjian Fasilitas Awal dari
Rosewood Financial sebagai Kreditur Baru, Kreditur Baru merupakan pihak yang saat
ini berhak untuk meminta pelunasan lebih awal (prepayment) sebagaimana dimaksud
di atas.

Lebih lanjut, Pasal 21 Perjanjian Fasilitas Awal mengatur mengenai jenis-jenis kejadian
wanprestasi (events of default) yang dapat menjadi dasar wanprestasi dari Perseroan
terhadap Kreditur Baru. Salah satu kejadian wanprestasi yang diatur adalah mengenai
kegagalan membayar atau non-payment sebagaimana diatur di dalam Pasal 21.1
Perjanjian Fasilitas Awal di mana Perseroan akan dinyatakan wanprestasi apabila
Perseroan tidak melakukan pembayaran pada tanggal jatuh tempo atas jumlah yang
harus dibayarkan berdasarkan Dokumen Keuangan di tempat dan dalam mata uang
yang dinyatakan harus dibayarkan.

Sampai dengan tanggal Perubahan dan/atau Tambahan atas Keterbukaan Informasi
ini, Perseroan tidak pernah menerima surat peringatan apapun sebelumnya dari
kreditur-kreditur sebelum Kreditur Baru atas ketidakpatuhan Perseroan terhadap
Perjanjian Fasilitas Awal, khususnya sehubungand dengan pembayaran bunga dan
kewajiban penyampaian laporan. Namun demikian, pada tanggal 3 Desember 2024,
Kreditur Baru mengirimkan surat kepada Perseroan dengan merujuk kepada Pasal 21
Perjanjian Fasilitas Awal dan hak dari Kreditur Baru berdasarkan Pasal 37.2 Perjanjian
Fasilitas Awal, dimana Kreditur Baru menyatakan bahwa adanya wanprestasi yang
berkelanjutan (continuing events of default) atas kewajiban-kewajiban Perseroan
berdasarkan Perjanjian Fasilitas Awal (“Surat Kreditur Baru”), yaitu:

a. Pasal 8.2 (Pembayaran) terkait dengan kegagalan dalam melakukan pembayaran
bunga pada Tanggal Pembayaran Bunga:

b. Pasal 17 (Kewajiban Penyampaian Informasi), khususnya terkait dengan
penyampaian laporan keuangan triwulanan (baik laporan keuangan konsolidasian
maupun laporan keuangan non-konsolidasian) dari Perseroan dan Entitas Anak,
beserta dengan sertifikat kepatuhan,

Cc. Pasal 18 (Kovenan Keuangan), khususnya terkait dengan penyampaian laporan
belanja operasional tahunan dan belanja modal tahunan, dan

d. Pasal 19 (Kewajiban Umum), khususnya terkait dengan divestasi saham entitas
anak MNK, pengambilan pinjaman baru oleh Perseroan dan/atau Entitas Anak,
konversi pinjaman Island Spice Limited menjadi saham, pengangkatan auditor
selain auditor yang telah disetujui tanpa persetujuan terlebih dahulu, dan
pelunasan pinjaman subordinasi.

Atas dasar ini, Kreditur Baru menjalankan haknya berdasarkan Pasal 37.2 (Rights of the
New Lender), Pasal 21.17 (Acceleration) dan Pasal 7.6 (Mandatory Prepayment) dalam
Perjanjian Fasilitas Awal, dan meminta agar Perseroan untuk membayar semua utang
tertunggak berdasarkan Perjanjian Fasilitas Awal selambat-lambatnya 31 Desember
2024. Dengan demikian, merujuk pada Pasal 21.1 dan Pasal 37.2 Perjanjian Fasilitas
Awal, Perseroan dinyatakan wanprestasi dan oleh karenanya Perjanjian Fasilitas Awal
menjadi jatuh tempo.

Atas Surat Kreditur Baru yang meminta adanya pembayaran semua utang tertunggak
berdasarkan Perjanjian Fasilitas Awal selambat-lambatnya 31 Desember 2024,
Perseroan telah menyampaikan tanggapan berdasarkan Surat Perseroan No.
132/B/Respond/Oliva/AIR/XI1/2024 tertanggal 19 Desember 2024 yang menyatakan
bahwa Perseroan tidak dapat memenuhi kewajiban Perseroan sebagaimana diminta di

Perseroan telah menerima dan menyetujui syarat dan ketentuan yang disampaikan oleh
Kreditur tersebut pada tanggal 10 Februari 2025 dan karenanya Perseroan bermaksud
untuk meminta persetujuan RUPSLB untuk melakukan konversi atas Pinjaman
Perseroan menjadi saham-saham baru Perseroan melalui PMTHMETD yang
merupakan syarat untuk bisa melanjutkan negosiasi mengenai restruktrurisasi atas
Perjanjian Fasilitas. Penjelasan mengenai Riwayat Pinjaman Perseroan dijelaskan lebih
lanjut pada bagian VIII Keterbukaan Informasi ini.

Persyaratan untuk pengeluaran Saham Baru melalui PMTHMETD ini dilakukan dalam
rangka memperbaiki kondisi keuangan Perseroan sebagaimana dimaksud dalam Pasal
3 huruf ajo. Pasal 8B huruf c POJK 14/2019 telah terpenuhi dengan penjelasan sebagai
berikut:

a Pinjaman Perseroan berdasarkan Perjanjian Fasilitas, yang telah diungkapkan
dalam Laporan Keuangan Konsolidasian Perseroan, dinyatakan jatuh tempo oleh
Kreditur Baru berdasarkan surat dari Kreditur Baru tertanggal 3 Desember 2024,
karena Perseroan tidak dapat memenuhi kewajiban-kewajibannya secara
berulang/berkelanjutan berdasarkan Perjanjian Fasilitas,

b. Perseroan, secara non-konsolidasi sesuai dengan ketentuan Pasal 20 Perjanjian
Fasilitas, tidak memiliki kemampuan untuk untuk membayar bunga yang telah
jatuh tempo. Perseroan merupakan perusahaan induk (holding company).
Kemampuan Perseroan untuk membayar kewajiban kepada krediturnya tunduk
pada pendapatan yang diperoleh Perseroan dari dividen entitas anak. Di sisi lain,
pembagian dividen oleh entitas anak tergantung dari persetujuan kreditur, kondisi
keuangan, dan persetujuan RUPS. Dengan demikian, Perseroan
mempertimbangkan laporan keuangan secara non-konsolidasi,

Cc. Kreditur Baru adalah pihak yang tidak terafiliasi dengan Perseroan,

d.  Kreditur Baru menyetujui, konversi Pinjaman Perseroan menjadi saham
sepanjang Perseroan telah mendapatkan persetujuan-persetujuan yang
disyaratkan, dalam hal ini persetujuan RUPSLB.

Sehubungan dengan hal di atas dan sebagai pemenuhan ketentuan dalam POJK
14/2019, dalam melakukan PMTHMETD, Perseroan akan menyelenggarakan RUPSLB
pada tanggal 8 Mei 2025 dan oleh karenanya Perseroan menyampaikan informasi
sebagaimana tercantum dalam Keterbukaan Informasi ini bersamaan dengan
Pengumuman RUPSLB agar seluruh pemegang saham Perseroan mengetahui
informasi secara lengkap mengenai rencana PMTHMETD ini dan menyetujui rencana
tersebut dalam RUPSLB sehingga:

a. Sesuai dengan Harga Konversi, Perseroan akan menerbitkan Saham Baru
sebanyak 656.324.873 lembar saham baru dengan nilai nominal Rp100,- per
lembar saham, yang merupakan 27,654 dari Modal Ditempatkan dan Disetor
Perseroan (sebelum PMTHMETD): dan

b. Perseroan dapat melanjutkan proses negosiasi dan/atau restrukturisasi Perjanjian
Fasilitas dengan Kreditur Baru dan dengan restrukturisasi tersebut diharapkan
dapat meringankan beban keuangan Perseroan sehingga dipandang sebagai
pilihan terbaik bagi Perseroan dan seluruh pemegang saham Perseroan.

MANFAAT PMTHMETD

Meskipun pelaksanaan PMTHMETD ini dilaksanakan tidak dengan berupa setoran
tunai, namun PMTHMETD tetap memberikan efek peningkatan modal disetor sebagai
komponen ekuitas yang berasal dari hasil konversi atas Pinjaman Perseroan kepada
Kreditur Baru menjadi Saham Baru.

Pelaksanaan PMTHMETD akan meningkatkan jumlah ekuitas Perseroan menjadi
sebesar USD67.612.655 dari sebelumnya sebesar USD59.612.655 dan menurunkan
rasio utang terhadap ekuitas menjadi sebesar 160,48Y2.

Penurunan rasio utang terhadap ekuitas akan meningkatkan fleksibilitas Perseroan
dalam mencari pembiayaan baru yang dibutuhkan di masa mendatang.

RENCANA PENGGUNAAN DANA PMTHMETD

PMTHMETD dilakukan dalam rangka konversi atas Pinjaman Perseroan dan tidak
terdapat pelaksanaan PMTHMETD yang dibayar secara tunai sehingga penggunaan
PMTHMETD adalah sebagai penyelesaian Pinjaman Perseroan kepada Kreditur Baru.

HARGA PELAKSANAAN PMTHMETD

Sesuai dengan ketentuan dalam Peraturan No. I-A dan mengingat bahwa Perseroan
melakukan PMTHMETD dalam rangka memperbaiki posisi keuangan, maka penetapan
harga pelaksanaan ditentukan berdasarkan kesepakatan para pihak, dilaksanakan
dengan wajar (arm's length transaction), tidak melanggar undang-undang yang berlaku
dan dilaksanakan dengan tidak merugikan pemegang saham bukan pengendali dan
bukan pemegang saham utama.

Kreditur Baru, dalam suratnya tertanggal 27 Maret 2025, telah menyetujui usulan Harga
Konversi yang mengacu kepada hasil penilaian harga wajar atas saham Perseroan
berdasarkan Laporan KJPP SPR No. 00044/2.0131-09/BS/02/0643/1/111/2025 tanggal
26 Maret 2025, yaitu sebesar Rp197,- per lembar saham.

Ringkasan Laporan Penilaian Saham dan Laporan Pendapat Kewajaran dapat dilihat
pada sub bagian F di bawah ini.

PERSETUJUAN PIHAK KETIGA

Sehubungan dengan pelaksanaan PMTHMETD yang akan mengakibatkan perubahan
Anggaran Dasar Perseroan, terutama mengenai struktur permodalan dan susunan
pemegang saham, Perseroan wajib untuk mendapatkan persetujuan tertulis terlebih
dahulu dari PT Bank Pan Indonesia Tbk (“Bank Panin”), selaku kreditur Perseroan
berdasarkan Akta Perjanjian Kredit dan Perjanjian Jaminan No. 05 tanggal 4 September
2024, yang dibuat di hadapan Sri Rahayuningsih, SH., notaris di Jakarta Pusat
(selanjutnya beserta seluruh perubahan/amandemennya disebut sebagai “Perjanjian
Kredit Bank Panin”). Perseroan telah menerima persetujuan Bank Panin terkait
pelaksanaan RUPSLB yang rencananya akan dilaksanakan pada tanggal 8 Mei 2025
dengan agenda utama perubahan Pasal 3 Anggaran Dasar Perseroan dan PMTHMETD
untuk mengkonversi utang Perseroan kepada Oliva Vera Dome Holding Ltd., menjadi
saham-saham Perseroan sebagaimana dinyatakan dalam surat Bank Panin No.
0359/CIB/EXT/25 tanggal 16 April 2025.

Perseroan dengan ini memastikan tidak ada persetujuan lain yang dibutuhkan selain
persetujuan tertulis dari Bank Panin, yang telah diterima oleh Perseroan

Laporan Penilaian Saham

Berdasarkan Laporan Penilaian KJPP Sugianto Prasodjo dan Rekan dengan Nomor
Laporan Penilaian No. 00044/2.0131-09/BS/02/0643/1/111/2025 tanggal 26 Maret
2025 dengan Penilai Publik yang bertanggung jawab adalah Ginanjar Rizki Tarekat,
S.T, M.Ec.Dev, MAPPI (Cert) dengan izin Penilai Publik Properti dan Bisnis dengan
Nomor Izin No. P-1.18.00532 berdasarkan Surat Keputusan Menteri Keuangan
Nomor 782/KM.1/2018 Tanggal 17 Desember 2018 dan Nomor Izin Penilai Publik
No. B-1.23.00643 berdasarkan Surat Keputusan Menteri Keuangan Nomor
214/KM.1/2023 Tanggal 17 Mei 2023.

Penilaian ini menggunakan Pendekatan Aset. Pendekatan Aset dilakukan pada
Perseroan karena — perusahaan adalah perusahaan holding non-operating,
sedangkan pada anak dan entitas perusahaannya kami melakukan dua Pendekatan
yaitu Pendekatan Pendapatan dan Pendekatan Aset. Pendekatan Pendapatan
digunakan dalam penilaian ini karena anak perusahaan yang masih beroperasi
(going concern) sehingga pendekatan pendapatan akan mengakomodir potensi
pendapatan perusahaan di masa yang akan datang yang akan tercermin dalam nilai
perusahaan. Pendekatan Aset digunakan dikarenakan didalam neraca keuangan
historis anak perusahaan memiliki aset berwujud dalam jumlah yang signifikan.
Penilaian ini menggunakan Pendekatan Aset dengan metode Penyesuaian Aktiva
Bersih (Adjusted Book Value Method) (ABV).

Kesimpulan nilai menghasilkan Nilai Pasar pada tanggal penilaian pada
tanggal 31 Desember 2024 yaitu sebesar USD 29.010.000 atau setara dengan
Rp 468.859.620.000 dengan jumlah lembar saham yang beredar adalah
2.373.449.165 dengan nilai per lembar saham sebesar Rp 197.

Laporan Pendapat Kewajaran

Perseroan telah meminta penilai independen yang terdaftar di OJK, yaitu KJPP
Suwendho Rinaldy dan Rekan (“KJPP SRR”) dengan Penilai Publik Heribertus Eri
Hestiyanto, sebagai pihak independen untuk memberikan pendapat atas kewajaran
rencana Perseroan untuk melakukan restrukturisasi atas kewajiban kepada Kreditur
Baru dengan melakukan konversi atas Pinjaman Perseroan menjadi Saham Baru
berdasarkan Harga Konversi melalui Penambahan Modal Tanpa Hak Memesan
Efek Terlebih Dahulu dalam rangka perbaikan posisi keuangan dengan
memperhatikan POJK 14/2019 (“Rencana Transaksi”).

KJPP SRR yang memiliki izin usaha dari Kementerian Keuangan No.
1056/KM.1/2009 tertanggal 20 Agustus 2009 dan terdaftar sebagai Profesi
Penunjang Pasar Modal di OJK Surat Tanda Terdaftar (STTD) Profesi Penunjang
Pasar Modal No. STTD.PB-05/PJ-1/PM.02/2023 tanggal 24 Mei 2023 (Penilai
Bisnis), telah ditunjuk oleh Perseroan sebagai penilai independen sesuai dengan
proposal No. 250310.001/SRR-JK/SPN-F/OKAS/EH tanggal 10 Maret 2025 yang
telah disetujui oleh manajemen Perseroan untuk memberikan pendapat atas
kewajaran Rencana Transaksi.

KJPP SRR menyatakan tidak mempunyai hubungan afiliasi baik secara langsung

maupun tidak langsung dengan Perseroan sebagaimana didefinisikan dalam
UUPM.

Berikut adalah ringkasan laporan pendapat kewajaran No. 00126/2.0059-
02/BS/05/0457/1/111/2025 tanggal 27 Maret 2025 yang disusun oleh KJPP SRR
(“Pendapat Kewajaran?):

a. Pihak-Pihak yang Bertransaksi

- Perseroan, yang bertindak sebagai pihak yang akan menerbitkan Saham
Baru, dan

-  Kreditur Baru, yang bertindak sebagai pihak yang akan mengambil Saham
Baru sebagai hasil dari Rencana Transaksi

b. Objek Pendapat Kewajaran

Objek Pendapat Kewajaran adalah Rencana Transaksi, atau rencana
Perseroan untuk melakukan restrukturisasi atas kewajiban kepada Kreditur
Baru dengan melakukan konversi atas Pinjaman Perseroan menjadi Saham
Baru berdasarkan Harga Konversi melalui Penambahan Modal Tanpa Hak
Memesan Efek Terlebih Dahulu dalam rangka perbaikan posisi keuangan
dengan memperhatikan POJK 14/2019

c. Tujuan Pendapat Kewajaran

Pendapat Kewajaran disusun dengan maksud dan tujuan untuk memberikan
gambaran mengenai kewajaran atas Rencana Transaksi

d. Asumsi dan Kondisi Pembatas

Asumsi dan kondisi pembatas yang digunakan dalam Pendapat Kewajaran
adalah sebagai berikut:

- Pendapat Kewajaran merupakan laporan yang bersifat non-disclaimer
opinion.

- KJPP SRR telah melakukan penelaahan atas dokumen-dokumen yang
digunakan dalam proses penyusunan Pendapat Kewajaran.

- Data dan informasi yang diperoleh berasal dari sumber yang dapat dipercaya
keakuratannya.

- Analisis dalam penyusunan Pendapat Kewajaran dilakukan dengan
menggunakan proyeksi keuangan yang telah disesuaikan yang
mencerminkan kewajaran proyeksi keuangan yang dibuat oleh manajemen
Perseroan dengan kemampuan pencapaiannya (fiduciary duty).

- KJPP SRR bertanggung jawab atas pelaksanaan penyusunan Pendapat
Kewajaran dan kewajaran proyeksi keuangan.

- Pendapat Kewajaran merupakan laporan yang terbuka untuk publik kecuali
terdapat informasi yang bersifat rahasia yang dapat memengaruhi
operasional Perseroan.

-  KJPP SRR bertanggung jawab atas Pendapat Kewajaran dan kesimpulan
Pendapat Kewajaran.

-  KJPP SRR telah memperoleh informasi atas syarat-syarat dan ketentuan-
ketentuan dalam perjanjian-perjanjian yang terkait dengan Rencana
Transaksi dari Perseroan.

e. Pendekatan dan Metode Pendapat Kewajaran

Pendekatan yang digunakan dalam penilaian kewajaran Rencana Transaksi
adalah sebagai berikut:

Analisis Kualitatif

Analisis kualitatif dan kuantitatif atas Rencana Transaksi dilakukan dengan
melakukan tinjauan atas industri pertambangan yang akan memberikan
gambaran umum mengenai perkembangan kinerja industri pertambangan,
melakukan analisis atas kegiatan operasional dan prospek usaha Perseroan,
alasan dilakukannya Rencana Transaksi , keuntungan dan kerugian dari
Rencana Transaksi

Dengan melakukan Rencana Transaksi, Perseroan akan memperoleh
manfaat sebagai berikut:

- Meningkatkan struktur permodalan dan keuangan Perseroan dan
memperbaiki rasio utang terhadap ekuitas perseroan.

- Meningkatkan likuiditas perdagangan saham Perseroan karena
bertambahnya jumlah saham beredar.

- Memperbaiki kinerja keuangan Perseroan dimasa yang akan datang
karena berkurangnya pembayaran beban bunga.

Adapun risiko dari dilakukannya Rencana Transaksi adalah:

- Dengan masuknya pemegang saham baru maka, pemegang saham
eksisting akan terdilusi.

- Tidak ada pemegang saham yang menjadi pengendali atas saham
Perseroan.

Analisis Kuantitatif

Analisis kualitatif atas Rencana Transaksi dilakukan dengan melakukan
analisis atas kinerja keuangan historis Perseroan berdasarkan laporan
keuangan konsolidasian Perseroan untuk tahun yang berakhir pada tanggal-
tanggal 31 Desember 2020-2024 yang telah diaudit.

Selanjutnya, KJPP SRR juga melakukan analisis atas laporan proforma dan
analisis inkremental atas Rencana Transaksi, dimana setelah Rencana
Transaksi menjadi efektif, berdasarkan proyeksi keuangan konsolidasian
Perseroan diharapkan dapat meningkatkan kinerja keuangan konsolidasian
Perseroan dan memberikan nilai tambah bagi seluruh pemegang saham
Perseroan.

Berdasarkan proforma laporan keuangan Perseroan sebelum Rencana
Transaksi dan setelah Rencana Transaksi terlihat bahwa dengan
dilakukannya Rencana Transaksi tidak terdapat perubahan pada proforma
laporan laba (rugi) Perseroan dan proforma laporan posisi keuangan
Perseroan yang ditunjukkan dengan rasio lancar, rasio cepat, imbal hasil
aset (return on assets/ROA), margin laba usaha, maupun margin laba bersih
sebelum Rencana Transaksi dan setelah Rencana Transaksi yang masing-
masing tetap yaitu sebesar 1,30 kali, 0,07 kali, 14,746, 26,13Yo, dan 14,24Y6,
sementara rasio utang terhadap ekuitas (DER) Perseroan mengalami
penurunan dari 97,7896 turun menjadi 74,386.

Berdasarkan proyeksi keuangan Perseroan tanpa Rencana Transaksi dan
dengan Rencana Transaksi terlihat bahwa dengan Rencana Transaksi
selama periode proyeksi tahun 2025 sampai dengan tahun 2030 terjadi
perubahan sebagai berikut:

- Rata-rata margin laba bersih Perseroan tanpa Rencana Transaksi
selama periode proyeksi tahun 2025 sampai dengan tahun 2030
adalah 13,77Yo dan dengan Rencana Transaksi naik menjadi 14,004.

- Rata-rata rasio lancar Perseroan tanpa Rencana Transaksi selama
periode proyeksi tahun 2025 sampai dengan tahun 2030 adalah 2,45
kali dan dengan Rencana Transaksi naik menjadi 2,48 kali.

- Rata-rata rasio cepat Perseroan tanpa Rencana Transaksi selama
periode proyeksi tahun 2025 sampai dengan tahun 2030 adalah 1,92
kali dan dengan Rencana Transaksi naik menjadi 1,95 kali.

- Rata-rata ROA Perseroan tanpa Rencana Transaksi selama periode
proyeksi tahun 2025 sampai dengan tahun 2030 adalah 13,89Yo dan
dengan Rencana Transaksi naik menjadi 14,03Y4.

- Rata-rata DER Perseroan tanpa Rencana Transaksi selama periode
proyeksi tahun 2025 sampai dengan tahun 2030 adalah 76,364 dan
dengan Rencana Transaksi turun menjadi 61,957.

- Rata-rata rasio times interest earned ratio/TIE Perseroan tanpa
Rencana Transaksi selama periode proyeksi tahun 2025 sampai
dengan tahun 2030 adalah 8,03 kali dan dengan Rencana Transaksi
naik menjadi 8,73 kali.

f. Kesimpulan
Berdasarkan analisis kewajaran atas Rencana Transaksi yang telah
dilakukan, KJPP SRR berpendapat bahwa Rencana Transaksi adalah
wajar.

Il. URAIAN SINGKAT MENGENAI PERSEROAN
A. RIWAYAT SINGKAT PERSEROAN

Perseroan, didirikan dengan nama PT Okansa Persada yang berkedudukan di Jakarta
berdasarkan Akta Pendirian Perseroan Terbatas No. 36 tanggal 15 September 2003
yang dibuat di hadapan Sugito Tedjamulja, S.H., Notaris di Jakarta, telah mendapat
pengesahan oleh Menkum dalam keputusannya tertanggal 16 Oktober 2003 Nomor: C-
24761 HT.01.01.TH.2003 dan telah didaftarkan dalam daftar perusahaan dengan No.
TDPO090315341015 di Kantor Pendaftaran Perusahaan Kodya Jakarta Selatan No.
237/BH.09.03/11/2003, serta telah diumumkan di dalam Berita Negara Republik
Indonesia No. 2738 tanggal 16 Maret 2004, Tambahan No. 2738 (“Akta Pendirian”).

Anggaran Dasar sebagaimana dimuat dalam Akta Pendirian tersebut telah diubah
beberapa kali, dan terakhir kali diubah dengan Akta Pernyataan Keputusan Rapat No.
27 tanggal 19 Oktober 2023, yang dibuat di hadapan Kirana Ivyminerva Wilamarta, S.H.,
L.L.M, Notaris di Jakarta Barat, perubahan Anggaran Dasar mana telah diberitahukan
kepada Menkumham berdasarkan Surat Penerimaan Pemberitahuan Perubahan
Anggaran Dasar No. AHU-AH.01.03-0135279 tanggal 31 Oktober 2023 dan telah
terdaftar dalam Daftar Perseroan Perseroan pada Kemenkumham No. AHU-
0217379.AH.01.11.TAHUN 2023 tanggal 31 Oktober 2023 serta telah diumumkan di
dalam Berita Negara Republik Indonesia No. 88 tanggal 3 November 2023, Tambahan
No. 34174 (“Akta No. 27/2023”).

Anggaran dasar Perseroan sebagaimana dimuat dalam Akta Pendirian beserta
perubahannya tersebut di atas selanjutnya disebut sebagai “Anggaran Dasar
Perseroan”.

Saat ini Perseroan berdomisili di Jakarta Selatan, dengan kantor pusat di Eguity Tower
Lt. 41, Sudirman Central Business District, Lot 9, Jl. Jend Sudirman Kav. 52-53, Jakarta,
Indonesia, 12190. Perseroan tidak membuka kantor cabang.

KEGIATAN USAHA PERSEROAN

Berdasarkan Pasal 3 Anggaran Dasar Perseroan sebagaimana dinyatakan dalam Akta
Pernyataan Keputusan Rapat Umum Pemegang Saham Luar Biasa Nomor 88 tanggal
31 Agustus 2021 yang dibuat dihadapan Fathiah Helmi, S.H., Notaris di Jakarta yang
telah mendapatkan persetujuan dari Menteri Hukum dan Hak Asasi Manusia Republik
Indonesia Nomor AHU-0059027.AH.02.01.Tahun 2021 tanggal 25 Oktober 2021 dan
telah diumumkan dalam Berita Negara Republik Indonesia Nomor 48 tanggal 16 Juni
2023, Tambahan Nomor 17189 (“Akta No.88/2021”), maksud dan tujuan Perseroan
adalah berusaha di bidang pertambangan, perdagangan, pengangkutan, pertanian,
industri, pembangunan dan jasa baik secara langsung maupun tidak langsung melalui
anak perusahaan Perseroan.

Untuk mencapai maksud dan tujuan tersebut, Perseroan dapat melaksanakan kegiatan
usaha sebagai berikut:

a. Pertambangan, melalui kegiatan usaha sebagai berikut:
1) Aktivitas Penunjang Pertambangan Minyak dan Gas Alam (KBLI 09100),
dan
2) Aktivitas Penunjang Pertambangan dan Penggalian Lainnya (KBLI 09900).

b. Perdagangan, melalui kegiatan usaha sebagai berikut:
1) Perdagangan Besar atas Dasar Balas Jasa (Fee) atau Kontrak (KBLI
46100):
2) Perdagangan Besar Bahan Bakar Padat, Cair, dan Gas dan Produk YBDI
(KBLI 46610): dan
3) Perdagangan Besar Logam dan Bijih Logam (KBLI 46620).

Berdasarkan Nomor Induk Berusaha (NIB) 0220308200056, Perseroan menjalankan
kegiatan usaha secara aktual dan sebenar-benarnya dalam Aktivitas Konsultasi
Manajemen Lainnya (KBLI 70209) bersama-sama dengan Aktivitas Perusahaan
Holding sebagaimana diungkapkan dalam Laporan Keuangan Konsolidasian, yaitu
Perseroan tidak memiliki kegiatan operasi aktif, kecuali yang berhubungan dengan
peranannya sebagai perusahaan induk (holding company).

IV. ANALISIS DAN PEMBAHASAN MANAJEMEN MENGENAI PENGARUH
PMTHMETD TERHADAP KONDISI KEUANGAN PERSEROAN SEBELUM DAN
SESUDAH PMTHMETD

Merujuk pada alasan dan tujuan PMTHMETD, manajemen Perseroan menyimpulkan bahwa
PMTHMETD melalui konversi Pinjaman Perseroan yang diungkapkan dalam Keterbukaan
Informasi ini akan memberikan manfaat-manfaat sebagai berikut:
- Menurunkan total liabilitas yang sebelum PMTHMED sebesar USD116.501.526 menjadi
USD108.501.526,

- Meningkatkan total ekuitas yang sebelum PMTHMETD sebesar USD59.612.655
menjadi USD67.612.655,

- Memperbaiki struktur permodalan Perseroan,

- Memperbaiki rasio utang terhadap ekuitas Perseroan yang sebelum PTMHMETD
sebesar 97,78Ys menjadi 74,384 setelah PMTHMETD,

- Meningkatkan likuiditas perdagangan saham Perseroan karena bertambahnya jumlah

saham beredar,

Memperbaiki kinerja keuangan Perseroan di masa yang akan datang karena
berkurangnya pembayaran beban bunga yang secara total sampai jatuh tempo,
Menambah jumlah ekuitas yang berasal dari Konversi Pinjaman kepada Kreditur Baru
tersebut sehingga dapat mempertahankan kesinambungan Perseroan dimasa yang
akan datang (going concern) dan Perseroan dapat meningkatkan kepercayaan di mata
para pemangku kepentingan (stakeholders):

- Membuka kesempatan bagi investor-investor strategis yang berminat menginvestasikan
modalnya dalam Perseroan dan dapat memberikan nilai tambah bagi kinerja Perseroan.

V. RISIKO ATAU DAMPAK PMTHMETD KEPADA PEMEGANG SAHAM TERMASUK
DILUSI

Setelah PMTHMETD dilaksanakan, maka persentase kepemilikan dari pemegang saham lain
akan mengalami penurunan (dilusi) sebanyak 21,664.

VII. KETERANGAN MENGENAI KREDITUR BARU DAN RIWAYAT PINJAMAN
PERSEROAN

Oliva Vera Dome Holding Ltd. (“Oliva”) adalah suatu badan hukum yang didirikan
berdasarkan hukum yang berlaku di Bahamas dan beralamat di MMG Bahamas Ltd., Suite
102, Saffrey Sguare, Bank Lane & Bay Street, Nassau, Bahamas.

Oliva tidak memiliki hubungan afiliasi dengan Perseroan.

Kegiatan Usaha: (a) pembelian, penjualan, pengalihan, pelepasan, pembiayaan, barter,
kepemilikan, administrasi, pemberian atau penerimaan pinjaman, komisi, hipotek, jaminan,
sewa, penggunaan, hak guna usaha, atau penerimaan segala jenis properti, baik berupa aset
nyata maupun pribadi, saham, atau hak-hak lainnya, (b) melakukan dan menerima segala
bentuk perjanjian, kontrak, operasi, bisnis, serta transaksi perdagangan yang sah, dan (c)
membuka dan mengelola rekening bank di Bahama maupun di luar negeri.

Riwayat Pinjaman Perseroan
Berdasarkan Perjanjian Fasilitas, Perseroan telah menerima fasilitas pinjaman dari Standard

Investments Pte. Ltd., yang berlaku efektif pada tanggal 12 Desember 2012, Cessie Kedua
kepada Rosewood Financial Holdings Limited yang berlaku efektif pada tanggal 13 Februari
2015, dan Cessie Ketiga kepada Kreditur Baru yang berlaku yang berlaku efektif tanggal 30
November 2024.

Sesuai dengan Cessie Ketiga, jumlah Pinjaman (tanpa jaminan) yang dialihkan oleh
Rosewood Financial Holdings Limited kepada Kreditur Baru adalah sebagai berikut:

Total Kewajiban : USD19.182.150

dimana jumlah kewajiban tersebut di atas akan bertambah terus sampai dengan dilunasinya
seluruh kewajiban oleh Perseroan kepada Kreditur Baru.

Berdasarkan Surat Kreditur Baru 1, Kreditur Baru menyatakan:

- bahwa Perseroan telah melakukan wanprestasi yang berkelanjutan atas sejumlah
pelanggaran, yaitu atas (i) kewajiban-kewajiban yang diatur dalam Pasal 17, Pasal 18,
dan Pasal 19, serta (ii) kewajiban pembayaran bunga yang diatur dalam Pasal 8.2,

- sehingga sesuai dengan ketentuan dalam Pasal 37.2, Pasal 21.7 dan Pasal 7.6, Kreditur
Baru menyatakan seluruh jumlah Pinjaman menjadi jatuh tempo dan wajib dibayar,

-  Kreditur Baru juga meminta Perseroan untuk melunasi seluruh Pinjaman lebih awal,
selambat-lambatnya tanggal 31 Desember 2024, kecuali pelanggaran-pelanggaran
tersebut telah diperbaiki sebelum tanggal tersebut.

Berdasarkan Surat Kreditur Baru 2, Kreditur Baru bersedia untuk membahas negosiasi

mengenai restrukturisasi dengan tunduk pada syarat dan ketentuan sebagai berikut:

1. Pinjaman pokok sebesar USD8.000.000 dikonversi menjadi saham-saham baru
Perseroan dengan Harga konversi akan ditentukan berdasarkan penilaian independen,
dengan ketentuan Perseroan telah memperoleh semua persetujuan yang diperlukan
sesuai dengan peraturan yang berlaku,

2. Restrukturisasi atas bunga yang belum dibayar dan/atau jumlah yang terakumulasi hanya
dapat dinegosiasikan setelah Perseroan memperoleh persetujuan sebagaimana
disebutkan dalam poin (1) di atas dimana syarat dan ketentuan restrukturisasi ini akan
sepenuhnya berdasarkan kebijakan Kreditur Baru sepenuhnya,

3. Restrukturisasi atas Perjanjian Fasilitas akan hanya berlaku dan efektif setelah dilakukan
amandemen yang diperlukan dan/atau pernyataan kembali Perjanjian Fasilitas, setelah
pemenuhan syarat dan ketentuan dalam poin (1) dan (2) tersebut di atas,

4. Pelepasan atas ketidakpatuhan Perseroan atas pelaksanaan kewajiban dalam Perjanjian
Fasilitas akan diberikan apabila Perseroan menerima dan menyetujui Surat Kreditur Baru
2 tersebut.

Setelah Perseroan menandatangani Surat Kreditur Baru 2 sebagai penerimaan dan
persetujuan, Kreditur Baru memberikan Perseroan persetujuan pelepasan atas
ketidakpatuhan pelaksanaan kewajiban Perseroan dalam Pasal 17, 18, dan 19 Perjanjian
Fasilitas.

IX. REKOMENDASI DIREKSI DAN DEWAN KOVMISARIS PERSEROAN

Direksi dan Dewan Komisaris Perseroan merekomendasikan kepada seluruh Pemegang
Saham Perseroan untuk menyetujui usulan PMTHMETD sebagaimana diuraikan dalam
Keterbukaan Informasi ini. Dalam memberikan rekomendasi tersebut kepada Pemegang
Saham Perseroan, Direksi dan Dewan Komisaris Perseroan telah mempertimbangkan manfaat
dan dampak keuangan dari usulan PMTHMETD. Oleh karena itu, Direksi dan Dewan Komisaris
berkeyakinan bahwa pelaksanaan usulan PMTHMETD merupakan pilihan yang terbaik saat ini
bagi Perseroan dan seluruh Pemegang Saham Perseroan.

X. RAPAT UMUM PEMEGANG SAHAM LUAR BIASA

Sesuai dengan ketentuan peraturan perundang-undangan yang berlaku, PMTHMETD akan
dimintakan persetujuan Pemegang Saham Perseroan dalam RUPSLB yang akan
diselenggarakan pada 8 Mei 2025. Waktu dan tempat penyelenggaraan RUPSLB akan
diumumkan lebih lanjut dalam Pemanggilan RUPSLB pada tanggal 16 April 2025.

Pemegang Saham Perseroan yang berhak hadir atau diwakili dalam RUPSLB tersebut adalah
Pemegang Saham Perseroan yang namanya tercatat dalam DPS pada tanggal 15 April 2025
pukul 16.00 WIB dan/atau pemilik saham Perseroan pada sub-rekening efek di PT Kustodian
Sentral Efek Indonesia (KSEI) pada penutupan perdagangan saham Perseroan di BEI tanggal
15 April 2025.

Perseroan akan meminta persetujuan dari RUPSLB dengan memperhatikan ketentuan yang
diatur dalam POJK 15/2020 dan POJK 16/2020, untuk melakukan PMTHMETD sebagaimana
tercantum dalam Keterbukaan Informasi ini.

Adapun kuorum untuk pelaksanaan PMTHMETD dan perubahan Anggaran Dasar akibat
pelaksanaan PMTHMETD adalah sebagai berikut:

1. RUPSLB harus dihadiri oleh Pemegang Saham Perseroan dan/atau wakil mereka yang
sah yang bersama-sama mewakili paling sedikit 1/2 (satu per dua) bagian dari jumlah
seluruh saham dengan hak suara yang sah. Keputusan RUPSLB adalah sah jika disetujui
oleh Pemegang Saham Perseroan dan/atau wakil mereka yang sah yang bersama-sama

mewakili lebih dari 1/2 (satu per dua) bagian dari jumlah seluruh saham dengan hak suara
yang hadir dalam RUPSLB.

2. Dalam hal kuorum kehadiran sebagaimana dimaksud dalam angka (1) tidak tercapai,
maka dalam RUPSLB kedua adalah sah apabila dihadiri oleh Pemegang Saham
Perseroan dan/atau wakil mereka yang sah yang bersama-sama mewakili paling sedikit
1/3 (satu per tiga) bagian dari jumlah seluruh saham dengan hak suara yang sah.
Keputusan RUPSLB adalah sah jika disetujui oleh Pemegang Saham Perseroan dan/atau
wakil mereka yang sah yang bersama-sama mewakili lebih dari 1/2 (satu per dua) bagian
dari seluruh saham dengan hak suara yang hadir dalam RUPSLB.

3. Dalam hal kuorum kehadiran pada RUPSLB kedua sebagaimana dimaksud pada angka
(2) tidak tercapai, RUPSLB ketiga dapat diadakan dengan ketentuan RUPSLB ketiga sah
dan berhak mengambil keputusan jika dihadiri oleh pemegang saham dari saham dengan
hak suara yang sah dalam kuorum kehadiran dan kuorum keputusan yang ditetapkan
oleh OJK atas permohonan Perseroan.

Sesuai dengan Pasal 17 dan 18 POJK 15/2020, bahan terkait mata acara rapat berupa salinan
dokumen elektronik tersedia bagi pemegang saham sejak tanggal dilakukannya pemanggilan
RUPSLB sampai dengan RUPSLB diselenggarakan dan dapat diakses dan diunduh melalui
situs web Perseroan (www.ancorair.com).

Perseroan menghimbau kepada para pemegang saham untuk memberikan kuasa secara
elektronik melalui fasilitas Electronic General Meeting System KSEI (eASY.KSEI) yang akan
disediakan oleh KSEI sebagai mekanisme pemberian kuasa secara elektronik (“e-Proxy”)
dalam proses penyelenggaraan Rapat. Prosedur, panduan registrasi, penggunaan dan
penjelasan lebih lanjut terkait e-Proxy dapat diakses pada Aplikasi eASY.KSEI. Fasilitas e-
Proxy ini tersedia bagi pemegang saham yang berhak hadir dalam RUPSLB sejak tanggal
pemanggilan RUPSLB sampai sehari sebelum hari penyelenggaraan RUPSLB yaitu tanggal 7
Mei 2025.

XI. INFORMASI TAMBAHAN

Untuk memperoleh informasi sehubungan dengan rencana PMTHMETD, pemegang saham

INFORMATION ON THE NPR

A.

REASON AND OBJECTIVE OF THE NPR

Based on the Company's Consolidated Financial Statements as of 31 December 2024, the
amount owed by the Company to the New Creditor under the Facility Agreement is
USD19,332,681 or eguivalent to IDR312,454,790,322 (exchange rate of IDR16,162.00 as of 31
December 2024), consisting of:

a. principal loan amounting to USD8,000,000 or eguivalent to IDR129,296,000,000, and
b. interest amounting to USD11,332,681 or eguivalent to IDR183,158,790,322

Pursuant to Article 6.1 of the Initial Facility Agreement, the Company is obliged to repay the Loan
and all other amounts outstanding under the Finance Documents (as referred to in the Facility
Agreement as “Finance Documents”) in full on the Final Maturity Date, which is 204 months from
the first utilization date and will fall on 30 November 2028, or on an earlier date as reguired under
the provisions of the Initial Facility Agreement.

In view of the Company's inability to fulfill its obligations/payments for both principal and interest,
the Company has carried out several extensions of the Facility Agreement. Although on a
consolidated basis the Company's asset and revenue values show positive results, the majority
Of such revenue is contributed by the Subsidiaries. The Subsidiaries, in their operations, also
have debt obligations and interest expenses to their respective creditors, hence the remaining
value to the Company as the shareholder/holding company is insufficient to meet the Company's
debt obligations to its creditors.

Furthermore, pursuant to Article 8.2 of the Initial Facility Agreement, subject to Article 20
(Distribution Waterfall), the Company is obliged to pay interest due on each Loan on each Interest
Payment Date as follows:

a. 6 months after the first Utilisation Date and every 6 months thereafter, and
b. the Final Maturity Date,

Up to the date of this Amendment and/or Addition to the Disclosure of Information, the Company
has never made any principal loan repayments under the Facility Agreement, while interest
payments under the Facility Agreement were made only 2 (two) times, namely on 29 June 2012
amounting to USD522,300 and on 31 December 2012 amounting to USD193,873.

Regarding the obligation to pay interest on the Interest Payment Date, Article 20 of the Initial
Facility Agreement governs the Distribution Waterfall which stipulates the arrangement for the
Company to ensure that all dividends, distributions, and other income received from time to time
will be allocated in the following order:

a First, for the payment of the Company's operating expenditure and capital expenditure.
For the avoidance of doubt, the use of cash must be solely for the purposes mentioned
above and may not be used for any other business or operational activities of the Company
or for any other purposes,

b. Second, for the repayment or (as applicable) early repayment of the CIMB Loan and
interest due in respect of such loan:

Cc. Third, to maintain a minimum cash balance of USD750,000 in any bank account of the
Company:

d. Fourth, for pro rata payment of unpaid fees, charges, and expenses to each Administrative
Party under the Finance Documents:

e. Fifth, for pro rata payment of interest due (including default interest) that is payable but has
not been paid under this Facility Agreement,

f Sixth, for pro rata repayment or early repayment of the principal amount of the loan that is
due and payable under this Facility Agreement, and

g. 'Seventh, for pro rata payment of other amounts payable but not yet paid under the Finance
Documents.

In connection with Article 20 of the Initial Facility Agreement, Article 37.2 of the Initial Facility
Agreement further provides that the New Creditor has the right to reguest early repayment
(prepayment) of fees, accrued interest, or principal amount of the loan payable under the Initial
Facility Agreement, if the Company has excess cash and has fulfilled its obligations to CIMB or
other senior loans. Considering that the New Creditor has received the transfer of rights and all
obligations under the Initial Facility Agreement from Rosewood Financial as the New Creditor,
the New Creditor is currently the party entitled to reguest early repayment (prepaymeni) as
referred to above.

Furthermore, Article 21 of the Initial Facility Agreement governs the types of events of default
that may constitute a default by the Company to the New Creditor. One of the events of default
regulated is the failure to pay or non-payment as stipulated in Article 21.1 of the Initial Facility
Agreement whereby the Company will be deemed in default if it fails to make payment on the
due date of the amount payable under the Finance Documents at the place and in the currency
in which it is reguired to be paid.

As of the date of this Amendment and/or Addition to the Disclosure of Information, the Company
has never received any warning letter from previous creditors before the New Creditor regarding
the Company's non-compliance with the Initial Facility Agreement, particularly in connection with
interest payments and reporting obligations. However, on 3 December 2024, the New Creditor
sent a letter to the Company referring to Article 21 of the Initial Facility Agreement and the New
Creditor's rights under Article 37.2 of the Initial Facility Agreement, whereby the New Creditor
declared that there are continuing events of default in respect of the Company's obligations under
the Initial Facility Agreement (“New Creditor's Letter”), namely:

a. Article 8.2 (Payment) in relation to the failure to pay interest on the Interest Payment Date,

b. Article 17 (Reporting Obligations), in particular regarding the submission of guarterly
financial statements (both consolidated and non-consolidated) of the Company and
Subsidiaries, along with the compliance certificate,

Cc. Article 18 (Financial Covenants), in particular regarding the submission of annual
operational expenditure reports and annual capital expenditure reports, and

d. Article 19 (General Undertakings), particularly in relation to the divestment of shares in the
MNK subsidiary, taking new loans by the Company and/or Subsidiaries, conversion of
Island Spice Limited's loan into shares, appointment of an auditor other than the approved
auditor without prior approval, and repayment of subordinated loans.

Based on this, the New Creditor exercised its rights under Article 37.2 (Rights of the New
Creditor), Article 21.17 (Acceleration) and Article 7.6 (Mandatory Prepayment) of the Initial
Facility Agreement and reguested the Company to repay all outstanding debts under the Initial
Facility Agreement no later than 31 December 2024. Accordingly, referring to Article 21.1 and
Article 37.2 of the Initial Facility Agreement, the Company is declared in default and therefore the
Initial Facility Agreement has become due and payable.

In response to the New Creditor's Letter reguesting payment of all outstanding debts under the
Initial Facility Agreement no later than 31 December 2024, the Company has responded through
Company Letter No. 132/B/Respond/Oliva/AIR/XII/2024 dated 19 December 2024 stating that
the Company is unable to fulfill its obligations as reguested in the New Creditor's Letter.

The Company has received and agreed to the terms and conditions submitted by the Lender on
10 February 2025 and therefore intends to reguest approval from the EGMS to convert the
Company's Loan into new shares of the Company through NPR, which is a prereguisite for
continuing negotiations regarding the restructuring of the Facility Agreement. An explanation
regarding the History of the Company's Loan is further described in section VIII of this Disclosure
of Information.

The reguirements for the issuance of New Shares through NPR are carried out in order to improve
the Company's financial condition as referred to in Article 3 letter ajo. Article 8B letter c of OJK
Regulation 14/2019, with the following explanation:

a. The Company's loan under the Facility Agreement, as disclosed in the Company's
Consolidated Financial Statements, was declared due and payable by the New Creditor
pursuant to a letter from the New Creditor dated 3 December 2024, because the Company
is unable to fulfill its obligations repeatedly/continuously under the Facility Agreement,

b. The Company, on a non-consolidated basis in accordance with the provisions of Article 20
of the Facility Agreement, does not have the capacity to pay accrued interest. The
Company is a holding company. The Company's ability to pay obligations to its creditors
is subject to income received by the Company from dividends of its subsidiaries. On the
other hand, the distribution of dividends by subsidiaries depends on creditor approval,
financial condition, and GMS approval. Therefore, the Company considers the financial
statements on a non-consolidated basis,

Cc. The New Creditor is a party unaffiliated with the Company,

d. The New Creditor agrees to the conversion of the Company's Loan into shares as long as
the Company has obtained the reguired approvals, in this case the approval of the EGMS.

In connection with the above and to fulfill the provisions of OJK Regulation 14/2019, in conducting
the NPR, the Company will hold the EGMS on 8 May 2025 and therefore the Company conveys
the information as stated in this Disclosure of Information concurrentiy with the EGMS
Announcement so that all shareholders of the Company are fully informed of the NPR plan and
approve the plan in the EGMS so that:

a. According to the Conversion Price, the Company will issue 656,324,873 New Shares
with a nominal value of IDR100 per share, representing 27.65Yc of the Company's Issued
and Paid-up Capital (before NPR), and

b. The Company may continue the negotiation and/or restructuring process of the Facility
Agreement with the New Creditor and such restructuring is expected to ease the financial
burden of the Company so that it is considered the best option for the Company and all
shareholders of the Company.

BENEFITS OF THE NPR

Although the implementation of this NPR is not carried out in the form of cash deposits, the NPR
still has the effect of increasing paid-up capital as a component of eguity derived from the
conversion of the Company's Loan to New Creditors into New Shares.

The implementation of NPR will increase the Company's total eguity to USD67,612,655 from
previously USD59,612,655 and reduce the debt to eguity ratio of 160.4894.

The decrease in debt to eguity ratio will increase the Company's flexibility in seeking new
financing needed in the future.

PLAN FOR THE USE OF FUND FROM THE NPR

NPR is conducted for the conversion of the Company's Loan and there is no implementation of
NPR paid in cash so that the use of NPR is as a settlement of the Company's Loan to the New
Creditor.

EXERCISE PRICE OF THE NPR

In accordance with the provisions of Regulation No. I-A and considering that the Company
conducts NPR in order to improve its financial position, the determination of the exercise price is
determined based on the agreement of the parties, carried out in an arm's length transaction,
does not violate applicable laws and is carried out without harming non-controlling shareholders
and non-major shareholders.

The New Creditor, in its letter dated 27 March 2025, has approved the proposed Conversion
Price, which refers to the fair market value of the Company's shares based on the valuation report
of KJPP SPR No. 00044/2.0131-09/BS/02/0643/1/11/2025 dated 26 March 2025, namely IDR197
pershare.

Summary of the Share Valuation Report and Fairness Opinion Report can be seen in sub-section
F below.

THIRD PARTY APPROVAL

In relation to the implementation of NPR, which will result in changes to the Company's Articles
of Association, particularly regarding the capital structure and shareholder composition, the
Company is reguired to obtain prior written approval from PT Bank Pan Indonesia Tbk (“Bank
Panin”), as the Company's creditor based on the Credit Agreement and Guarantee Agreement
Deed No.5 dated 4 September 2024, made before Sri Rahayuningsih, SH., a notary in Central
Jakarta (hereinafter, along with all amendments, referred to as the “Bank Panin Credit
Agreement”). The Company has received Bank Panin's approval concerning the implementation
of the EGMS, which is planned to be held on 8 May 2025, with the main agenda being the
amendment of Article 3 of the Company's Articles of Association and NPR to convert the
Company's debt to Oliva Vera Dome Holding Ltd. into shares of the Company as stated in Bank
Panin's letter No. 0359/CIB/EXT/25 dated 16 April 2025.

The Company hereby confirms that no further approvals are reguired, other than the written
approval from Bank Panin, which has already been received by the Company.

SUMMARY OF APPRAISER REPORT

Stock Valuation Report

Based on the Valuation Report of Appraiser SPR with Valuation Report Number No.
00044/2.0131-09/BS/02/0643/1/11/2025 dated 26 March 2025, with the responsible Public
Appraiser being Ginanjar Rizki Tarekat, S.T, M.Ec.Dev, MAPPI (Cert) with a Public Appraiser
License for Property and Business with License Number No. P-1.18.00532 based on the
Decree of the Minister of Finance Number 782/KM.1/2018 dated 17 December 2018 and
Public Appraiser License Number No. B-1.23.00643 based on the Decree of the Minister of
Finance Number 214/KM.1/2023 dated 17 May 2023.

This valuation uses the Asset Approach. The Asset Approach was applied to the Company
because it is a non-operating holding company, whereas for its subsidiaries and affiliated
entities, we used two approaches, namely the Income Approach and the Asset Approach.
The Income Approach was used in this valuation because the subsidiaries are still operating
(going concern), so the income approach will accommodate the company's future income
potential which will be reflected in the company's value. The Asset Approach was used
because the historical financial statements of the subsidiaries show a significant amount of
tangible assets. This valuation uses the Asset Approach with the Adjusted Book Value
Method (ABV).

The value conclusion results in a Market Value as of the valuation date of December
31, 2024, amounting to USD 29,010,000 or eguivalent to IDR 468,859,620,000 with the
number of outstanding shares being 2,373,449,165 and the value per share being IDR
197.

Fairness Opinion Report

The Company has appointed an independent appraiser registered with the OJK, namely
Appraiser SRR, with Public Appraiser Heribertus Eri Hestiyanto, as an independent party to
provide an opinion on the fairness of the Company's plan to carry out a restructuring of its
obligations to the New Creditor by converting the Company's Loan into New Shares based
on the Conversion Price through a Capital Increase Without Pre-Emptive Rights in the
context of improving the financial position in accordance with POJK 14/2019 (“Proposed
Transaction”).

Appraiser SRR, which holds a business license from the Ministry of Finance No.
1056/KM.1/2009 dated 20 August 2009, and is registered as a Capital Market Supporting
Profession with the OJK under the Capital Market Supporting Profession Registration

Appraiser), has been appointed by the Company as an independent appraiser pursuant to
proposal No. 250310.001/SRR-JK/SPN-F/OKAS/EH dated 10 March 2025, which has been
approved by the Company's management to provide an opinion on the fairness of the
Proposed Transaction.

Appraiser SRR declares that it has no affiliation, either directly or indirectly, with the Company
as defined in the Capital Market Law.

Transacting Parties

- The Company, which acts as the party that will issue New Shares: and
- New Creditors, which acts as the party that will receive New Shares resulting from
NPR.

Object of the Fairness Opinion

The object of the Fairness Opinion is the Proposed Transaction, or the Company's plan
to carry out a restructuring of its obligations to the New Creditor by converting the
Company's Loan into New Shares based on the Conversion Price through a Capital
Increase Without Pre-Emptive Rights in the context of improving the financial position in
accordance with POJK 14/2019.

Objective of Fairness Opinion

The Fairness Opinion is prepared with the intention and purpose of providing an
overview regarding the fairness of the Proposed Transaction.

Assumptions and Limiting Conditions

The assumptions and limiting conditions used in the Fairness Opinion are as follows:

- The Fairness Opinion is a report of a non-disclaimer opinion nature.

- The Appraiser SRR has conducted a review of the documents used in the
preparation process of the Fairness Opinion.

- The data and information obtained come from sources whose accuracy can be
trusted.

- The analysis in the preparation of the Fairness Opinion was carried out using
adjusted financial projections that reflect the fairness of the financial projections
prepared by the Company's management about their achievability (fiduciary duty).

- The Appraiser SRR is responsible for the implementation of the preparation of the
Fairness Opinion and the fairness of the financial projections.

- The Fairness Opinion is a report that is open to the public unless there is
confidential information that may affect the Company's operations.

- The Appraiser SRR is responsible for the Fairness Opinion and the conclusions of
the Fairness Opinion.

- The Appraiser SRR has obtained information on the terms and conditions in the
agreemenis related to the Proposed Transaction from the Company.

Approach and Method Used in the Fairness Opinion

The approaches used in the assessment of the fairness of NPR are as follows:

Gualitative Analysis

The gualitative and guantitative analysis of the Proposed Transaction was
conducted by reviewing the mining industry to provide a general overview of the
industry's performance development, analyzing the Company's operational activities
and business prospects, the reasons for carrying out the Proposed Transaction, and
the advantages and disadvantages of the Proposed Transaction.

By carrying out the Proposed Transaction, the Company will obtain the following
benefits:

-  Improve the Company's capital and financial structure and enhance the
Company's debt-to-eguity ratio.

-  Increase the liguidity of the Company's share trading due tothe increase in the
number of outstanding shares.

-  Improve the Company's financial performance in the future due to the reduction
in interest expense payments.

The risks of carrying out the Proposed Transaction are:
- With the entry of new shareholders, existing shareholders will be diluted.

- There will be no shareholder that holds control over the Company's shares.

@uantitative Analysis

The gualitative analysis of the Proposed Transaction was conducted by analyzing
the Company's historical financial performance based on the Company's audited
consolidated financial statements for the years ended 31 December 2020-2024.

Furthermore, the Appraiser SRR also conducted an analysis of the pro forma
financial statements and an incremental analysis of the Proposed Transaction, in
which, after the Proposed Transaction becomes effective, based on the Company's
consolidated financial projections, it is expected to improve the Company's
consolidated financial performance and provide added value to all ofthe Company's
shareholders.

Based on the Company's pro forma financial statements before and after the
Proposed Transaction, it is evident that there is no change in the Company's pro
forma statement of profit (loss) and pro forma statement of financial position, as
indicated by the current ratio, guick ratio, return on assets (ROA), operating profit
margin, and net profit margin before and after the Proposed Transaction, which each
remain at 1.30 times, 0.07 times, 14.7496, 26.13”, and 14.247, respectively, while
the Company's debt-to-eguity ratio (DER) decreases from 97.784 to 74.380.

Based on the Company's financial projections without and with the Proposed
Transaction, it is shown that with the Proposed Transaction during the projection
period from 2025 to 2030, the following changes occur:

- The average net profit margin of the Company without the Proposed
Transaction during the 2025-2030 projection period is 13.774, and with the
Proposed Transaction increases to 14.004.

- The average current ratio of the Company without the Proposed Transaction
during the 2025-2030 projection period is 2.45 times, and with the Proposed
Transaction increases to 2.48 times.

- The average guick ratio of the Company without the Proposed Transaction
during the 2025-2030 projection period is 1.92 times, and with the Proposed
Transaction increases to 1.95 times.

- The average ROA of the Company without the Proposed Transaction during
the 2025-2030 projection period is 13.89Yo, and with the Proposed
Transaction increases to 14.0396.

- The average DER of the Company without the Proposed Transaction during
the 2025-2030 projection period is 76.36Y6, and with the Proposed
Transaction decreases to 61.9595.

- The average times interest earned (TIE) ratio of the Company without the
Proposed Transaction during the 2025-2030 projection period is 8.03 times,
and with the Proposed Transaction increases to 8.73 times.

f. Conclusion
Based on the fairness analysis of the Proposed Transaction that has been carried
out, Appraiser SRR is of the opinion that the Proposed Transaction is fair.

18 INFORMATION OF THE COMPANY

A. COMPANY BRIEF DESCRIPTION

The Company, originally established under the name PT Okansa Persada and domiciled in
Jakarta, was established based on the Deed of Company Establishment No. 36 dated 15
September 2003, made before Sugito Tedjamulja, S.H., Notary in Jakarta, and has been
approved by the Minister of Law in his decision dated 16 October 2003 Number: C-24761
HT.01.01.TH.2003 and has been registered in the company register under No.
TDPO090315341015 in the South Jakarta City Registration Office No. 237/BH.09.03/11/2003
(“Deed of Establishment”) and has been announced in the State Gazette of the Republic of
Indonesia No. 2738 dated 16 March 2004, Supplement No. 2738.

The Articles of Association as contained in the Deed of Establishment have been amended
several times, and the last time amended by Deed of Meeting Resolution No. 27 dated October
19, 2023, made before Kirana Ivyminerva Wilamarta, S.H., L.L.M, Notary in West Jakarta,
which amendment of the Articles of Association has been notified to the Ministry of Law based
on the Letter of Acceptance of Notification of Amendment of Articles of Association No. AHU-
AH.01. .03-0135279 dated October 31, 2023 and has been registered inthe Company Register
at the Ministy of Law No. AHU-0217379.AH.01.11.TAHUN 2023 dated 31 October 2023 and

the purpose and objectives of the Company are to engage in the fields of mining, trade,
transportation, agriculture, industry, development, and services, both directly and indirectly
through the Company's subsidiaries.

To achieve these purposes and objectives, the Company may conduct the following business

IV. MANAGEMENT DISCUSSION AND ANALYSIS ON THE EFFECTS OF NPR ON THE
FINANCIAL CONDITION OF THE COMPANY BEFORE AND AFTER NPR

Referring to the reasons and objectives of NPR, the management of the Company concludes that NPR
through the conversion of the Company's Loans disclosed in this Information Disclosure will provide the
following benefits:
-  Reducing the total liabiliies, which before NPR amounted to USD116,501,526, to

Oliva Vera Dome Holding Ltd. (“Oliva”) is a legal entity established under the laws applicable in the
Bahamas and is located at MMG Bahamas Ltd., Suite 102, Saffrey Sguare, Bank Lane & Bay Street,
Nassau, Bahamas.

Oliva has no affiliation with the Company.

Business Activities: (a) the purchase, sale, transfer, disposal, financing, barter, ownership,
administration, granting or receiving of loans, commissions, mortgages, guarantees, leases, use,
gasements, or receipts of any kind of property, whether real or personal, shares, or other rights, (b)
entering into and accepting all forms of agreements, contracts, operations, business, and legitimate
trade transactions, and (c) opening and managing bank accounts in the Bahamas and abroad.

Loan History of the Company

Based on the Facility Agreement, the Company has received a loan facility from Standard Bank PLC

Cessie to the New Creditor effective on 30 November 2024.

Pursuant to the Third Cessie, the Loan amounts (unsecured) transferred by Rosewood Financial
Holdings Limited to the New Creditor are as follows:

where the amount of the above obligations will continue to increase until all obligations by the Company
to the New Creditor are paid.

Based on the New Creditor Letter 1, the New Creditor stated:

- that the Company has made continuous defaults on a number of violations, namely on (i)
obligations stipulated in Article 17, Article 18, and Article 19, and (ii) interest payment obligations
stipulated in Article 8.2,

- so that in accordance with the provisions of Article 37.2, Article 21.7 and Article 7.6, the New
Creditors declare the entire amount of the Loans to be due and payable:

- The New Creditors also reguire the Company to repay the entire Loan early, no later than
December 31, 2024, unless such breaches are remedied prior to such date.

Pursuant to the New Creditor Letter 2, the New Creditor is willing to discuss negotiations regarding the
restructuring subject to the following terms and conditions:

1. The principal loan of USD8,000,000 is converted into new shares of the Company with the
conversion price to be determined based on independent valuation, provided that the Company
has obtained all necessary approvals in accordance with applicable regulations,

2.  Restructuring of unpaid interest and/or accumulated amounts can only be negotiated after the
Company has obtained the approval as mentioned in point (1) above where the terms and
conditions of this restructuring will be entirely at the sole discretion ofthe New Creditor,

3. The restructuring of the Facility Agreement will only be valid and effective after the necessary
amendments and/or restatement of the Facility Agreement, after the fulfillment of the terms and
conditions in points (1) and (2) above:

4. Waiver of the Company's non-compliance with the obligations under the Facility Agreement will
be granted if the Company accepts and approves the New Creditor Letter 2025.

After the Company signs the New Creditor Letter 2 as acceptance and approval, the New Creditor

grants the Company an approval for the waiver of non-compliance of the Company's obligations in
Articles 17, 18, and 19 of the Facility Agreement.

IX. RECOMMENDATION OF THE BOARD OF DIRECTORS AND BOARD OF COMMISSIONERS

The Board of Directors and the Board of Commissioners of the Company recommend that all
Shareholders of the Company approve the proposed NPR as outlined in this Disclosure of Information.
In providing this recommendation to the Shareholders of the Company, the Board of Directors and the
Board of Commissioners have considered the benefits and financial impact of the proposed NPR.
Therefore, the Board of Directors and the Board of Commissioners believe that the implementation of the
proposed NPR is the best option at this time forthe Company and all Shareholders of the Company.

X. RAPAT UMUM PEMEGANG SAHAM LUAR BIASA.

In accordance with the applicable laws and regulations, the NPR will be submitted for approval by the
Company's Shareholders at the EGMS, which will be held on 8 May 2025. The time and venue of the
EGMS will be announced further in the EGMS Invitation on 16 April 2025.

The Shareholders of the Company who are entitled to attend or be represented at the EGMS are those
whose names are recorded in the Share Register on 15 April 2025, at 16:00 WIB and/or the owners of
the Company's shares in the securities sub-account at PT Kustodian Sentral Efek Indonesia (KSEI) at
the close of the Company's stock trading on the IDX on 15 April 2025.

The following are the key dates related to the Company's EGMS:

The Company will seek approval from the EGMS, in accordance with the provisions stipulated in POJK
15/2020 and POJK 16/2020, to conduct the NPR as outlined in this Disclosure of Information.

The guorum reguirements for the implementation of the NPR and amendments to the Articles of

Association resulting from the NPR are as follows:

1. The EGMS must be attended by the Shareholders of the Company and/or their authorized
representatives who collectively represent at least 1/2 (one-half) of the total shares with valid
voting rights. The resolutions of the EGMS shall be valid if approved by the Shareholders ofthe

Company and/or their authorized representatives who collectively represent more than 1/2
(one-half) of the total shares with valid voting rights present at the EGMS.

2 In the event that the guorum specified in point (1) is not met, the second EGMS shall be valid
if attended by the Shareholders of the Company and/or their authorized representatives who
collectively represent at least 1/3 (one-third) of the total shares with valid voting rights. The
resolutions of the EGMS shall be valid if approved by the Shareholders of the Company and/or
their authorized representatives who collectively represent more than 1/2 (one-half) of the total
shares with valid voting rights present at the EGMS.

3. In the event that the guorum for the second EGMS, as mentioned in point (2), is not met, a third
EGMS may be convened, provided that the third EGMS shall be valid and entitled to make
decisions if attended by shareholders with valid voting rights in accordance with the guorum
reguirements set by OJK upon the Company's reguest.

In accordance with Articles 17 and 18 of POJK 15/2020, materials related to the meeting agenda in the
form of electronic document copies will be available to shareholders from the date of the EGMS invitation
until the EGMS is held and can be accessed and downloaded through the Company's website
www.ancorair.com).

The Company urges shareholders to grant power of attorney electronically through the Electronic General
Meeting System KSEI (eASY.KSEI), which will be provided by KSEI as an electronic proxy mechanism
(“e-Proxy”) for the meeting. Procedures, registration guidelines, usage instructions, and further
explanations regarding the e-Proxy can be accessed through the eASY.KSEI application. This e-Proxy
facility will be available for shareholders entitled to attend the EGMS from the date of the EGMS invitation
until one day before the EGMS, 7 May 2025.

To obtain information in connection with the NPR plan, the Company's shareholders may submit it to the
Corporate Secretary of the Company, on any day and working hours of the Company at the address
mentioned below:
