("Pembeli")
Uraian Informasi atau Fakta Material Perusahaan menerima pemberitahuan tertulis dari Pembeli
pada tanggal 6 Mei 2025 ("Pemberitahuan") sehubungan
dengan penyelesaian pengambilalihan atas 3.057.981.688
saham dalam Perusahaan, yang mewakili kurang lebih
91,17% dari total modal yang disetor dan ditempatkan dalam
Perusahaan, dari Para Penjual kepada Pembeli pada tanggal
6 Mei 2025 ("Pengambilalihan").
Saham-saham tersebut dibeli dengan harga Rp1.813,00 per
lembar saham, dan dengan total nilai Pengambilalihan
sebesar Rp5.544.120.800.344,00.
Sebagaimana disampaikan dalam Pemberitahuan, tujuan
Pembeli melakukan Pengambilalihan adalah untuk
memperluas perkebunan kelapa sawit dan meningkatkan
ketersediaan bahan baku untuk mendukung operasi hilir yang
semakin berkembang.

Dampak kejadian, informasi atau fakta Pengambilalihan tersebut menyebabkan adanya perubahan
material tersebut terhadap kegiatan pengendalian atas Perusahaan sebagaimana dimaksud dalam
operasional, hukum, kondisi keuangan, Peraturan Otoritas Jasa Keuangan No. 9/POJK.04/2018.
atau kelangsungan usaha Emiten atau Namun demikian, informasi dan fakta material tersebut tidak
Perusahaan Publik akan berdampak signifikan terhadap kegiatan operasional,
hukum, kondisi keuangan atau kelangsungan usaha

Perusahaan juga tidak memperkirakan informasi dan fakta

Informasi Lain
Sebagaimana disampaikan dalam Pemberitahuan, sebagai pengendali baru Perusahaan, Pembeli akan melaksanakan
penawaran tender wajib sesuai dengan ketentuan dalam Peraturan Otoritas Jasa Keuangan No. 9/POJK.04/2018.
Pelaksanaan penawaran tender wajib akan dilakukan dengan memperhatikan ketentuan yang berlaku.

Completion of the transaction for the acquisition of the

collectively referred to as the "Sellers") by First Resources
Limited (the "Purchaser")
Description of Material Information or The Company received written notification on 6 May 2025
Facts ("Notification") from the Purchaser regarding the completion of
the acquisition of 3,057,981,688 shares in the Company,
representing approximately 91.17% of the total issued and
paid-up capital in the Company, from the Sellers to the
Purchaser on 6 May 2025 ("Acquisition").
The shares are purchased at a price of IDR1,813 per share,
with a total Acquisition value of IDR5,544,120,800,344.
As stated in the Notification, the purpose of the Purchaser
carries out the Acquisition is to expand the palm oil plantation
and increase the availability of raw materials to support the
developing downstream operations.
Impact of event, material information or The Acquisition resulted in a change of control over the
facts towards Issuers or Public Company as referred to in Financial Services Authority
Company’s operational activities, legal, Regulation No. 9/POJK.04/2018. However, such information
financial condition, or going concern and material facts will not have a significant impact on the
Company's operational, legal, finansial conditions or business
continuity.
The Company also does not foresee that the material
information or facts mentioned will prejudice the rights of its
shareholders.

As stated in the Notification, as the new controller of the Company, the Purchaser will conduct a mandatory tender
offer required pursuant to Financial Services Authority Regulation No. 9/POJK.04/2018. The implementation of the
mandatory tender offer will be carried out in compliance with applicable regulations.
