["Notification"J from the Purchaser regarding the completion
of the acquisition of 3,057,981,688 shares in the Company,
representing approximately 91.170/o of the total issued and
paid-up capital in the Company, from the Sellers to the
Purchaser on 6 May 2025 ("Acquisition"J.

The shares are purchased at a price of lDRl,8l3 per share,
with a total Acquisition value of 1DR5,544,120,800,344.
As stated in the Notification, the purpose of the Purchaser
carries out the Acquisition is to expand the palm oil
plantation and increase the availabiLity of raw materials to
support the developing downstream operations.

Company, the Purchaser will conduct a mandatory tender
offer required pursuant to Financial Services Authority
Regulation No.9/P0JK.04/2018. The implementation of the
mandatory tender offer wiLI be carried out in compliance
with a p pli ca ble reg ulatio ns.
