Uraian Informasi atau Fakta Material Keterbukaan Informasi ini diterbitkan dalam rangka rencana
Perseroan untuk melakukan kuasi reorganisasi yang disertai
pula dengan pengurangan modal oleh Perseroan melalui
mekanisme penurunan nilai nominal saham-saham Seri A dan
Seri B Perseroan.
Dampak kejadian, informasi atau fakta Sehubungan dengan rencana Perseroan untuk melakukan
material tersebut terhadap kegiatan kuasi reorganisasi yang disertai pula dengan pengurangan
operasional, hukum, kondisi keuangan, modal oleh Perseroan melalui mekanisme penurunan nilai
atau kelangsungan usaha Emiten atau nominal saham-saham Seri A dan Seri B Perseroan, rencana
Perusahaan Publik ini tidak mempengaruhi kegiatan operasional, hukum, maupun
kelangsungan usaha Perseroan.
Rencana ini akan tunduk pada diperolehnya persetujuan dari
para pemegang saham Perseroan dalam suatu rapat umum
pemegang saham luar biasa Perseroan yang direncanakan
akan dilangsungkan pada 28 Juli 2026. Rencana ini dapat
membawa dampak yang positif kepada kondisi keuangan
Perseroan mengingat rencana kuasi reorganisasi ini bertujuan
untuk menghapus saldo laba negatif Perseroan dengan
sejumlah pos-pos keuangan Perseroan sesuai dengan
ketentuan pasar modal yang berlaku. Dengan tidak adanya
saldo laba negatif di dalam laporan keuangan Perseroan,
maka struktur keuangan Perseroan dapat menjadi lebih sehat
dan dapat bersaing, sehingga dapat memberikan manfaat
lebih kepada seluruh pemegang saham Perseroan.

Amendment and/or Addition to the Disclosure of Information to

Tbk in relation to the Proposed Quasi-Reorganization
Description of Material Information or This Disclosure of Information is issued in relation with the
Facts proposed quasi-reorganization that is going to be performed by
the Company that includes a decrease in the Companys
capital through a decrease in nominal value of the Series A
and B shares of the Company.
Impact of event, material information or In relation with the proposed quasi-reorganization that is going

Company’s operational activities, legal, the Companys capital through a decrease in nominal value of
financial condition, or going concern the Series A and B shares of the Company, this action will not
affect the operational, legal, or the going concern of the
Company.
This plan will be subject to the approval from the shareholders
of the Company in an extraordinary general meeting of
shareholders that is planned to be convened on 28 July 2026.
This plan would bring positive impact to the financial condition
of the Company considering that this quasi-reorganization is
intended to eliminate the negative retained earnings of the
Company by setting it off with certain financial posts of the
Company in accordance with the prevailing capital market
regulations. With no more negative retained earnings in the
financial statement of the Company, the Companys financial
structure can be more agile and competitive, so it can bring
more advantages to all shareholders of the Company
Thus to be informed accordingly.
