Uraian Informasi atau Fakta Material Pada tanggal 30 April 2025, PT Iforte Solusi Infotek (Pembeli),
yang merupakan entitas anak dari Perseroan, telah
menyelesaikan pengambilalihan atas saham-saham dalam PT
Remala Abadi Tbk. (Remala) yang mewakili 40% dari total
modal yang disetor dan ditempatkan dalam Remala dengan
nilai pengambilalihan saham sebesar Rp974 (sembilan ratus
tujuh puluh empat Rupiah) per lembar saham, dan dengan
total nilai pengambilalihan sebesar Rp535.700.000.000 (lima
ratus tiga puluh lima miliar tujuh ratus juta Rupiah), melalui
pengambilalihan saham-saham dari para penjual berikut:
a. Verah Wahyudi Singgih Wong; dan
b. Jimmi Anka.
(selanjutnya disebut sebagai Pengambilalihan Saham)
Tujuan dari Pengambilalihan Saham adalah untuk
pengembangan usaha serta memperluas jaringan usaha
dalam rangka memperkuat posisi bisnis grup Perseroan di
bidang digital infrastruktur telekomunikasi.
Dampak kejadian, informasi atau fakta Kejadian, informasi dan fakta material tersebut di atas tidak
material tersebut terhadap kegiatan berdampak negatif material terhadap kegiatan operasional,
operasional, hukum, kondisi keuangan, hukum, kondisi keuangan, atau kelangsungan usaha
atau kelangsungan usaha Emiten atau Perseroan.

Announcement on the Acquisition of Shares by PT Iforte

Description of Material Information or On April 30, 2025, PT Iforte Solusi Infotek (Purchaser), a
Facts subsidiary of the Company, completed the acquisition of
shares in PT Remala Abadi Tbk. (Remala), representing 40%
of all issued and fully paid-up capital in Remala with value of
Rp974 (nine hundred seventy four Rupiah) per share and the
total acquisition price of Rp535,700,000,000 (five hundred
thirty-five billion seven hundred million Rupiah) through the
acquisition of shares from the following sellers:
a. Verah Wahyudi Singgih Wong; and
b. Jimmi Anka.
