Informasi atau Fakta Material oleh Emiten Atau Perusahaan Publik dan Keputusan Direksi Bursa Efek Indonesia
No. Kep-00066/BEI/09-2022 tanggal 30 September 2022 perihal Perubahan Peraturan No. I-E tentang
Kewajiban Penyampaian Informasi, dengan ini, kami, PT Lippo Karawaci Tbk (“Perseroan”) bermaksud untuk
menyampaikan Laporan Informasi atau Fakta Material sebagai berikut:
Pursuant to OJK Regulation No. 31/POJK.04/2015 dated 16 December 2015 regarding Information or Material
Facts Disclosure by the Issuers or Public Companies and Directors Decree of Indonesia Stock Exchange No. Kep-
00066/BEI/09-2022 dated 30 September 2022 regarding the Amendment to the Regulation No. I-E concerning
the Obligation to Submit Information, we, PT Lippo Karawaci Tbk (the “Company”) hereby intends to report
the Report on Material Information or Facts which are as follows:

Scope of Business dan sarana penunjangnya serta menjalankan usaha dalam bidang
jasa termasuk pembangunan perumahan, perkantoran,
perindustrian, perhotelan, rumah sakit, pusat perbelanjaan,
fasilitas umum, hospitality, pelayanan kesehatan beserta
fasilitasnya, baik secara langsung maupun melalui penyertaan
(investasi) ataupun pelepasan (divestasi) modal sehubungan
dengan kegiatan usaha utama Perseroan dalam perusahaan lain.
Engaged in real estate, including but not limited to real estate
that is owned or leased, which includes business development,
purchase, sale, rental and operation of real estate such as land,
apartment buildings, malls, shopping centers, hospitals,
conference halls, hospitality, sports facilities, and supporting
facilities, urban development, building development for self-
operation; providing accommodation and providing food and
drink; professional, scientific and technical activities;

construction; transportation; trading; water management;
waste water management; waste management and recycling;
remediation activities; employment activities; and supporting
other businesses, both directly and indirectly through
investments or divestment of capital in other companies.

Type of Material Information or Facts Pengambilalihan (“Kesepakatan Jual Beli”) PT Bowsprit Asset
Management oleh dan antara:
(i) PT Primakreasi Propertindo, suatu perusahaan yang
didirikan dan berdomisili hukum di Tangerang, Indonesia
sebagai “Penjual 1”;
(ii) PT Grand Villa Persada, suatu perusahaan yang didirikan
dan berdomisili hukum di Tangerang, Indonesia sebagai
“Penjual 2”;
Penjual 1 dan Penjual 2 secara bersama-sama disebut sebagai
“Calon Penjual”
dengan
(iii) PT Star Pacific Tbk, suatu perusahaan terbuka yang
didirikan dan berdomisili hukum di Tangerang, Indonesia
sebagai “Pembeli 1”;
(iv) PT Samiaji Dutaperkasa, suatu perusahaan yang didirikan
dan berdomisili hukum di Tangerang, Indonesia, sebagai
“Pembeli 2”.
Pembeli 1 dan Pembeli 2 secara bersama-sama disebut sebagai
“Calon Pembeli”.
Calon Penjual merupakan entitas anak yang dimiliki secara
langsung dan tidak langsung oleh Perseroan. Sementara Calon
Pembeli dan Perseroan memiliki kesamaan pengendali.
Sehingga, rencana transaksi ini termasuk sebagai transaksi
afiliasi.
Signing of Term Sheet for the Sale and Acquisition of Shares
(“Term Sheet”) of PT Bowsprit Asset Management by and
between:
(i) PT Primakreasi Propertindo, a company duly established
and domiciled in Tangerang, Indonesia as “Seller 1”; and

(ii) PT Grand Villa Persada, a company duly established and
domiciled in Tangerang, Indonesia as “Seller 2”;
Seller 1 and Seller 2 collectively referred to as the “Proposed
Sellers”.
and
(iii) PT Star Pacific Tbk, a public company duly established and
domiciled in Tangerang, Indonesia as “Buyer 1”;
(iv) PT Samiaji Dutaperkasa, a company duly established and
domiciled in Tangerang, Indonesia as “Buyer 2”.
Buyer 1 and Buyer 2 collectively referred to as the “Proposed
Buyers”.
Proposed Sellers are subsidiaries owned directly and indirectly
by the Company. Whereas, Proposed Buyers and the Company
have a common controlling entity. Thus, this proposed
transaction is considered as an affiliated transaction.
Uraian Informasi atau Fakta Material/ : Berdasarkan Kesepakatan Jual Beli, Calon Penjual dan Calon
Description of Material Information or Pembeli telah sepakat untuk mengikatkan diri untuk
Facts melakukan rencana transaksi, yaitu Calon Penjual berencana
akan menjual seluruh saham miliknya (beserta seluruh hak dan
kewajiban yang ada dan melekat pada saham tersebut) dalam
PT Bowsprit Asset Management (“BAM”) dan Calon Pembeli
sepakat untuk membeli dan mengambilalih saham BAM
(“Rencana Transaksi”).
Dalam Kesepakatan Jual Beli, para pihak sepakat bahwa total
nilai keseluruhan Rencana Transaksi berjumlah
Rp25.000.000.000.
Tanggal penyelesaian Rencana Transaksi ini akan disepakati
kemudian oleh Calon Penjual dan Calon Pembeli, setelah
kewajiban yang disepakati sebelumnya oleh para pihak telah
terpenuhi, yaitu antara lain, telah diperolehnya persetujuan
dari Otoritas Jasa Keuangan sesuai dengan izin dan peraturan
yang berlaku, telah dilakukannya pelunasan, dan persyaratan
lainnya yang diwajibkan berdasarkan peraturan perundang-
undangan.
Based on the Term Sheet, the Proposed Sellers and Proposed
Buyers agree that they will enter into the proposed transaction,
namely that the Proposed Sellers intend to sell its shares
(including any rights and obligations attached hereto) in PT
Bowsprit Asset Management (“BAM”) and the Proposed Buyers
intend to purchase and acquire shares of BAM (“Proposed
Transaction”).
Under the Term Sheet, the parties agree that the value of the
Proposed Transaction will amount to Rp25,000,000,000.

The completion date of this Proposed Transaction will be
agreed upon later by the Proposed Sellers and Proposed Buyers
after the prerequisite obligations agreed upon by the parties
have been fulfilled, including, among others, the obtainment of
approval from the Financial Services Authority in accordance
with the applicable permits and regulations, full payment, and
other requirements as required by the laws and regulations.
Dampak kejadian, informasi atau fakta : Rencana Transaksi ini membawa dampak positif bagi
material tersebut terhadap Emiten atau Perseroan dan akan memperkuat neraca serta meningkatkan
Perusahaan Publik/ alur kas Perseroan.
Impact of such event information or This Proposed Transaction provides positive impact to
material facts towards Issuer or Public Company and will strengthen the Company’s balance sheet and

Informasi lain/ : Nilai keseluruhan Rencana Transaksi adalah lebih rendah dari
Other information 20% (dua puluh persen) dari ekuitas Perseroan berdasarkan
laporan keuangan terakhir Perseroan sebagaimana diatur
dalam Peraturan OJK No. 17/POJK.04/2020 tentang Transaksi
Material dan Perubahan Kegiatan Usaha (“POJK No.
17/2020”). Dengan demikian Rencana Transaksi ini bukan
merupakan Transaksi Material sebagaimana dimaksud dalam
POJK No. 17/2020.
Perseroan akan memenuhi ketentuan dan pelaksanaan
Transaksi Afiliasi sebagaimana diatur dalam Peraturan OJK No.
42/POJK.04/2020 tentang Transaksi Afiliasi dan Benturan
Kepentingan pada saat penyelesaian Rencana Transaksi.
The total value of the Proposed Transaction is lower than 20%
(twenty percent) of the Company's equity based on the
Company's latest financial statements as regulated in OJK
Regulation No. 17/POJK.04/2020 concerning Material
Transactions and Changes in Business Activities (“OJK
Regulation No. 17/2020”). Thus, this Proposed Transaction is
not a Material Transaction as referred to in OJK Regulation No.
17/2020.
The Company will fulfill the requirements to conduct an
Affiliated Transaction as mentioned under OJK Regulation No.
42/POJK.04/2020 on Affiliated Transactions and Conflict of
Interest during the completion of the Proposed Transaction.
