(“Perseroan”), dengan ini memutuskan meratifikasi dan menegaskan kembali penunjukan Ibu Isyana Ningsih Setiono sebagai Kepala Unit Internal Audit Perseroan sejak tanggal 17 April 2020 berdasarkan Surat Penunjukan No. 044/ES/IV/20 tanggal 17 April 2020. Ratifikasi — dan Penegasan Kembali Penunjukan ini terhitung sejak tanggal berlakunya Resolusi Sirkuler ini. Resolusi Dewan Komisaris dalam sirkuler ini dibuat sesuai dengan pasal 19 ayat 18 Anggaran Dasar Perseroan dan karenanya sah dan berkekuatan hukum yang sama dengan keputusan yang diambil dalam rapat Dewan Komisaris Perseroan, dan dengan ini juga menyatakan bahwa masing-masing Komisaris secara individu tidak berkeberatan atas pengambilan keputusan dengan cara tersebut. CIRCULAR RESOLUTION (IN LIEU OF A MEETING) OF THE BOARD OF COMMISSIONERS Ref No. :066/ES/IV/2025 With reference to OJK regulation No. 55/POJK.04/2015 about Formation and Guidelines for Forming an Internal Audit Unit: We, the undersigned, in our capacity as the Board of Commissioners of PT. Eratex Djaja Tbk. (the “Company”), hereby decides to ratify and reaffirm the appointment of Ms. Isyana Ningsih Setiono as Head of the Company's Internal Audit Unit since April 17, 2020 based on Appointment Letter No. 044/ES/IV/20 dated April 17, 2020. Ratification and Reaffirmation of this Designation shall be effective as of the date of entry into force of this Circular Resolution. Board of Commissioners Resolution set out in this Circular are made pursuant to Article 19 Paragraph 18 of the Articles of Association of the Company which therefore bhave the same effect as resolutions validIy passed in a meeting of Board of Commissioners of the Company, and it is hereby confirmed that each Commissioner does not have any objection to adopt the resolution in this manner.
