Uraian Informasi atau Fakta Material Mengacu pada:
a. POJK No. 31/POJK.04/2015 tentang Keterbukaan Informasi
atas Fakta Material oleh Emiten atau Perusahaan Publik,
tertanggal 22 Desember 2015.
b. POJK No. 17/POJK.04/2020, tentang Transaksi Material
Dan Perubahan Kegiatan Usaha, tertanggal 20 April 2020.
c. POJK No. 42/POJK.04/2020 tentang Transaksi Afiliasi dan
Transaksi Benturan Kepentingan, tertanggal 1 Juli 2020.
d. Peraturan No. I-E Lampiran Keputusan Direksi PT Bursa
Efek Indonesia No. Kep-00066/BEI/09-2022 tanggal 1 Februari
2021, tentang Perubahan Peraturan No. I-E tentang Kewajiban
Penyampaian Informasi, tertanggal 30 September 2022.
Perseroan dengan PT Bank Mandiri (Persero) Tbk (MANDIRI)
telah menandatangani Perjanjian Kerjasama Layanan
Penyediaan Produk dan transaksi Perbankan Menggunakan
Fasilitas Kredit Serbaguna Mandiri Emas pada tanggal 3 Juni
2026 (Perjanjian Kerja Sama).
Berdasarkan syarat dan ketentuan Pasal 20 ayat (1) bahwa
perjanjian akan efektif apabila :
a. MANDIRI telah memperoleh persetujuan dari Otoritas Jasa
Keuangan (OJK) atas produk Mandiri KSM Emas; dan
b. Para Pihak telah menyepakati seluruh mekanisme kerja,
formulir dan dokumen pendukung lainnya yang menjadi
lampiran dalam Perjanjian Kerja Sama dan dituangkan dalam
berita acara kesepakatan.
Pada tanggal 30 Juni 2026 telah dilakukan penandatanganan
Berita Acara Kesepakatan Pernyataan Efektif yang
menyatakan bahwa seluruh persyaratan pendahuluan
sebagaimana diatur dalam Kerja Sama telah terpenuhi.
Dengan demikian, Perjanjian Kerja Sama tersebut berlaku
efektif sejak tanggal 30 Juni 2026.
Kerja Sama tersebut bertujuan untuk menyediakan layanan
produk dan transaksi perbankan menggunakan fasilitas Kredit
Serbaguna Mandiri Emas, yang diharapkan dapat memperluas
akses pembiayaan bagi pelanggan Perseroan serta
mendukung pengembangan kegiatan usaha Para Pihak.
Hubungan antara Pihak-Pihak yang Bertransaksi
Bahwa antara Perseroan dengan PT Bank Mandiri (Persero)
Tbk tidak terdapat hubungan afiliasi dan benturan kepentingan
berdasarkan peraturan perundang-undangan yang berlaku di
bidang pasar modal. Oleh karena itu, pelaksanaan transaksi
ini bukan merupakan transaksi afiliasi dan mengandung
benturan kepentingan sebagaimana dimaksud dalam POJK
No. 42/POJK.04/2020 tentang Transaksi Afiliasi dan Transaksi
Benturan Kepentingan.
Bahwa transaksi ini dikecualikan dari Transaksi Material
sebagaimana dimaksud dalam Pasal 13 ayat (1) POJK No.
17/POJK.04/2020 karena merupakan kegiatan usaha yang
dijalankan dalam rangka mendapatkan penghasilan usaha dan
dijalankan secara rutin dan berulang serta berkelanjutan.

Dampak kejadian, informasi atau fakta Kerja sama ini diharapkan dapat mendukung pengembangan
material tersebut terhadap kegiatan kegiatan usaha Perseroan, memperluas akses layanan
operasional, hukum, kondisi keuangan, pembiayaan bagi pelanggan Perseroan, meningkatkan sinergi
atau kelangsungan usaha Emiten atau bisnis dengan lembaga perbankan, serta memberikan
Perusahaan Publik kontribusi positif terhadap kinerja dan pertumbuhan usaha
Perseroan di masa mendatang.

Facts
a. Financial Services Authority Regulation (POJK) No.
31/POJK.04/2015 concerning Disclosure of Material
Information or Facts by Issuers or Public Companies, dated 22
December 2015.
b. Financial Services Authority Regulation (POJK) No.
17/POJK.04/2020 concerning Material Transactions and
Changes in Business Activities, dated 20 April 2020.
c. Financial Services Authority Regulation (POJK) No.
42/POJK.04/2020 concerning Affiliated Transactions and
Conflict of Interest Transactions, dated 1 July 2020.
d. Regulation No. I-E as set out in the Attachment to the
Decree of the Board of Directors of the Indonesia Stock
Exchange No. Kep-00066/BEI/09-2022 regarding the
Amendment to Regulation No. I-E on the Obligation to Submit
Information, dated 30 September 2022.
The Company and PT Bank Mandiri (Persero) Tbk (MANDIRI)
executed a Cooperation Agreement for the Provision of
Banking Products and Transactions Using the Mandiri Gold
Multipurpose Loan Facility on 3 June 2026 (the Cooperation
Agreement).
Pursuant to Article 20 paragraph (1) of the Cooperation
Agreement, the Cooperation Agreement shall become
effective upon the fulfillment of the following conditions:
a. MANDIRI has obtained approval from the Financial Services
Authority (OJK) for the Mandiri Gold Multipurpose Loan
product; and
b. The Parties have agreed upon all operational procedures,
forms, and other supporting documents constituting the
appendices to the Cooperation Agreement, as evidenced by a
duly executed Minutes of Agreement.
On 30 June 2026, the Parties executed the Minutes of
Agreement on the Effectiveness of the Cooperation
Agreement, confirming that all conditions precedent stipulated
under the Cooperation Agreement had been fulfilled.
Accordingly, the Cooperation Agreement became effective as
of 30 June 2026.
The Cooperation Agreement aims to provide banking products
and transaction services utilizing the Mandiri Gold
Multipurpose Loan Facility. The cooperation is expected to
expand access to financing services for the Company's
customers while supporting the development of the business
activities of the Parties.
Relationship Between the Transacting Parties
The Company and MANDIRI do not have any affiliated
relationship, nor does the transaction involve any conflict of
interest as defined under the prevailing capital market laws
and regulations. Accordingly, the transaction does not
constitute an Affiliated Transaction or a Conflict of Interest
Transaction as referred to in POJK No. 42/POJK.04/2020
concerning Affiliated Transactions and Conflict of Interest
Transactions.
Furthermore, the transaction is exempt from the Material
Transaction requirements under Article 13 paragraph (1) of
POJK No. 17/POJK.04/2020, as it is carried out in the ordinary

course of business for the purpose of generating operating
revenue and is conducted on a routine, recurring, and
continuous basis.
Impact of event, material information or This cooperation is expected to support the development of
facts towards Issuers or Public the Company's business activities, expand access to financing
Company’s operational activities, legal, services for the Company's customers, strengthen business
financial condition, or going concern synergies with banking institutions, and contribute positively to
the Company's future business performance and growth.
