Fact.

Description of the Material Information or

Penggabungan telah menjadi efektif pada tanggal 1 Juli
2026 (“Tanggal Efektif Penggabungan”), dengan
diterbitkannya persetujuan dari Menteri Hukum Republik
Indonesia atas perubahan anggaran dasar Perseroan
sebagai akibat dari Penggabungan melalui Surat
Keputusan No. AHU-0032838.AH.01.10.Tahun 2026
tanggal 1 Juli 2026 yang telah diberitahukan ke
Kementerian Hukum dengan surat penerimaan
Pemberitahuan Penggabungan Perseroan No. AHU-
AH.01.09.0365315 tanggal 1 Juli 2026./

The Merger became effective on 1 July 2026 (“Effective
Date of the Merger”), upon the issuance of the approval
from the Minister of Law of the Republic of Indonesia for
the amendment to the Company's articles of association
as a result of the Merger pursuant to Decree No. AHU-
0032838.AH.01.10.Tahun 2026 dated 1 July 2026, and
following the notification to the Ministry of Law as
evidenced by the Acknowledgement of Receipt of
Notification of the Company's Merger No. AHU-
AH.01.09.0365315 dated 1 July 2026.

operasional, hukum, kondisi keuangan,
atau kelangsungan usaha Emiten atau

or going concem of the Issuer or Public

Dengan diperolehnya persetujuan dari Menteri Hukum
Republik Indonesia, Penggabungan antara Perseroan,
PST dan UMT telah efektif dan sejak Tanggal Efektif
Penggabungan, PST dan UMT selaku perusahaan yang
menggabungkan diri akan berakhir demi hukum tanpa
dilakukan likuidasi terlebih dahulu, dimana akibat hukum
atas hal tersebut adalah:

a. Seluruh aktiva dan pasiva PST dan UMT akan
beralih demi hukum kepada Perseroan selaku
perusahaan yang menerima Penggabungan:

b. Perseroan akan menggantikan kedudukan PST dan
UMT dan mengambilalih hak dan kewajiban PST
dan UMT terhadap pihak ketiga yang timbul
sehubungan dengan kegiatan usaha dan
operasional PST dan UMT: dan

c. PST dan UMT selaku perusahaan yang
menggabungkan diri akan berakhir karena hukum
terhitung sejak Tanggal Efektif Penggabungan./

Upon obtaining approval from the Minister of Law of the
Republic of Indonesia, the Merger between the
Company, PST, and UMT has become effective and
since the Effective Date of the Merger, PST and UMT as
the merging company shall therefore be legally dissolved
without prior liguidation process, where the legal
conseguences are as follows:

a. All the assets and liabilities of PST and UMT shall be
legally transferred to the Company as the surviving
company,

b. The Company shall substitute the position of PST
and UMT and assume all the rights and obligations
of PST dan UMT to third parties resulting from the
business and operating activities of PST dan. UMT,
and 3

c. PST dan UMT as the merging company sha be|

dissolved by the operation of Tawa as orine Ettedlive
Date of the Merger.
