Subject: Disclosure of Information in accordance with Financial Services Authority Regulation
         Number 42/POJK.04/2020 concerning Affiliated Transactions and Conflict of Interest
         Transactions


Dear Sir/Madam,

In compliance with the provisions of the Financial Services Authority Regulation No. 42/POJK.04/2020
concerning Affiliated Transactions and Conflict of Interest Transactions ("POJK 42/2020"), we, PT
Acset Indonusa Tbk (the “Company”), a limited liability company whose shares are entirely listed on
the Indonesia Stock Exchange, hereby submit the following matters:

1.      Description of the Transaction

        On 21 April 2025, the Company and PT United Tractors Tbk (“UT”), a shareholder of the Company
        through PT Karya Supra Perkasa, entered into a Loan Agreement (the “Agreement”). Based on
        the Agreement, the Company received a loan from UT in the maximum amount of IDR
        1,000,000,000,000 (one trillion Rupiah), which shall be used by the Company as working capital
        (hereinafter referred to as the “Transaction”).

        The following is the information regarding the Transaction:
         a. Interest                         : JIBOR +1,03% per annum.
         b. Availability                     : 21 April 2025 – 20 April 2030

2.      Relationship between the Parties

        The affiliated relationship between the Company and UT is demonstrated through the indirect
        share ownership of UT in the Company and the existence of shared management at the time of
        the Transaction, with the following details:

3.   Explanation, Considerations, and Reasons for Conducting the Transaction Compared to
     Similar Transactions with Unaffiliated Parties

     The consideration and reason for obtaining a loan from an affiliate rather than from an unaffiliated
     party are that the Company is not required to provide collateral or undergo a prolonged and
     complicated administrative process. Thus, the terms and conditions are more flexible and is not
     required to provide guarantees to UT, while still adhering to the arm’s length principle.
     Furthermore, the Company considers that the Transaction would be more effective and efficient if
     carried out with an affiliate having ownership ties within the same group as the Company.

4.   Statement of the Board of Directors and Board of Commissioners of the Company

     In connection with this Transaction, the Board of Commissioners and the Board of Directors of the
     Company declare that, to the best of their knowledge, the Company has disclosed all information
     that must be known to the public and that there are no material facts that have not been disclosed
     or omitted that would render the information provided in relation to the above Transaction untrue
     and/or misleading. The Company has fulfilled the procedures to ensure that the Transaction is
     carried out in accordance with generally accepted business practices.

5.    Additional Information

      a.   This Transaction does not constitute a conflict of interest transaction as referred to in POJK
           42/2020; hence, it does not require the approval of independent shareholders..

      b.   Although this Transaction constitutes a material transaction, the Company records a negative
           net working capital and negative equity. Pursuant to Article 6 paragraph (1) letter a jo. Article
           11 letter g of the Financial Services Authority Regulation No. 17/POJK.04/2020 concerning
           Material Transactions and Changes in Main Business Activities (“POJK 17/2020”), although
           this is a material transaction, the Company is not required to appoint an appraiser or obtain
           approval from the General Meeting of Shareholders provided that the conditions stipulated in
           POJK 17/2020 are fulfilled.

      Accordingly, this Transaction constitutes only an affiliated transaction which requires: (i) public
      disclosure of the information; and (ii) submission of the disclosure to the Financial Services
      Authority, as stipulated under Article 4 jo. Article 6 of POJK 42/2020.
