Plantations
Uraian Informasi atau Fakta Material Pada tanggal 22 April 2025, telah dilakukan penandatanganan
Perjanjian Jual Beli Saham Bersyarat oleh dan antara
Perseroan dan PT REA Kaltim Plantations sehubungan
dengan rencana akuisisi 100% saham pada CDM (Rencana
Transaksi).
Total nilai keseluruhan atas Rencana Transaksi adalah dalam
rentang Rp160 - Rp210 Miliar. Rencana Transaksi
berdasarkan PJBB ini merupakan transaksi bersyarat, yang
mana pemenuhan pelaksanaannya serta nilai transaksinya
akan dipertimbangkan dan ditentukan setelah persyaratan
pendahuluan terpenuhi.
Tanggal penyelesaian atas Rencana Transaksi akan
disepakati kemudian oleh Para Pihak setelah kewajiban yang
tertuang pada PJBB telah terpenuhi.
Dampak kejadian, informasi atau fakta Tujuan dari transaksi ini adalah guna memenuhi rencana
material tersebut terhadap kegiatan penggunaan dana dari hasil penawaran umum perdana saham
operasional, hukum, kondisi keuangan, sebagaimana telah dijelaskan pada prospektus Perseroan
atau kelangsungan usaha Emiten atau yaitu akan digunakan untuk melakukan akuisisi perusahaan
Perusahaan Publik yang bergerak di bidang kelapa sawit.
Pelaksanaan dari Rencana Transaksi juga nantinya akan
menambah aset Perseroan, memperbesar produksi serta
sebagai salah satu rencana pengembangan usaha jangka
panjang Perseroan.

Disclosure of Material Facts or Information regarding the
Type of Material Information or Facts Signing of a Conditional Share Purchase Agreement between
PT Teladan Prima Agro Tbk and PT REA Kaltim Plantations
Description of Material Information or On 22 April 2025, a Conditional Share Purchase Agreement
Facts was signed by and between the Company and PT REA Kaltim
Plantations regarding the proposed acquisition of 100% of the
shares owned in PT Cipta Davia Mandiri (Proposed
Transaction).
The total value of the Proposed Transaction is estimated to be
between IDR 160 billion and IDR 210 billion. As stipulated in
the Conditional Share Purchase Agreement, the proposed
transaction is conditional; the implementation and final
transaction value shall be assessed and determined upon the
fulfilment of the preliminary conditions.
The completion date of the Proposed Transaction shall be
mutually agreed upon by the Parties following the fulfilment of
the obligations set forth in the Conditional Share Purchase
Agreement.
Impact of event, material information or The purpose of this transaction is to fulfil the use of proceeds
