Berdasarkan Peraturan OJK No. 31/POJK.04/2015 tanggal 16 Desember 2015 tentang

revoked by OJK Regulation No. 45 of 2024 on the Development and Strengthening of Issuers

Material Primer, suatu perusahaan patungan yang didirikan
oleh Perseroan, PT Arthakencana Rayatama, dan
BW FSRU VII Pte., Ltd, dengan (ii) HD Hyundai
Heavy Industries Co., Ltd., suatu perusahaan industri
alat berat dan merupakan salah satu perusahaan
pembuat kapal terbesar di dunia, yang bukan
merupakan pihak terafiliasi Perseroan ("Hyundai
Industries”), sehubungan dengan rencana
Perseroan melalui PT Andalanesa Energi Primer
untuk membangun kapal Floating Storage
Regasification Unit (“FSRU”) pada Hyundai
Industries, untuk menunjang keperluan usaha
penyimpanan, regasifikasi, dan penyaluran Gas
Alam Cair (LNG).
The execution of an agreementicontract between (i)
PT Andalanesa Energi Primer, a joint venture
established by the Company, PT Arthakencana
Rayatama, and BW FSRU VII Pte. Ltd., and (ii) HD
Hyundai Heavy Industries Co., Ltd, a heavy
industries company and one of the world's largest
Shipbuilders, which is not an affiliated party of the
Company ("Hyundai Industries”), in connection with
the Company's plan through PT Andalanesa Energi
Primer to construct, by Hyundai Industries, a Floating
Storage Regasification Unit (“FSRU”) vessel to
support business activities relating to the storage,
regasification, and delivery of Liguefied Natural Gas
(LNG).
3 | Para Pihak Dalam Kontrak
Parties in the Contract
1. PT Andalanesa Energi Primer, suatu perseroan
yang didirikan berdasarkan hukum Republik
Indonesia, berkedudukan di Jl. Raya Manyar KM.
11, Manyar, Kabupaten Gresik, Jawa Timur
61151, Indonesia.
2. HD Hyundai Heavy Industries Co., Ltd., suatu
perseroan yang didirikan dan tunduk pada hukum
Republik Korea, berkantor pusat di 1000,
Bangeojinsunhwan-doro, Dong-gu, Ulsan,
Republik Korea.
1. PT Andalanesa Energi Primer, a corporation
incorporated under the laws of the Republic
Indonesia, having its registered address at Jl.
Raya Manyar KM. 11, Manyar, Kabupaten Gresik,
Jawa Timur 61151, Indonesia.
2. HD Hyundai Heavy Industries Co., Ltd, a
corporation organized and existing under the laws
of the Republic of Korea, having its principal office

Dong-gu, Uraian Informasi atau Fakta Material Description of Information or Material Facts PT Andalanesa Energi Primer, dimana Perseroan memiliki 4996 saham, telah menandatangani kontrak dengan Hyundai Industries, yang bukan merupakan pihak terafiliasi Perseroan, untuk perancangan, pemasangan, pembangunan, peluncuran, perlengkapan, penyelesaian, pengujian, dan survei, serta penjualan dan penyerahan 1 (satu) unit kapal FSRU berkapasitas 170.000 (seratus tujuh puluh ribu) meter kubik. FSRU tersebut akan digunakan untuk mendukung kegiatan usaha dalam rangka penyimpanan, regasifikasi, dan penyaluran Gas Alam Cair (LNG). Nilai kontrak pembangunan dan pembelian FSRU tersebut adalah sebesar USD319.690.500 (tiga ratus sembilan belas juta enam ratus sembilan puluh ribu lima ratus Dolar Amerika Serikat), yang pembayarannya akan dilakukan dalam & (enam) tahap sesuai dengan ketentuan dalam perjanjian/kontrak. Penyelesaian pembangunan dan penyerahan FSRU diperkirakan akan dilakukan pada pertengahan tahun 2029. PT Andalanesa Energi Primer, whereby the Company holds 4946 of shares, has entered into a contract with Hyundai Industries, which is not an affillated party of the Company, for the design, installation, construction, launching, eguipping, completion, testing, and surveying, as well as the sale and delivery, of one (1) 170,000 cubic meter FSRU vessel. The FSRU will be utilized to support the business activities in the storage, regasification, and delivery of Liguefied Natural Gas (LNG). The contract price for the construction and purchase of the FSRU is USD319,690,500 (United States Dollars Three Hundred Nineteen Million Six Hundred Ninety Thousand Five Hundred), payable in six (6) instalments in accordance with the terms of the agreement/contract. The construction and delivery of the FSRU are expected to be completed by mid- 2029. Dampak kejadian, informasi atau fakta material tersebut terhadap kegiatan operasional, hukum, kondisi keuangan, atau kelangsungan usaha Emiten atau Perusahaan Publik Transaksi tidak memiliki dampak negatif terhadap kegiatan operasional, Hukum, kondisi keuangan atau kelangsungan usaha Perseroan dengan mengingat Perseroan melalui PT Andalanesa Energi Primer memiliki kemampuan untuk melakukan pembuatan kapal FSRU, dan dalam hal pembuatan kapal FSRU AKR Tower, 26th floor, Jl. pr AKR corporindo Tbk The impact of the incident, information or material facts against operational activities, law, financial — condition, — business continuity or Issuer or public company telah selesai, maka Perseroan melalui PT Andalanesa Energi Primer dapat memanfaatkan kapal FSRU untuk mendukung kegiatan usaha yang dilakukan Perseroan dan diproyeksi akan mendapatkan keuntungan secara finansial dari pemanfaatan kapal FSRU tersebut. The Transaction will not have any adverse impact on the Company's operations, legal standing, financial condition, or business continuity. The Company through PT Andalanesa Energi Primer has the financial capability to undertake the construction of the FSRU, and upon completion of its construction, will be able to utilize the FSRU to support its business activities. The Company also expects to derive financial benefits from the utilization of the FSRU. 5 | Keterangan lain-lain Other Description Untuk keperluan penyampaian pelaporan sebagaimana dimaksud dalam surat ini, Dewan Komisaris dan Direksi Perseroan dengan ini menyatakan bahwa semua informasi material telah diungkapkan dan informasi tersebut tidak menyesatkan.
