DISCLOSURE OF INFORMATION TO PUBLIC FOR THE PURPOSE COMPLIANCE WITH THE REGULATION OF THE FINANCIAL SERVICES AUTHORITY OF THE REPUBLIC OF INDONESIA NUMBER 17/POJK.04/2020 REGARDING MATERIAL TRANSACTIONS AND CHANGE IN THE BUSINESS ACTIVITIES CENTEX PT. CENTURY TEXTILE INDUSTRY Tbk PT. Century Textile Industry Tbk disingkat PT. Centex Tbk (the “Company”) Havingits domicile in East Jakarta Line of Business: Industry of Textile Head Office and Factory: Jalan Raya Bogor Km 27, Ciracas, East Jakarta 13740 Indonesia Telephone: (62-21) 8710724, 8710725, 8710301 Facsimile: (62-21) 8711401 and 8704294 http://www.toray.co.id This Disclosure of Information to the Public (hereinafter referred to as “Disclosure of Information”) contains information regarding fourth amendment to certain provision in a material transaction which is also affiliated transaction entered into by the Company which have been approved by the Extraordinary General Meeting of Shareholders of the Company on 29 March 2017. Such transaction is an Inter-Company Loan Agreement between the Company and Penfabric Sdn. Berhad (“PAB”), dated 29 March 2017 (hereinafter in this Disclosure of Information such Inter-Company Loan Agreement will be referred to as “ICLA 2017”). PAB as the lender is an affiliated party with the Company. ICLA 2017 has been amended for the first time in March 2022, in terms of loan amount, interest rate, loan maturity and loan amount secured by company guarantee from PT. Budiman Kencana Lestari. In 2023, ICLA 2017 was amended for the second time, in terms of the loan amount, loan maturity and loan amount secured by corporate guarantees from PT. Budiman Kencana Lestari. In 2024, ICLA 2017 was amended for the foruth time, in term of loan maturity only. On 28 March 2025, the Company and PAB signed "Addendum No. 4 to Intercompany Loan Agreement", which agreed to extend the loan maturity until March 2026, which previously matured in March 2025. This Disclosure of Information announcement is made to comply with the provisions of Article 6 paragraph (1) letter b jo. Paragraph (3) of the Regulation of the Financial Services Authority of the Republic of Indonesia Number 17/POJK.04/2020 concerning Material Transactions and Changes in Business Activities (hereinafter referred to as “POJK 17/2020”). PRELIMINARY n This Information Disclosure is made in order to comply with the provisions of Article 6 paragraph (1) letter b jo. Paragraph (3) of POJK 17/2020. PAB is an affiliated party with the Company as referred to in the Law of the Republic of Indonesia Number 8 of 1995 concerning the Capital Market and its implementing regulations. .. DESCRIPTION CONCERNING FOURTH AMENDMENT TO ICLA 2017 The Addendum No. 4 to Intercompany Loan Agreement, dated 28 March 2025 (hereinafter will be referred to as the “Addendum 4”) is presented below in the form of “Initially” (referring to the third addendum in March 2024) and “Becoming” (referring to the fourth addendum in March 2025). That the Addendum 4 did not harm the Company, in fact the amendment provided relief to the Company which was supposed to repay the entire loan amounting to US$10,000,000.00 (ten million United States Dollars) in March 2025, to be extended until March 2026. So the fourth amendment to the ICLA 2017 is as follows: Loan maturity: Initially 1 March 2025. Becoming : March 2026. Il. USE OF APPRAISER AND APPROVAL OF GENERAL MEETING OF SHAREHOLDERS OF THE COMPANY ARE NOT REOUIRED The Company's Financial Statements for the financial year ended on 31 March 2025 shows an indication that the net working capital and eguity of the Company are still negative, then based on the provisions of Article 11 of POJK 17/2020, to enter into the Addendum 3 the Company is not reguired to use an Appraiser as referred to in Article 6 paragraph (1) letter a of POJK 17/2020 and obtain approval from the General Meeting of Shareholders (GMS) as referred to in Article 6 paragraph (1) letter d POJK 17/2020 Therefore, for the Addendum 4 as described in part I above, the Company does not use an Appraiser and does not hold a GMOS to reguest approval for such Addendum 4.
