merupakan 100% (seratus persen) dari seluruh saham yang telah dikeluarkan oleh SDM, oleh FGT sebagai penjual
kepada AIH sebagai pembeli. Nilai transaksi jual beli atas saham di SDM tersebut adalah sebesar USD
148.907.494 (seratus empat puluh delapan juta sembilan ratus tujuh ribu empat ratus sembilan puluh empat Dolar
Amerika Serikat) yaitu ekuivalen dengan Rp2.505.300.000.000 (dua triliun lima ratus lima miliar dan tiga ratus juta
Rupiah) yang dihitung berdasarkan kurs 1 USD = Rp16.825. Transaksi yang timbul berdasarkan Perjanjian Jual
Beli Saham ini selanjutnya disebut Transaksi Jual Beli Saham . Sehubungan dengan Transaksi Jual Beli Saham,
Perseroan setuju untuk memberikan jaminan perusahaan untuk menjamin pelaksanaan, kepatuhan, dan
pemenuhan secara tepat waktu oleh AIH atas seluruh kewajiban dan tanggung jawab AIH terhadap FGT
berdasarkan Perjanjian Jual Beli Saham. Transaksi Jual Beli Saham dan pemberian jaminan merupakan satu
rangkaian transaksi sehingga tidak dapat berdiri sendiri. Bahwa pada tanggal yang sama dengan tanggal
penandatanganan Perjanjian Jual Beli Saham, Athletica SD Holdings Pte.Ltd, anak perusahaan Perseroan yang
berkedudukan di Singapura (ASH), dengan SDM dan Perseroan telah menandatangani Local Retail Agreement
sehubungan dengan pemberian hak non-ekslusif dari ASH kepada SDM untuk: (i) membuka dan mengoperasikan
toko-toko ritel dengan nama Sports Direct dan USC (secara offline dan online) dan (ii) menjual berbagai barang
dengan merek milik pemegang merek di toko-toko multi-merek yang dimiliki oleh SDM di wilayah Malaysia. ASH
mendapatkan hak-hak tersebut berdasarkan Retail Agreement yang ditandatangani antara FGT, USC IP Limited,
International Brand Management Limited, ASH dan Perseroan (sebagaimana diubah dengan Amendment
Agreement yang ditandatangani pada tanggal yang sama dengan tanggal penandatanganan Perjanjian Jual Beli
Saham). Transaksi yang timbul berdasarkan Local Retail Agreement disebut Transaksi Pemberian Hak Ritel .
Sehubungan dengan Transaksi Pemberian Hak Ritel ini, Perseroan setuju untuk memberikan jaminan perusahaan
untuk menjamin pelaksanaan seluruh kewajiban SDM terhadap ASH berdasarkan Local Retail Agreement.
Transaksi pemberian jaminan perusahaan oleh Perseroan terkait dengan (i) Perjanjian Jual Beli Saham dan (ii)
Local Retail Agreement, selanjutnya bersama-sama disebut Transaksi Jaminan Perusahaan , yang bersama-sama
dengan Transaksi Jual Beli Saham dan Transaksi Pemberian Hak Ritel disebut dengan Transaksi. Transaksi Jual
Beli Saham, Transaksi Pemberian Hak Ritel dan Transaksi Jaminan Perusahaan merupakan satu rangkaian
transaksi sehingga Perseroan menyampaikan keterbukaan informasi atas Transaksi secara bersamaan.

 On 29 June 2026, the Company, its subsidiary, Athletica International Holdings Pte. Ltd., a company domiciled in
 Singapore (AIH), and Frasers Group Trading Limited (formerly known as Sportsdirect.com Retail Limited), a
 company domiciled in England (FGT), have signed an Agreement for the Sale and Purchase of the Entire Issued
 Share Capital of Sports Direct Malaysia Sdn. Bhd (SDM) (Share Sale and Purchase Agreement) relating to the sale

and purchase of 1,000,000 (one million) shares, representing 100% (one hundred percent) of the total issued
shares of SDM, by FGT as the seller to AIH as the purchaser. The value of the sale and purchase transaction of
shares in SDM is USD 148,907,494 (one hundred forty-eight million nine hundred seven thousand four hundred
ninety-four United States Dollars), which is equivalent to Rp2,505,300,000,000 (two trillion five hundred and five
billion three hundred million Indonesian Rupiah), calculated based on exchange rate, being 1 USD equals Rp
16,825. The transaction arising from or in connection with this Share Sale and Purchase Agreement shall
hereinafter be referred to as the Sale and Purchase of Shares Transaction. In connection with the Sale and
Purchase of Shares Transaction, the Company agrees to provide a corporate guarantee to secure the due and
punctual performance, observance, and fulfilment by AIH of all its obligations and responsibilities to FGT under the
Share Sale and Purchase Agreement. The Sale and Purchase of Shares Transaction and the provision of such
corporate guarantee constitute a single integrated series of transactions and, accordingly, shall not exist
independently of one another. Whereas, on the same date as the execution of the Share Sale and Purchase
Agreement , Athletica SD Holdings Pte. Ltd., a subsidiary of the Company domiciled in Singapore (ASH), together
with SDM and the Company, have signed a Local Retail Agreement, pursuant to which ASH grants SDM a non-
exclusive right to: (i) establish and operate retail stores under the Sports Direct and USC brands (offline and online);
and (ii) sell various products bearing trademarks owned by the respective brand owners at multi-brand retail stores
owned and operated by SDM within the territory of Malaysia. ASH has a right to do so pursuant to a Retail
Agreement signed between FGT, USC IP Limited, International Brand Management Limited, ASH, and the
Company (as amended by an Amendment Agreement to be entered into on the same date of the signing of the
Share Purchase Agreement. The transaction arising under the Local Retail Agreement shall hereinafter be referred
to as "Transaction for the Grant of Retail Rights". In connection with the Transaction for the Grant of Retail Rights,
the Company has agreed to provide a corporate guarantee to secure the performance and fulfilment of all
obligations of SDM to ASH under the Local Retail Agreement. The transaction concerning the provision of corporate
guarantees by the Company in connection with (i) the Share Sale and Purchase Agreement and (ii) the Local Retail
Agreement shall hereinafter be collectively referred to as the Corporate Guarantee Transaction which, together with
the Share Sale and Purchase Transaction and Transaction for the Grant of Retail Rights, shall be referred to as the
Transactions. The Share Sale and Purchase Transaction, the Transaction for the Grant of Retail Rights and the
Corporate Guarantee Transaction constitute a single integrated series of transactions and, accordingly, shall not
exist independently of one another. Accordingly, the Company is submitting the disclosure of information in respect
thereof simultaneously.
