Uraian Informasi atau Fakta Material 1. Jenis aset adalah 2 (dua) unit kapal tug boat;
2. Nilai perolehan atas 2 (dua) unit Kapal adalah
sebesar Rp22.500.000.000,00 (dua puluh dua milyar lima
ratus juta rupiah).
3. Sumber pendanaan untuk pembelian Kapal berasal
dari keuangan
4. Penjual dari Kapal tersebut adalah PT Pelayaran
Sumber Bahari sebuah perusahaan yang didirikan
berdasarkan hukum negara Republik Indonesia dan
berdomisili di Serang Provinsi Banten, bukan merupakan
afiliasi dari Perseroan;internal dan bank.
5. Pembeli atas Kapal yaitu HTC merupakan entitas
anak dan perusahaan terkendali Perseroan dengan
kepemilikan langsung sebanyak 99,99% (sembilan puluh
sembilan koma sembilan sembilan persen) saham;
Dampak kejadian, informasi atau fakta 1. Transaksi bukan merupakan Transaksi Afiliasi
material tersebut terhadap kegiatan sebagaimana didefinisikan di dalam Peraturan Otoritas Jasa
operasional, hukum, kondisi keuangan, Keuangan No. 42/POJK.04/2020 tentang Transaksi Afiliasi
atau kelangsungan usaha Emiten atau dan Benturan Kepentingan (POJK 42), karena dilakukan di
Perusahaan Publik antara dua Perusahaan, yang berdasarkan ketentuan Pasal 1
angka 1 huruf c Undang-Undang No. 8 Tahun 1995 tentang
Pasar Modal (UUPM), tidak dikategorikan sebagai afiliasi;
2. Berdasarkan nilai perolehan tersebut diatas, transaksi
tersebut bukan merupakan Transaksi Material, sebagaimana
didefinisikan di dalam Peraturan Otoritas Jasa Keuangan No.
17/POJK.04/2020 tentang Transaksi Material dan Perubahan
Kegiatan Usaha (POJK 42), karena nilai transaksi tidak lebih
dari 20% nilai Ekuitas Perseroan (berdasarkan nilai yang
tercantum dalam Laporan Keuangan Teraudit Perseroan untuk
tahun buku 2025);
3. Pembelian Kapal dilakukan untuk pengembangan
usaha anak usaha Perseroan.

Description of Material Information or 1.Type of asset is 1 (one) unit tug boat vessel;
Facts 2.The acquisition value of 2 (two) units of the Vessels is
Rp22.500.000.000,00 (twenty-two billion five hundred million
rupiah).
3. Funding for the purchase of the ship comes from internal
funds and bank loans.
4. The seller of the Vessel is PT Pelayaran Sumber Bahari a
company incorporated under the laws of Republic of Indonesia
and domiciled in Serang Province Banten, which is not
affiliated of the Company;
5. The buyer of the Vessel is HTC, is a subsidiary of the
Company and a controlled company of the Company with
direct ownership of 99.99% (ninety nine point nine nine

Company's subsidiaries.
