PENGUMUMAN
RINGKASAN RISALAH RAPAT UMUM PEMEGANG SAHAM TAHUNAN
TAHUN BUKU 2024
PT BANK NEGARA INDONESIA (PERSERO) Tbk
Direksi PT Bank Negara Indonesia (Persero) Tbk (“Perseroan”) dengan ini mengumumkan
kepada para Pemegang Saham bahwa Perseroan telah menyelenggarakan Rapat Umum
Pemegang Saham Tahunan Tahun Buku 2024 (“Rapat”) sebagai berikut:
A. Hari/Tanggal, Tempat, Waktu, dan Mata Acara Rapat

Keuangan Konsolidasian Perseroan, Persetujuan Laporan
Tugas Pengawasan Dewan Komisaris, serta Pengesahan
Laporan Keuangan Program Pendanaan Usaha Mikro dan
Usaha Kecil (“PUMK”) Tahun Buku 2024, sekaligus pemberian
pelunasan dan pembebasan tanggung jawab sepenuhnya
(volledig acquit et de charge) kepada Direksi atas tindakan
pengurusan Perseroan dan Dewan Komisaris atas tindakan
pengawasan Perseroan yang telah dijalankan selama Tahun
Buku 2024.
2) Persetujuan Penggunaan Laba Bersih Perseroan untuk Tahun
Buku 2024.
3) Penetapan Gaji/Honorarium berikut Fasilitas dan Tunjangan
Tahun Buku 2025, serta Tantiem/Insentif Kinerja/Insentif
Khusus atas Kinerja Tahun Buku 2024 dan/atau Insentif
Jangka Panjang Periode Tahun 2025-2027, untuk Direksi dan
Dewan Komisaris Perseroan.
4) Penetapan Akuntan Publik dan/atau Kantor Akuntan Publik
untuk Mengaudit Laporan Keuangan Konsolidasian Perseroan
dan Laporan Keuangan Program PUMK untuk Tahun Buku
2025.
5) Persetujuan atas Rencana Pembelian Kembali Saham yang
Dikeluarkan Perseroan (Buyback) dan Pengalihan Saham
Hasil Buyback yang disimpan sebagai Saham Tresuri
(Treasury Stock).
6) Perubahan Anggaran Dasar Perseroan.
7) Perubahan Susunan Pengurus Perseroan.
B. Pimpinan Rapat dan Kehadiran Dewan Komisaris dan Direksi Perseroan
Rapat dipimpin oleh Bapak Pahala Nugraha Mansury (Wakil Komisaris Utama) sesuai dengan
surat Dewan Komisaris Nomor DK/30 tanggal 13 Maret 2025, dan dihadiri oleh anggota Dewan

C. Kehadiran Pemegang Saham
Saham yang hadir dan/atau diwakili dalam Rapat berjumlah 32.719.558.266 saham termasuk
saham seri A Dwiwarna atau merupakan 87,7263151% dari seluruh jumlah saham dengan
hak suara yang sah yang telah dikeluarkan Perseroan.
D. Mekanisme Pengambilan Keputusan Rapat
Mengacu pada ketentuan kuorum pada Peraturan OJK Nomor 15/POJK.04/2020 tentang
Rencana dan Penyelenggaraan Rapat Umum Pemegang Saham Perusahaan Terbuka
(“POJK 15”) dan Anggaran Dasar Perseroan, keputusan diambil berdasarkan musyawarah
untuk mufakat. Dalam hal keputusan berdasarkan musyawarah untuk mufakat tidak tercapai,
maka keputusan diambil berdasarkan pemungutan suara. Mekanisme pemungutan suara,
untuk pengambilan keputusan Rapat adalah sebagai berikut:
1. Untuk Mata Acara Rapat Pertama dan Keempat adalah Rapat dihadiri oleh Pemegang
Saham atau Kuasanya yang sah yang bersama-sama mewakili lebih dari 1/2 (satu per
dua) bagian dari jumlah seluruh saham dengan hak suara yang sah, dan keputusan adalah
sah jika disetujui oleh lebih dari 1/2 (satu per dua) bagian dari jumlah seluruh saham
dengan hak suara yang hadir dalam Rapat.
2. Untuk Mata Acara Rapat Kedua, Ketiga, dan Ketujuh adalah Rapat dihadiri oleh
Pemegang Saham Seri A Dwiwarna dan para Pemegang Saham lainnya dan/atau Kuasa

mereka yang sah yang bersama-sama mewakili lebih dari 1/2 (satu per dua) bagian dari
jumlah seluruh saham dengan hak suara yang sah, dan keputusan adalah sah jika disetujui
oleh Pemegang Saham Seri A Dwiwarna dan para Pemegang Saham lainnya dan/atau
Kuasa mereka yang sah yang bersama-sama mewakili lebih dari 1/2 (satu per dua) bagian
dari jumlah seluruh saham dengan hak suara yang hadir dalam Rapat.
3. Untuk Mata Acara Rapat Kelima dan Keenam adalah Rapat dihadiri oleh Pemegang
Saham Seri A Dwiwarna dan para pemegang saham lainnya dan/atau wakil mereka yang
sah yang bersama-sama mewakili paling sedikit 2/3 (dua per tiga) bagian dari jumlah
seluruh saham dengan hak suara yang sah dan keputusan adalah sah jika disetujui oleh
Pemegang Saham Seri A Dwiwarna dan para pemegang saham lainnya dan/atau Kuasa
mereka yang sah yang bersama-sama mewakili lebih dari 2/3 (dua per tiga) bagian dari
jumlah seluruh saham dengan hak suara yang hadir dalam Rapat.
E. Pihak Independen Penghitung Suara
Penghitungan suara untuk dasar pengambilan keputusan Rapat dilakukan oleh PT Datindo
Entrycom selaku Biro Administrasi Efek. Selanjutnya suara divalidasi oleh Ashoya Ratam,
S.H., M.Kn. Notaris di Jakarta.
F. Kesempatan Mengajukan Pertanyaan dan/atau Tanggapan
Para Pemegang Saham telah diberikan kesempatan untuk mengajukan pertanyaan dan/atau
tanggapan dalam setiap Mata Acara Rapat.

BNI atas keberhasilan dalam meningkatkan kinerja
Perseroan yang tercermin pada:
a. Laba bersih atribusi entitas induk meningkat 2,6%
YoY menjadi Rp21,46 triliun.
b. Penyaluran kredit tumbuh 11,6% YoY menjadi
Rp775,87 triliun.
c. Realisasi pendapatan Fee Based Income meningkat
10,2% YoY menjadi Rp16,29 triliun.
d. Rasio NPL Gross menurun dari 2,1% menjadi 2,0%
dan LAR menurun dari 12,9% menjadi 10,3%.
Kami berharap capaian tersebut terus ditingkatkan pada
masa mendatang sehingga Perseroan dapat
berkontribusi lebih optimal bukan hanya terhadap
shareholder return namun juga negara dan masyarakat.

2. Hal-hal yang perlu mendapatkan perhatian Dewan
Komisaris dan Direksi BNI untuk perbaikan kinerja di
masa mendatang antara lain sebagai berikut:
a. Untuk mengantisipasi kondisi ekonomi global pada
tahun 2025 yang berpotensi adanya tekanan inflasi
dan pengetatan kebijakan moneter global dengan
ruang fiscal yang semakin terbatas, Perseroan agar
menetapkan strategi penyaluran kredit yang lebih
selektif, menerapkan manajemen risiko kredit yang
berkesinambungan, serta pengelolaan likuiditas yang
optimal;
b. Perseoran agar mengupayakan peningkatan interest
income, termasuk mengoptimalkan penyaluran kredit
pada segmen korporasi top-tier yang menunjukkan
kinerja yang baik, dengan tetap menjaga pengelolaan
risiko yang prudent sesuai focus Perseroan pada low-
risk segment. Di samping itu, Perseroan diharapkan
mengevaluasi strategi pricing guna merespons
penurunan blended loan yield secara year on year,
serta memperkuat strategi mitigasi risiko pada
segmen kredit kecil untuk mendukung pertumbuhan
berkelanjutan;
c. Memperkuat strategi pengelolaan Cost of Fund (CoF)
melalui pengurangan secara bertahap special rate
produk giro dan deposito utamanya pada dana
institusional dan korporasi. Selain itu, Perseroan
diharapkan dapat meningkatkan proporsi dana retail
berbiaya rendah, di antaranya dengan
mengoptimalkan aplikasi Wondr by BNI yang
diharapkan mampu memperkuat proporsi CASA dan
mendukung efisiensi biaya dana secara
berkelanjutan.
d. Perseroan perlu terus dilakukan perbaikan kualitas
kredit, penguatan strategi efisiensi operating
expense, dan optimalisasi other operating income dari
fee based income, loan recovery, dan lainnya guna
menekan dampak kenaikan interest expense pada
profitabilitas Perseroan;
e. Perseroan perlu mendorong langkah perbaikan
kinerja perusahaan anak melalui peningkatan
pendapatan guna mengoptimalkan kontribusi laba
bersih dan peran perusahaan anak sebagai revenue
contributor,
f. Memanfaatkan peluang pada industri perbankan
dengan baik melalui produk dan layanan keuangan

berkualitas unggul sehingga diharapkan mampu
menjadi one-stop digital platform solution bagi
nasabah dan menjaga transaksi keuangan nasabah
tiap segmen tetap dalam ekosistem keuangan BNI;
g. Pencadangan yang menurun tercermin dari
penurunan NPL Coverage dan LaR Coverage,
Perseroan agar menjaga kemampuan Perseroan
dalam menangani pinjaman bermasalah dan
memastikan kecukupan pencadangan Perseroan
guna memastikan kemampuan bank dalam
menghadapi risiko kredit;
h. Sehubungan dengan semakin tingginya peran
teknologi informasi dalam industry perbankan dan
semakin masifnya upaya peretasan dan gangguan
keamanan siber yang berdampak sangat masif baik
secara operasi, keuangan, maupun reputasi,
Perseroan diharapkan memperkuat keamanan
sibernya (cyber security) baik dari aspek kebijakan,
infrastruktur, sistem operasi, maupun mitigasi risiko;
i. Dalam rangka mendorong prinsip keuangan
berkelanjutan, Perseroan agar menjaga komitmen
dalam mengembangkan inisiatif ESG antara lain
melalui program kerja Perseroan, penyaluran kredit
maupun penerbitan surat utang dengan berlandaskan
pada prinsip green financing. Selain itu, implementasi
inisiatif ESG agar diselaraskan dengan arah fokus
program pemerintah dalam rangka pemulihan dan
pengembangan ekonomi nasional;
j. Perseroan agar terus berkomitmen melakukan
perbaikan dalam implementasi Strategi Anti Fraud
pada setiap pilarnya dan tidak memberikan toleransi
(zero tolerance) pada setiap bentuk fraud baik internal
maupun eksternal;
k. Sebagai upaya dalam meningkatkan kualitas,
efisiensi, dan keandalan dalam manajemen
keuangan, Perseroan agar melakukan percepatan
implementasi seluruh sistem informasi manajemen
yang mendukung proses pelaporan keuangan;
l. Menindaklanjuti temuan audit/pemeriksa internal
maupun eksternal (termasuk management letter),
mengoptimalkan pengelolaan manajemen risiko dan
implementasi three line of defense, serta senantiasa
mengedepankan prinsip good corporate governance
dan memperhatikan ketentuan Anti Pencucian Uang,
Pencegahan Pendanaan Terorisme dan Pencegahan

Keterangan:
*) Sesuai Anggaran Dasar Perseroan dan POJK 15, Pemegang Saham dengan hak suara
yang hadir dalam Rapat namun Abstain dianggap memberikan suara yang sama dengan suara
mayoritas Pemegang Saham yang mengeluarkan suara. Oleh karenanya, sesuai perhitungan
sistem PT Kustodian Sentral Efek Indonesia dan Biro Administrasi Efek, jumlah suara Abstain
ditambahkan ke dalam suara Setuju.
H. Hasil Keputusan Rapat
Hasil keputusan Rapat tertuang dalam akta “Risalah Rapat Umum Pemegang Saham
Tahunan PERUSAHAAN PERSEROAN (PERSERO) PT BANK NEGARA INDONESIA Tbk
atau disingkat PT BANK NEGARA INDONESIA (PERSERO) Tbk” Nomor 36 tanggal 26 Maret
2025 yang dibuat oleh Ashoya Ratam, S.H., M.Kn., Notaris di Kota Administrasi Jakarta
Selatan, yang pada pokoknya memutuskan sebagai berikut:
MATA ACARA RAPAT PERTAMA
1. Menyetujui Laporan Tahunan Perseroan termasuk Laporan Tugas Pengawasan Dewan
Komisaris Perseroan untuk Tahun Buku 2024 yang berakhir pada tanggal 31 Desember
2024.
2. Mengesahkan:
a. Laporan Keuangan Konsolidasian Perseroan untuk Tahun Buku 2024 yang berakhir
pada tanggal 31 Desember 2024 yang telah diaudit oleh Kantor Akuntan Publik Rintis,
Jumadi, Rianto & Rekan (Firma anggota jaringan PricewaterhouseCoopers) sesuai

Laporan Nomor 00014/2.1457/AU.1/07/1124-1/1/I/2025 tanggal 22 Januari 2025
dengan opini wajar dalam semua hal yang material; dan
b. Laporan Keuangan Program Pendanaan Usaha Mikro dan Usaha Kecil (PUMK) untuk
Tahun Buku 2024 yang berakhir pada tanggal 31 Desember 2024 yang telah diaudit
oleh Kantor Akuntan Publik Rintis, Jumadi, Rianto & Rekan (Firma anggota jaringan
PricewaterhouseCoopers) sesuai Laporan Nomor 00030/2.1457/AU.2/07/1124-
1/0/II/2025 tanggal 05 Februari 2025 dengan opini wajar dalam semua hal yang
material.
3. Dengan telah disetujuinya Laporan Tahunan Perseroan, termasuk Laporan Tugas
Pengawasan Dewan Komisaris, dan disahkannya Laporan Keuangan Konsolidasian
Perseroan, serta Laporan Keuangan Program Pendanaan Usaha Mikro dan Usaha Kecil
(PUMK), seluruhnya untuk Tahun Buku 2024 yang berakhir pada tanggal 31 Desember
2024, maka RUPS memberikan pelunasan dan pembebasan tanggung jawab sepenuhnya
(volledig acquit et de charge) kepada seluruh anggota Direksi atas tindakan pengurusan
Perseroan dan anggota Dewan Komisaris atas tindakan pengawasan Perseroan yang
telah dijalankan selama Tahun Buku 2024 yang berakhir pada tanggal 31 Desember 2024,
sepanjang tindakan tersebut bukan merupakan tindak pidana dan tercermin dalam laporan
tersebut di atas.
MATA ACARA KEDUA
Menyetujui dan menetapkan penggunaan Laba Bersih Konsolidasian Perseroan yang dapat
diatribusikan kepada pemilik entitas induk untuk Tahun Buku 2024 sebesar
Rp21.463.598.519.413,70 (dua puluh satu triliun empat ratus enam puluh tiga miliar lima ratus
sembilan puluh delapan juta lima ratus sembilan belas ribu empat ratus tiga belas koma tujuh
nol Rupiah) sebagai berikut:
1. Sebesar 65% (enam puluh lima persen) atau sejumlah Rp13.951.339.037.618,90 (tiga
belas triliun sembilan ratus lima puluh satu miliar tiga ratus tiga puluh sembilan juta tiga
puluh tujuh ribu enam ratus delapan belas koma sembilan nol Rupiah) atau sebesar
Rp374,05748422250 (tiga ratus tujuh puluh empat koma nol lima tujuh empat delapan
empat dua dua dua lima nol Rupiah) per saham ditetapkan sebagai Dividen Tunai.
Pembayarannya dilaksanakan dengan ketentuan sebagai berikut:
a. Dividen bagian Negara Republik Indonesia sebesar Rp8.370.803.422.720,61
(delapan triliun tiga ratus tujuh puluh miliar delapan ratus tiga juta empat ratus dua
puluh dua ribu tujuh ratus dua puluh koma enam satu rupiah) dibayarkan ke
rekening yang ditunjuk oleh Menteri BUMN.
b. Dividen untuk Tahun Buku 2024 dibayarkan secara proporsional kepada setiap
Pemegang Saham yang namanya tercatat dalam Daftar Pemegang Saham pada
tanggal pencatatan (recording date).
c. Direksi diberi kuasa dan wewenang dengan hak substitusi untuk melakukan:
i. Penetapan jadwal dan tata cara pembagian yang berkaitan dengan
Pembayaran Dividen untuk Tahun Buku 2024 sesuai dengan ketentuan
peraturan perundang-undangan.
ii. Pemotongan pajak Dividen sesuai Peraturan Perpajakan yang berlaku.
iii. Hal-hal terkait teknis lainnya sesuai dengan ketentuan peraturan perundang-
undangan.
2. Sebesar 35% (tiga puluh lima persen) atau sejumlah Rp7.512.259.481.794,79 (tujuh
triliun lima ratus dua belas miliar dua ratus lima puluh sembilan juta empat ratus delapan
puluh satu ribu tujuh ratus sembilan puluh empat koma tujuh sembilan Rupiah) digunakan
sebagai Saldo Laba Ditahan.

MATA ACARA KETIGA
1. Menyetujui pemberian kuasa dan wewenang kepada Pemegang Saham Seri A Dwiwarna
untuk menetapkan bagi anggota Dewan Komisaris:
a. Tantiem/Insentif Kinerja/Insentif Khusus atas kinerja Tahun Buku 2024 dan/atau
Insentif Jangka Panjang Periode Tahun 2025-2027, sesuai dengan ketentuan yang
berlaku; dan
b. Honorarium berikut Fasilitas dan Tunjangan untuk Tahun Buku 2025.
2. Menyetujui pemberian kuasa dan wewenang kepada Dewan Komisaris dengan terlebih
dahulu mendapatkan persetujuan tertulis dari Pemegang Saham Seri A Dwiwarna untuk
menetapkan bagi Anggota Direksi:
a. Tantiem/Insentif Kinerja/Insentif Khusus atas kinerja Tahun Buku 2024 dan/atau
Insentif Jangka Panjang Periode Tahun 2025-2027, sesuai dengan ketentuan yang
berlaku; dan
b. Gaji berikut Fasilitas dan Tunjangan untuk Tahun Buku 2025.
MATA ACARA KEEMPAT
1. Menyetujui penunjukan Akuntan Publik di Kantor Akuntan Publik Rintis, Jumadi, Rianto &
Rekan (Firma anggota jaringan PricewaterhouseCoopers) yang akan mengaudit Laporan
Keuangan Konsolidasian Perseroan, Laporan Keuangan Program Pendanaan Usaha
Mikro dan Usaha Kecil (PUMK), serta Laporan lainnya untuk Tahun Buku 2025.
2. Menyetujui pemberian kuasa dan wewenang kepada Dewan Komisaris Perseroan untuk
melakukan:
a. Penunjukan Akuntan Publik dan/atau Kantor Akuntan Publik untuk mengaudit atas
Laporan Keuangan Konsolidasian Perseroan periode lainnya pada Tahun Buku 2025
untuk tujuan dan kepentingan Perseroan; dan
b. Penetapan imbalan jasa audit dan persyaratan lainnya bagi Akuntan Publik dan/atau
Kantor Akuntan Publik tersebut, serta menunjuk Akuntan Publik dan/atau Kantor
Akuntan Publik Pengganti dalam hal Akuntan Publik dan/atau Kantor Akuntan Publik
Rintis, Jumadi, Rianto & Rekan (Firma anggota jaringan PricewaterhouseCoopers)
karena sebab apapun, tidak dapat menyelesaikan pemberian jasa audit Laporan
Keuangan Konsolidasian Perseroan, dan/atau periode lainnya pada Tahun Buku 2025,
serta Laporan Keuangan Program Pendanaan Usaha Mikro dan Usaha Kecil (PUMK)
Tahun Buku 2025, termasuk menetapkan imbalan jasa audit dan persyaratan lainnya
bagi Akuntan Publik dan/atau Kantor Akuntan Publik Pengganti tersebut.
MATA ACARA KELIMA
1. Menyetujui pembelian kembali (buyback) saham Perseroan yang telah dikeluarkan dan
tercatat di Bursa Efek Indonesia dengan jumlah sebesar-besarnya
Rp1.500.000.000.000,- (satu triliun lima ratus miliar Rupiah) termasuk biaya-biaya terkait
pembelian kembali (buyback) saham dengan memperhatikan perizinan serta ketentuan
peraturan perundang-undangan.
2. Menyetujui pengalihan saham hasil pembelian kembali (buyback) yang disimpan sebagai
saham treasuri (treasury stock) untuk pelaksanaan Program Kepemilikan Saham Pegawai
dan/atau Direksi dan Dewan Komisaris yang memenuhi syarat untuk memiliki saham
Perseroan dan/atau dalam rangka pengalihan lainnya sesuai dengan persetujuan OJK
serta ketentuan peraturan perundang-undangan.

3. Memberikan kuasa dan wewenang pelaksanaan pembelian kembali (buyback) saham
Perseroan termasuk penghentian pelaksanaannya kepada Direksi Perseroan, dengan
tetap memperhatikan ketentuan peraturan perundang-undangan.
4. Menyetujui pemberian kuasa dan wewenang pelaksanaan pengalihan saham hasil
Buyback yang disimpan sebagai saham treasuri (treasury stock) kepada:
a. Direksi Perseroan untuk Program Kepemilikan Saham Pegawai dan/atau pengalihan
lainnya sesuai dengan persetujuan OJK;
b. Direksi Perseroan dengan memperhatikan persetujuan Pemegang Saham Seri A

dengan tetap memperhatikan ketentuan peraturan perundang- undangan.

1. Menyetujui perubahan Anggaran Dasar Perseroan dalam rangka penyesuaian dengan
Peraturan Otoritas Jasa Keuangan Nomor 17 tahun 2023 tanggal 14 September 2023
tentang Penerapan Tata Kelola bagi Bank Umum.
2. Menyetujui untuk menyusun kembali seluruh ketentuan dalam Anggaran Dasar
Perseroan sehubungan dengan perubahan sebagaimana dimaksud pada butir 1 (satu)
tersebut di atas yang lampiran seluruh anggaran dasarnya sebagaimana dilekatkan pada
minuta akta notaris.
3. Memberikan kuasa dan wewenang kepada Direksi dengan hak substitusi untuk
melakukan segala tindakan yang diperlukan berkaitan dengan keputusan Rapat,
termasuk namun tidak terbatas pada menyusun dan menyatakan kembali seluruh
Anggaran Dasar Perseroan dalam suatu Akta Notaris, menyesuaikan perubahan

Sehubungan dengan keputusan Rapat pada Mata Acara Kedua Rapat telah memutuskan

Tata Cara Pembagian Dividen Tunai:
1. Dividen Tunai akan dibagikan kepada Pemegang Saham yang namanya tercatat dalam
Daftar Pemegang Saham Perseroan (“DPS”) atau Recording Date dan/atau pemilik
saham perseroan pada sub rekening efek di PT Kustodian Sentral Efek Indonesia
(“KSEI”) pada penutupan perdagangan tanggal 16 April 2025.
2. Bagi Pemegang Saham yang sahamnya dimasukkan dalam penitipan kolektif KSEI,
pembayaran dividen tunai dilaksanakan melalui KSEI dan akan didistribusikan pada
tanggal 25 April 2025 ke dalam Rekening Dana Nasabah (“RDN”) pada perusahaan efek
dan/atau Bank Kustodian dimana Pemegang Saham membuka rekening efek.
Sedangkan bagi Pemegang Saham yang sahamnya tidak dimasukkan dalam penitipan
kolektif KSEI, maka pembayaran Dividen Tunai akan ditransfer ke rekening Pemegang
Saham.
3. Dividen Tunai tersebut akan dikenakan pajak sesuai dengan peraturan perundang-
undangan perpajakan yang berlaku.
4. Berdasarkan peraturan perundang-undangan perpajakan yang berlaku, dividen tunai
tersebut akan dikecualikan dari objek pajak jika diterima oleh pemegang saham wajib
pajak badan dalam negeri (“WP Badan DN”) dan Perseroan tidak melakukan
pemotongan Pajak Penghasilan atas dividen tunai yang dibayarkan kepada WP Badan
DN tersebut. Dividen tunai yang diterima oleh pemegang saham wajib pajak orang pribadi
dalam negeri (“WPOP DN”) akan dikecualikan dari objek pajak sepanjang dividen
tersebut diinvestasikan di wilayah Republik Indonesia. Bagi WPOP DN yang tidak
memenuhi ketentuan investasi sebagaimana disebutkan di atas, maka Dividen Tunai
yang diterima oleh yang bersangkutan akan dikenakan pajak penghasilan (“PPh”) sesuai
dengan ketentuan perundang-undangan yang berlaku, dan PPh tersebut wajib disetor
sendiri oleh WPOP DN yang bersangkutan sesuai dengan ketentuan Peraturan

Pemerintah No. 9 Tahun 2021 tentang Perlakuan Perpajakan Untuk Mendukung
Kemudahan Berusaha.
5. Pemegang saham Perseroan dapat memperoleh konfirmasi pembayaran dividen melalui
perusahaan efek dan atau bank kustodian dimana Pemegang saham Perseroan
membuka rekening efek, selanjutnya pemegang saham Perseroan wajib bertanggung
jawab melakukan pelaporan penerimaan dividen termaksud dalam pelaporan pajak pada
tahun pajak yang bersangkutan sesuai peraturan perundang-undangan perpajakan yang
berlaku.
6. Bagi Pemegang Saham yang merupakan Wajib Pajak Luar Negeri yang pemotongan
pajaknya akan menggunakan tarif berdasarkan Persetujuan Penghindaran Pajak
Berganda (“P3B”) wajib memenuhi persyaratan Peraturan Direktur Jenderal Pajak No.
PER-25/PJ/2018 tentang Tata Cara Penerapan Persetujuan Penghindaran Pajak
Berganda serta menyampaikan dokumen bukti rekam atau tanda terima DGT/SKD yang
telah diunggah ke laman Direktorat Jenderal Pajak kepada KSEI atau BAE dengan
tenggat waktu sesuai peraturan dan ketentuan KSEI, tanpa adanya dokumen dimaksud,
dividen tunai yang dibayarkan akan dikenakan PPh Pasal 26 sebesar 20%.

D. Mechanism Meeting Decision Making
Referring to the quorum provisions in OJK Regulation Number 15/POJK.04/2020 concerning
the Planning and Implementation of General Meetings of Shareholders of Public Companies
(“POJK 15”) and the Company's Articles of Association, decisions are taken based on

deliberation to reach consensus. If a decision based on deliberation to reach a consensus is
not reached, then the decision is taken based on voting. The voting mechanism for making
decisions at the Meeting is as follows:

Agenda Items are that the Meeting is attended by Shareholders or their authorized Proxies
who together represent more than 1/2 (one half) of the total number of shares with valid
voting rights. Decisions must be approved by Shareholders or their authorized Proxies who

rights who are present at the Meeting.

2. Matters that require the attention of the Board of
Commissioners and Directors of BNI to improve future
performance include the following:
a. To anticipate global economic conditions in 2025 with
the potential for inflationary pressures and tightening
global monetary policy with increasingly limited fiscal
space, the Company must establish a more selective
credit distribution strategy, implement sustainable
credit risk management, and optimize liquidity
management;
b. The Company should strive to increase interest
income, including optimizing credit distribution in the
top-tier corporate segment that shows good
performance while maintaining prudent risk
management in accordance with the Company's focus
on the low-risk segment. In addition, the Company is
expected to evaluate its pricing strategy in response
to the decline in blended loan yield year on year, as
well as strengthen its risk mitigation strategy in the
small credit segment to support sustainable growth;
c. Strengthening the Cost of Fund (CoF) management
strategy through a gradual reduction in the special
rate of current account and deposit products,
especially for institutional and corporate funds. In
addition, the Company is expected to increase the
proportion of low-cost retail funds, including by
optimizing the Wondr by BNI application, which is
expected to strengthen the CASA proportion and
support sustainable cost efficiency.
d. The Company needs to continue to improve credit
quality, strengthen operating expense efficiency
strategies, and optimize other operating income from
fee-based income, loan recovery, and others in order

to reduce the impact of increasing interest expenses
on the Company's profitability;
e. The Company needs to encourage steps to improve
the performance of its subsidiaries by increasing
revenue in order to optimize net profit contributions

through superior quality financial products and
services so that it is expected to be able to become a
one-stop digital platform solution for customers and
maintain financial transactions of customers in each
segment within the BNI financial ecosystem;
g. The decreasing reserves are reflected in the
decreasing NPL Coverage and LaR Coverage; the
Company must maintain the Company's ability to
handle problematic loans and ensure the adequacy of
the Company's reserves to ensure the bank's ability to
face credit risk;
h. In connection with the increasing role of information
technology in the banking industry and the
increasingly massive hacking efforts and cyber
security disruptions that have a very massive impact
on operations, finances, and reputation, the Company
is expected to strengthen its cyber security in terms of
policy, infrastructure, operating systems, and risk
mitigation;
i. In order to promote the principle of sustainable
finance, the Company must maintain its commitment
to developing ESG initiatives, including through the
Company's work program, credit distribution, and
issuance of debt securities based on the principle of
green financing. In addition, the implementation of
ESG initiatives must be aligned with the direction of
the government's program focus in the context of
national economic recovery and development;
j. The Company must continue to commit to making
improvements in the implementation of the Anti-Fraud
Strategy in each of its pillars and not give tolerance
(zero tolerance) to any form of fraud, both internal and
external;
k. As an effort to improve the quality, efficiency, and
reliability of financial management, the Company must
accelerate the implementation of all management
information systems that support the financial

ninety-eight million five hundred nineteen thousand four hundred thirteen point seven zero
Rupiah) as follows:
1. 65% (sixty-five percent) or an amount of Rp13,951,339,037,618.90 (thirteen trillion nine
hundred fifty-one billion three hundred thirty-nine million thirty-seven thousand six hundred
eighteen point nine zero Rupiah) or an amount of Rp374.05748422250 (three hundred
seventy-four point zero five seven four eight four two two two five zero Rupiah) per share
is determined as Cash Dividend. The payment is carried out with the following provisions:
a. Dividends of the Republic of Indonesia's share of Rp8,370,803,422,720.61 (eight
trillion three hundred seventy billion eight hundred three million four hundred twenty-
two thousand seven hundred twenty point six one rupiah) are paid to an account
designated by the Minister of SOEs.
b. Dividends for the 2024 Financial Year are paid proportionally to each Shareholder
whose name is recorded in the Shareholders Register on the recording date.
c. The Board of Directors is given the power and authority with the right of substitution to
carry out:
i. Determination of the schedule and procedures for distribution related to Dividend
Payments for the 2024 Financial Year in accordance with the provisions of laws
and regulations.
ii. Dividend tax deductions in accordance with applicable Tax Regulations.
iii. Other technical matters in accordance with the provisions of laws and regulations.

1. Approve the buyback of the Company's issued and listed shares on the Indonesia Stock
Exchange in a maximum amount of Rp1,500,000,000,000,—(one trillion five hundred
billion Rupiah), including costs related to the buyback of shares by considering the permits
and provisions of laws and regulations.
2. Approve the transfer of shares from the buyback that is stored as treasury stock for the
implementation of the Employee Stock Ownership Program and/or the Board of Directors
and Board of Commissioners who meet the requirements to own shares of the Company
and/or for other transfers in accordance with the approval of the OJK and provisions of
laws and regulations.
3. Grant power and authority to implement the buyback of the Company's shares, including
the termination of its implementation, to the Board of Directors of the Company while still
considering the provisions of laws and regulations.
4. Approve the granting of power and authority to implement the transfer of shares from the
Buyback that are stored as treasury stock to:
a. The Company's Board of Directors for the Employee Stock Ownership Program and/or

10. Members of the Board of Directors and Board of Commissioners who are appointed as
referred to in point 6 who are still holding other positions which are prohibited by laws and
regulations from being held concurrently with the position of Director and Board of
Commissioners of a State-Owned Enterprise, then the person concerned must resign or
be dismissed from said position.
11. Granting power of attorney with the right of substitution to the Company's Board of
Directors to state the decisions of this GMS in the form of a Notarial Deed and to appear
before a Notary or authorized official, and to make adjustments or improvements as
necessary if required by the authorized party for the purposes of implementing the
contents of the meeting's decisions.
I. Timetable Distribution and Payment Procedures Dividend Cash 2024 Financial Year
In connection with the decision of the Meeting in the Second Agenda of the Meeting, it has
decided to make a dividend payment from the Company's net profit for the 2024 Financial Year

amounting to Rp13,951,339,037,618.90 (65% of the Company's net profit for the 2024
Financial Year) or at least Rp374.05748422250 per share to be distributed to the Company's
Shareholders. The Schedule and Procedures for Distribution of Cash Dividends for the 2024

Procedures for Distribution of Cash Dividends:
1. Cash Dividends will be distributed to Shareholders whose names are recorded in the
Company's Shareholders Register ("DPS") or Recording Date and/or the Company's
shareholders in the securities sub-account at PT Kustodian Sentral Efek Indonesia
("KSEI") at the close of trading on April 16, 2025.
2. For Shareholders whose shares are included in KSEI's collective custody, cash dividend
payments will be made through KSEI and will be distributed on April 25, 2025, into the
Customer Fund Account ("RDN") at the securities company and/or Custodian Bank where
the Shareholder opens a securities account. Meanwhile, for shareholders whose shares
are not included in KSEI's collective custody, the cash dividend payment will be
transferred to the shareholders' account.
3. The Cash Dividends will be subject to tax in accordance with applicable tax laws and
regulations.
4. Based on the applicable tax laws and regulations, the cash dividends will be exempted
from taxation if received by domestic corporate taxpayer shareholders (“DN Corporate
Taxpayers”), and the Company does not withhold Income Tax on the cash dividends
paid to the said Domestic Corporate Taxpayers. Cash dividends received by domestic
individual taxpayer shareholders (“DN Taxpayers”) will be exempted from taxation as
long as the dividends are invested in the territory of the Republic of Indonesia. For
Domestic Taxpayers who do not meet the investment requirements as stated above, the
Cash Dividends received by the person concerned will be subject to income tax (“PPh”)
in accordance with the applicable laws and regulations. The PPh must be paid by the
relevant Domestic Taxpayers themselves in accordance with the provisions of
Government Regulation No. 9 of 2021 concerning Tax Treatment to Support Ease of
Doing Business.

5. The Company's shareholders can obtain confirmation of dividend payments through
securities companies and/or custodian banks where they open securities accounts.
Furthermore, the Company's shareholders are required to report the receipt of dividends,
including in tax reporting for the relevant tax year, in accordance with applicable tax laws
and regulations.
6. For Shareholders who are Foreign Taxpayers whose tax deductions will use rates based
on the Double Tax Avoidance Agreement (“P3B”), they must fulfill the requirements of
the Regulation of the Director General of Taxes No. PER-25/PJ/2018 concerning
Procedures for Implementing the Double Tax Avoidance Agreement and submit proof of
record documents or receipts of DGT/SKD that have been uploaded to the Directorate
General of Taxes website to KSEI or BAE within the deadline according to KSEI
regulations and provisions, without the said documents, cash dividends paid will be
subject to Article 26 Income Tax of 20%.
