Uraian Informasi atau Fakta Material 1. Biro Klasifikasi Indonesia (BKI) merupakan Perusahaan
Induk Operasional (Holding Operasional) sebagaimana diatur
dalam Undang-Undang Nomor 1 Tahun 2025 tentang
Perubahan Ketiga atas Undang-Undang Nomor 19 Tahun
2023 tentang Badan Usaha Milik Negara yang seluruh
sahamnya dimiliki oleh Negara RI melalui Menteri Badan
Usaha Milik Negara dan Badan Pengelola Investasi Daya
Anagata Nusantara atau Danantara.
2. Pengalihan kepemilikan saham PT Pelabuhan Indonesia
(Persero) yang dimiliki oleh Negara RI kepada Biro Klasifikasi
Indonesia dilakukan berdasarkan keputusan yang tertuang
dalam Surat No. S-214/MBU/03/2025 tanggal 22 Maret 2025
hal: Persetujuan Pengalihan Saham PT Pelabuhan Indonesia
(Persero).
3. Sehubungan dengan Pengalihan tersebut, maka Pemegang
Saham Perseroan adalah Negara Republik Indonesia dan Biro
Klasifikasi Indonesia.
Dampak kejadian, informasi atau fakta 1. Pengalihan seluruh saham seri B milik Negara Republik
material tersebut terhadap kegiatan Indonesia pada Perseroan kepada PT Biro Klasifikasi
operasional, hukum, kondisi keuangan, Indonesia (Persero) untuk dijadikan sebagai tambahan
atau kelangsungan usaha Emiten atau penyertaan modal Negara Republik Indonesia pada PT Biro
Perusahaan Publik Klasifikasi Indonesia (Persero) sebanyak 40.575.583 (empat
puluh juta lima ratus tujuh puluh lima ribu lima ratus delapan
puluh tiga) lembar saham dengan nilai sementara sesuai
Peraturan Pemerintah Nomor 15 Tahun 2025 senilai
Rp40.575.583.000.000,00 (empat puluh triliun lima ratus tujuh
puluh lima miliar lima ratus delapan puluh tiga juta rupiah)
dengan masing-masing saham bernilai nominal
Rp1.000.000,00 (satu juta rupiah).
2. Pengalihan tidak mengubah status Perseroan yang tetap
sebagai Badan Usaha Milik Negara berdasarkan UU BUMN.

Description of Material Information or 1. Biro Klasifikasi Indonesia (BKI) is an Operational Holding
Facts Company as regulated in Law Number 1 of 2025 concerning
the Third Amendment to Law Number 19 of 2023 concerning
State-Owned Enterprises whose shares are entirely owned by
the Republic of Indonesia through the Minister of State-Owned
Enterprises and the Daya Anagata Nusantara Investment
Management Agency or Danantara.
2. The transfer of ownership of shares of PT Pelabuhan
Indonesia (Persero) owned by the Republic of Indonesia to
Biro Klasifikasi Indonesia is carried out based on the decision
stated in Letter No. S-214/MBU/03/2025 dated March 22, 2025
regarding: Approval of Transfer of Shares of PT Pelabuhan
Indonesia (Persero).
3. Refer to the Transfer, the Shareholders of the Company are
the Republic of Indonesia and Biro Klasifikasi Indonesia.
Impact of event, material information or 1. Transfer of all series B shares owned by the Republic of

2. The transfer does not change the status of the Company
which remains as a State-Owned Enterprise under the State-
Owned Enterprise Law.
