Uraian Informasi atau Fakta Material Berdasarkan Pengumuman Bursa Efek Indonesia, perihal:
Penghentian Sementara Perdagangan Efek mengenai Sanksi
Pemenuhan Saham Free Float per 31 Desember 2024 Nomor:
Peng-S- 00003/BEI.PLP/01-2025, Perseroan (SMCB)
mendapatkan sanksi penghentian sementara perdagangan
efek terkait dengan pemenuhan saham free float per tanggal
31 Januari 2025.
Sebagai bagian dari grup Badan Usaha Milik Negara (BUMN),
Perseroan dalam melakukan kajian atas opsi pemenuhan
ketentuan saham free float senantiasa memperhatikan
kepentingan seluruh pemegang saham, prinsip kehati-hatian,
serta ketentuan peraturan perundang-undangan yang berlaku.
Adapun dalam rangka pemenuhan ketentuan saham free float
tersebut, Perseroan bersama
dengan PT Semen Indonesia (Persero) Tbk (SIG) selaku
pemegang saham pengendali saat ini sedang melakukan
kajian atas beberapa opsi pemulihan, yang antara lain
mencakup namun tidak terbatas pada opsi, antara lain:
1. Voluntary delisting;
2. Penerbitan saham baru dengan Hak Memesan Efek
Terlebih Dahulu (HMETD);
3. Secondary Offering melalui penjualan saham
eksisting SIG kepada public
4. serta opsi lainnya yang dimungkinkan sesuai dengan
ketentuan yang berlaku.
Dimana seluruh opsi tersebut masih berada dalam tahap
kajian dan pertimbangan awal, serta belum merupakan
keputusan maupun komitmen Perseroan untuk melaksanakan
aksi korporasi tertentu.
Sehubungan dengan hal tersebut, Perseroan dan pemegang
saham pengendali juga melakukan koordinasi dengan
pemangku kepentingan terkait guna memastikan bahwa setiap
opsi yang dikaji dilakukan secara akuntabel, prudent, dan
sejalan dengan prinsip tata kelola perusahaan yang baik.
Kepatuhan terhadap arahan BPI Danantara No. S-027/DI-
BP/V/2025 tanggal 5 Mei 2025 merupakan prasyarat dalam
proses tersebut guna memastikan tidak adanya risiko kerugian
negara sebelum langkah teknis lebih lanjut dapat dilakukan.
Adapun arahan BPI Danantara salah satunya mengatur bahwa
Seluruh Kegiatan Aksi Korporasi wajib terlebih dahulu
mendapatkan kajian menyeluruh dari BPI Danantara dan
Holding Operation.
Sehingga berdasarkan hal tersebut, Perseroan dan pemegang
saham pengendali secara aktif melakukan proses koordinasi
dan tata kelola yang diperlukan untuk memperoleh
persetujuan dan arahan sesuai dengan ketentuan yang
berlaku.
Perseroan telah menyusun kerangka tahapan pemulihan yang
bersifat indikatif (indicative recovery pathways) sebagai bagian
dari proses kajian pemenuhan ketentuan saham free float,
yang pelaksanaannya akan bergantung pada hasil kajian
lanjutan serta persetujuan dan arahan pemegang saham
pengendali sesuai dengan ketentuan yang berlaku
(sebagaimana dijabarkan dalam Lampiran 2 Indicative

Recovery Pathways).
Dampak kejadian, informasi atau fakta -Dampak yang terjadi saat ini adalah penghentian sementara
material tersebut terhadap kegiatan perdagangan saham Perseroan di pasar reguler dan pasar
operasional, hukum, kondisi keuangan, tunai Bursa Efek Indonesia.

Description of Material Information or Based on the Indonesian Stock Exchange Announcement,
Facts regarding: Temporary Suspension of Securities Trading
regarding Sanctions for Fulfillment of Free Float Shares as of
31 December 2024" Number: Peng-S-00003/BEI.PLP/01-
2025, Perseroan (SMCB) received a temporary suspension of
securities trading related to the fulfillment of free float shares
as of 31 January 2025.
As part of the State-Owned Enterprises (BUMN) group, the
Company, in conducting studies on options for fulfilling free
float share provisions, always pays attention to the interests of
all shareholders, the principle of prudence, and the provisions
of applicable laws and regulations.
In order to fulfill the free float share provisions, the Company
together with PT Semen Indonesia (Persero) Tbk (SIG) as the
controlling shareholder is currently conducting a review of
several recovery options, which include but are not limited to
the option of:
1. Voluntary delisting;
2. Issuance of new shares with Pre-emptive Rights
(HMETD);
3. Secondary Offering through the sale of SIGs existing
shares to the public
4. and other options permitted under applicable
regulations.
All of these options are still in the initial review and
consideration stage, and do not constitute a decision or
commitment by the Company to carry out certain corporate
actions.
In this regard, the Company and its controlling shareholders
are also coordinating with relevant stakeholders to ensure that
each option under review is conducted accountably, prudently,
and in line with good corporate governance principles.
Compliance with BPI Danantaras directive No. S-027/DI-
BP/V/2025 dated May 5, 2025, is a prerequisite for this
process to ensure there is no risk of state losses before further
technical steps can be taken.
One of the directives from BPI Danantara stipulates that all
Corporate Action Activities must first receive a comprehensive
review from BPI Danantara and Holding Operations.
Therefore, based on this, the Company and its controlling
shareholders actively carry out the coordination and
governance processes necessary to obtain approval and
direction in accordance with applicable provisions.
The Company has prepared an indicative recovery pathway
framework as part of the review process for compliance with
the free float share provisions, the implementation of which will
depend on the results of further reviews and the approval and
direction of the controlling shareholder in accordance with
applicable provisions (as outlined in Attachment 2 ( Indicative
Recovery Pathways).
