Uraian Informasi atau Fakta Material 1. Pengalihan kepemilikan 48.533.333.333 Saham Seri B
Perseroan atau 52,00 % (lima puluh dua persen) dari seluruh
saham yang telah dikeluarkan dan disetor penuh Perseroan
melalui mekanisme inbreng yang dilaksanakan Negara
Republik Indonesia pada BKI (Pengalihan).
2. PT Biro Klasifikasi Indonesia (Persero) merupakan
Perusahaan Induk Operasional (Holding Operasional)
sebagaimana diatur dalam UUBUMN.
3. Pengalihan saham milik Negara RI sebagaimana Akta
Inbreng tersebut merupakan pelaksanaan peraturan
perundang-undangan, yaitu UUBUMN dan PP 15/2025.
4. Sehubungan dengan Pengalihan dimaksud, susunan
kepemilikan saham Perseroan per tanggal 24 Maret 2025
sebagaimana Surat Keterangan BAE (terlampir).
Dampak kejadian, informasi atau fakta 1. Negara RI tetap sebagai Pemegang Saham Pengendali
material tersebut terhadap kegiatan Perseroan (Ultimate Beneficial Owner) melalui kepemilikan
operasional, hukum, kondisi keuangan, langsung 1 saham Seri A Dwiwarna dengan hak istimewa oleh
atau kelangsungan usaha Emiten atau Menteri BUMN.

2. Pengalihan tidak mengubah status Perseroan yang tetap
sebagai Badan Usaha Milik Negara.

Transfer of ownership of Series B Shares of the Company
Type of Material Information or Facts owned by the Republic of Indonesia to PT Biro Klasifikasi
Indonesia (Persero)
Description of Material Information or 1. Transfer of ownership of 48,533,333,333 Series B Shares of
Facts the Company or 52.00% (fifty two percent) of all shares that
have been issued and fully paid up by the Company through
the inbreng mechanism implemented by the Republic of
Indonesia at (BKI) ("Transfer").
2. PT Biro Klasifikasi Indonesia (Persero) is an Operational
Holding Company (Operational Holding) as regulated in the
UUBUMN.
3. The transfer of shares owned by the Republic of Indonesia
as stated in the Inbreng Deed is the implementation of laws
and regulations, namely the UUBUMN and PP 15/2025.
4. In connection with the Transfer in question, the composition
of the Company's share ownership as of March 24, 2025 as
per the Statement Letter (attached)
Impact of event, material information or 1. The Republic of Indonesia remains the Company's
facts towards Issuers or Public Controlling Shareholder (Ultimate Beneficial Owner) through
Company’s operational activities, legal, direct ownership of 1 Series A Dwiwarna share with special
financial condition, or going concern rights by the Minister of State-Owned Enterprises.
2. The transfer does not change the status of the Company,
which remains a State-Owned Enterprise.
