Uraian Informasi atau Fakta Material Berdasarkan PP 15/2025 tersebut, Negara Republik Indonesia
c.q Kementerian BUMN selaku pemegang saham seri A
dwiwarna sekaligus pemegang saham mayoritas dari
Perseroan mengalihkan 3.457.023.004 (tiga milyar empat
ratus lima puluh tujuh juta dua puluh tiga ribu empat) lembar
saham seri B atau sebesar 51,20% (lima puluh satu koma dua
nol persen) dari seluruh saham yang telah dikeluarkan dan
disetor penuh Perseroan kepada PT Biro Klasifikasi Indonesia
(Persero)

Dampak kejadian, informasi atau fakta Dengan kepemilikan saham Pemerintah Republik Indonesia
material tersebut terhadap kegiatan pada PT Semen Indonesia (Persero) Tbk sebesar 51,20%
operasional, hukum, kondisi keuangan, (lima puluh satu koma dua nol persen) yang dialihkan kepada
atau kelangsungan usaha Emiten atau PT Biro Klasifikasi Indonesia (Persero), dan Negara Republik
Perusahaan Publik Indonesia c.q Kementerian BUMN tetap memiliki saham seri A
Dwiwarna pada Perseroan, maka pelaksanaan pengalihan
saham seri B tersebut di atas tidak mengubah atau
menghilangkan kendali Negara Republik Indonesia pada
Perseroan, dimana semula dilakukan melalui pemilikan
langsung menjadi pemilikan tidak langsung melalui PT Biro
Klasifikasi Indonesia (Persero)
Dengan demikian, tidak terdapat dampak yang bersifat
material terhadap kegiatan operasional, hukum, kondisi
keuangan, atau kelangsungan usaha Perseroan.

Ownership transfer of 3,457,023,004 (three billion four

Description of Material Information or Based on Government Regulation (PP) 15/2025, the Republic
Facts of Indonesia, represented by the Ministry of State-Owned
Enterprises (BUMN), as the holder of the Series A Dwiwarna
share and the majority shareholder of the Company,
transferred 3,457,023,004 (three billion four hundred fifty-
seven million twenty-three thousand four) Series B shares,
equivalent to 51.20% (fifty-one point two zero percent) of the
total issued and fully paid shares of the Company, to PT Biro
Klasifikasi Indonesia (Persero).
Impact of event, material information or The Government of Republik Indonesia holds a 51.20% (fifty-
facts towards Issuers or Public one point two zero percent) share ownership in PT Semen
Company’s operational activities, legal, Indonesia (Persero) Tbk which has been transferred to PT Biro
financial condition, or going concern Klasifikasi Indonesia (Persero), and the Republic of Indonesia,
represented by the Ministry of State-Owned Enterprises
(BUMN) continues to hold the Series A Dwiwarna share in the
Company, thus, the execution of the aforementioned transfer
of Series B shares does not alter or eliminate the control of the
Republic of Indonesia over the Company. Instead, the control
shifts from direct ownership to indirect ownership through PT
Biro Klasifikasi Indonesia (Persero).
Therefore, there is no material impact on the Company's
operational activities, legal standing, financial condition, or
business continuity.
