berdasarkan Peraturan Pemerintah PP No. 15
Tahun 2025 tanggal 21 Maret 2025 tentang
Penambahan Penyertaan Modal Negara
Republik Indonesia ke dalam Modal Saham
Perusahaan Perseroan (Persero) PT Biro
Klasifikasi Indonesia untuk Pendirian Holding
Operasional (“PP 15/2025”).
Type of Material The transfer of ownership of 5,080,509,839
Facts or Information Series B shares, representing 70.00% of the total
issued and fully paid-up shares of the Company,
was carried out through an in-kind process by the
Republic of Indonesia to PT Biro Klasifikasi
Indonesia (Persero) (“BKI”) pursuant to
Government Regulation No. 15 of 2025 on
Addition of the State Capital Participation of the
Republic of Indonesia into the Share Capital of
Perusahaan Perseroan (Persero) PT Biro
Klasifikasi Indonesia for the Establishment of
Operational Holding (“GR 15/2025”).
3. Uraian Informasi Pengalihan saham tersebut telah dilaksanakan
atau Fakta Material berdasarkan Akta Inbreng No. 121 tanggal 22
Maret 2025 dibuat di hadapan Josedima Satria
SH, Mkn, Notaris di Jakarta, yang ditandatangani
oleh Negara Republik Indonesia dan BKI.

Description of The shares transfer was executed pursuant to
Material Facts or Deed of In-Kind Contribution No. 121 dated 22
Information March 2025, drawn up before Josedima Satria,
SH, MKn, a Notary in Jakarta, and signed by the
Republic of Indonesia and BKI.
4. Dampak kejadian, Pengalihan saham Seri B sebagaimana
informasi atau fakta dimaksud mengakibatkan beralihnya
material terhadap kepemilikan saham Seri B Negara pada
kegiatan Perseroan kepada BKI, sehingga saham Seri B
operasional, hukum, yang mewakili 70,00% kepemilikan saham pada
kondisi keuangan, Perseroan dimiliki oleh BKI sesuai dengan Daftar
atau kelangsungan Pemegang Saham Perseroan yang disusun oleh
usaha Emiten atau PT Datindo Entrycom selaku Biro Administasi
Perusahaan Publik Efek Perseroan per tanggal 24 Maret 2025 yang
dilampirkan di bawah ini.
Dengan kepemilikan saham Negara Republik
Indonesia pada BKI sebesar 100% dan
kepemilikan saham istimewa Perseroan yakni
saham Seri A Dwiwarna dalam Perseroan maka
pelaksanaan pengalihan saham tersebut tidak
mengubah pengendalian Negara Republik
Indonesia pada Perseroan, di mana semula
dilakukan melalui kepemilikan langsung menjadi
kepemilikan tidak langsung melalui BKI.

condition, or going Entrycom as the Company’s Share Registrar as
concern of 24 March 2025, which is attached below.
With the Republic of Indonesia holding 100%
ownership of BKI and the Company’s special
share ownership in the form of a Series A
Dwiwarna share, the execution of this share
transfer does not change the Republic of
Indonesia’s control over the Company, which
was previously exercised through direct
ownership, is now exercised indirectly through
BKI.
