II XL Axiata Tahap I Tahun 2018, baik langsung maupun tidak langsung, oleh Axiata
Investments (Indonesia) Sdn Bhd (AII) dan/atau pihak Afiliasi dari Axiata Group lainnya,
tetap merupakan pemegang saham mayoritas (lebih dari 50% (lima puluh perseratus)) dari
seluruh saham yang dikeluarkan PT XL Axiata Tbk selaku Emiten dari waktu ke waktu. (2)
Persetujuan perubahan Perjanjian Perwaliamanatan Sukuk Ijarah Berkelanjutan II XL Axiata
Tahap I Tahun 2018, Akta No. 05, tanggal 1 Agustus 2018, yang dibuat di hadapan Ir.
Nanette Cahyanie Handari Adi Warsito, S.H., Notaris di Jakarta, berikut
perubahanperubahannya, pada Komparisi, Premis, Pasal 1, Pasal 13, Pasal 15, dan
Pasal/ketentuan lainnya yang terkait (apabila ada), serta perjanjian lainnya yang berkaitan
dengan Perjanjian Perwaliamanatan (apabila ada), sehubungan dengan adanya rencana
perubahan nama PT XL Axiata Tbk selaku Emiten.

connection with the proposed changes to the obligation of PT XL Axiata Tbk as the Issuer
to maintain the ownership of shares that have been issued and paid in by PT XL Axiata Tbk
as the Issuer of Shelf-Registered Sukuk Ijarah II XL Axiata Phase I Year 2018, whether
directly or indirectly, by Axiata Investments (Indonesia) Sdn Bhd (AII) and/or other Affiliates
of the Axiata Group, ensuring they remain the majority shareholder (more than 50% (fifty
percent)) of all shares issued by PT XL Axiata Tbk as the Issuer from time to time. (2)
Approval of amendments to the Trust Deed for the Shelf-Registered Sukuk Ijarah II XL
Axiata Phase I Year 2018, Deed No. 05, dated August 1, 2018, made before Ir. Nanette
Cahyanie Handari Adi Warsito, S.H., Notary in Jakarta, along with its amendments,
specifically on the Comparisons, Premises, Article 1, Article 13, Article 15, and other
relevant articles/provisions (if any), as well as other agreements related to the Trust Deed
(if any), in connection with the proposed change of the name of PT XL Axiata Tbk as the
Issuer.
