the authorized capital as well as the issued and fully paid-up capital of the
Company’s Subsidiary, PT Samudera Sejahtera Shipping (“SSS”).
3. Uraian Informasi atau Fakta Material/ Pada tanggal 29 Juni 2026, SSS telah melakukan peningkatan modal
Description of Information or Material dasar serta modal ditempatkan dan disetor penuh menjadi masing-masing
Facts sebesar Rp150.000.000.000,- (seratus lima puluh miliar Rupiah) dan
Rp65.000.000.000,- (enam puluh lima miliar Rupiah) dengan menerbitkan
saham baru sebanyak 6.490.000 (enam juta empat ratus sembilan puluh ribu)
saham, sehingga seluruhnya bernilai nominal sebesar Rp64.900.000.000,-
(enam puluh empat miliar sembilan ratus juta Rupiah) yang diambil bagian
seluruhnya oleh Perseroan./ On June 29, 2026, SSS increased its authorized
capital and issued and fully paid-up capital to IDR150,000,000,000.-
(one hundred fifty billion Rupiah) and IDR65,000,000,000.- (sixty-five billion
Rupiah), respectively, through the issuance of 6,490,000 (six million four
hundred ninety thousand) new shares with a total nominal value of
IDR64,900,000,000.- (sixty-four billion nine hundred million Rupiah), all of
which were subscribed for by the Company.

Transaksi ini merupakan transaksi afiliasi sebagaimana dimaksud dalam
POJK No.42/POJK.04/2020 tentang Transaksi Afiliasi dan Transaksi
Benturan Kepentingan. Selain itu, transaksi ini juga termasuk transaksi
material sebagaimana dimaksud dalam POJK No.17/POJK/04/2020 tentang
Transaksi Material dan Perubahan Kegiatan Usaha (“POJK 17/2020”).
Berdasarkan ketentuan Pasal 33 POJK 17/2020, dalam hal transaksi material
juga merupakan transaksi afiliasi, maka Perseroan hanya wajib memenuhi
ketentuan dalam POJK 17/2020./ This transaction constitute an affiliated
transaction as referred to in POJK No.42/POJK.04/2020 concerning Affiliated
Transactions and Conflict of Interest Transactions. In addition, this transaction
also qualifies as a material transaction as referred to in POJK
No.17/POJK.04/2020 on Material Transactions and Changes in Business
Activities (“POJK 17/2020”). Pursuant to Article 33 of POJK 17/2020, in the
event that a material transaction also constitutes an affiliated transaction, the
Company is only required to comply with the provisions of POJK 17/2020.
Lebih lanjut, mengingat SSS merupakan entitas yang dikendalikan oleh
Perseroan, dimana Perseroan memiliki 99,9% (sembilan puluh sembilan
koma sembilan persen) saham, maka merujuk pada Pasal 11 POJK 17/2020,
transaksi ini termasuk sebagai transaksi material yang dikecualikan dari
beberapa persyaratan, termasuk kewajiban mendapatkan pendapat
kewajaran dan persetujuan Rapat Umum Pemegang Saham./ Furthermore,
considering that SSS is an entity controlled by the Company, in which the
Company holds 99.9% (ninety-nine point nine percent) of the shares, pursuant
to Article 11 of POJK 17/2020, this transaction constitutes a material
transaction that is exempt from certain requirements, including the obligation
to obtain a fairness opinion and the approval of the General Meeting of
Shareholders.
4. Dampak kejadian, informasi atau fakta Penyertaan modal oleh Perseroan kepada SSS akan digunakan
material tersebut terhadap kegiatan semata-mata untuk mendukung kegiatan usaha SSS, termasuk tetapi tidak
operasional, hukum, kondisi keuangan, terbatas pada pengembangan bisnis, biaya operasional sehari-hari,
atau kelangsungan usaha Emiten atau kebutuhan modal kerja, dan biaya dukungan operasional lainnya.
Perusahaan Publik/ Impact of the Events, SSS diharapkan dapat memberikan kontribusi terhadap performa keuangan
information or material facts on the Perseroan./ The capital injection by the Company into SSS will be used solely
operational activities, law, financial to support SSS’s business activities, including but not limited to business
condition, or business continuity of the development, day-to-day operational costs, working capital requirements, and
Issuer or Public Company other operational support costs. SSS is expected to contribute to the
Company's financial performance.
