Memenuhi ketentuan pelaporan berdasarkan Peraturan Otoritas Jasa Keuangan No.42/POJK.04/2020 ( POJK 42/2020 )
tentang Transaksi Afiliasi dan Transaksi Benturan Kepentingan, bersama ini kami menyampaikan laporan transaksi
afiliasi sebagai berikut:
Obyek Transaksi
Pada tanggal 14 Maret 2025, PT Allo Bank Indonesia Tbk ( Perseroan ) dengan PT Bank Mega Tbk telah
menandatangani Perjanjian Sewa Menyewa Nomor 005/PRFS/2025, Nomor 010/ADD/III/2025 (untuk selanjutnya
disebut Perjanjian) untuk perpanjangan masa sewa lahan reklame pada facade Gedung Menara Bank Mega, beralamat
di Jalan Kapten P. Tendean No. 12-14A, Desa/Kelurahan Mampang Prapatan, Kecamatan Mampang Prapatan, Kota
Administrasi Jakarta Selatan, Provinsi DKI Jakarta, selama periode 3 tahun mendatang sampai dengan tanggal 14
Maret 2028 dan dapat diperpanjang dengan syarat dan ketentuan yang ditentukan kemudian.
Nilai Transaksi
Nilai transaksi atas penyewaan ruangan tersebut sebesar Rp 528.741.000,- (Lima ratus dua puluh delapan juta tujuh
ratus empat puluh satu ribu rupiah) belum termasuk PPN
Dengan memperhatikan modal disetor Perseroan per tanggal 30 Juni 2023 yang tercatat sebesar
Rp2.173.025.644.200,00 (dua triliun seratus tujuh puluh tiga miliar dua puluh lima juta enam ratus empat puluh empat
ribu dua ratus rupiah), maka total transaksi sebesar Rp 528.741.000,- tidak melebihi 0,5% dari modal disetor Perseroan
atau tidak melebihi jumlah maksimal Rp5.000.000.000,00 (lima miliar rupiah) sebagaimana yang diatur dalam POJK
No.42/2020. Dengan demikian Perseroan hanya wajib melaporkan kepada Otoritas Jasa Keuangan paling lambat akhir
hari kerja ke-2 (kedua) setelah terjadinya transaksi.

Hariantono Sifat Hubungan Afiliasi dengan Perseroan Transaksi antara Perseroan dengan PT Bank Mega Tbk dikategorikan sebagai transaksi afiliasi sebagaimana dimaksud dalam POJK 42/2020, karena Perseroan dan PT Bank Mega Tbk dikendalikan secara langsung oleh pihak yang sama yaitu PT Mega Corpora. Alasan dan Latar Belakang Sebagai anggota KUB dari PT Bank Mega Tbk, Perseroan melihat bahwa sinergi dan efisiensi dapat lebih ditingkatkan dalam pelayanan terpadu dalam satu atap, hal ini tentunya dapat lebih meningkatkan pelayanan terhadap nasabah, selain itu upaya tersebut diharapkan akan memberikan manfaat dari sisi finansial terhadap Perseroan. Untuk transaksi yang sama apabila dilakukan dengan pihak yang tidak terafiliasi tidak akan menghasilkan manfaat yang sama bilamana transaksi dilakukan dengan pihak terafiliasi mengingat adanya faktor sinergi dan sisi finansial sehingga dapat tercapainya peningkatan pelayanan nasabah sebagaimana yang diharapkan. Demikian laporan ini disampaikan dalam rangka memenuhi ketentuan POJK 42/2020 tentang Transaksi Afiliasi dan Transaksi Benturan Kepentingan. In compliance with the reporting requirements based on Financial Services Authority Regulation No.42/POJK.04/2020 (
POJK 42/2020 ) concerning Affiliated Transactions and Conflict of Interest Transactions, we hereby submit the following
affiliated transaction report:
Transaction Object
On March 14, 2025, PT Allo Bank Indonesia Tbk ( Company ) with PT Bank Mega Tbk has signed a Lease Agreement
Number 005/PRFS/2025, Number 010/ADD/III/2025 (hereinafter referred to as the Agreement) for the extension of the
rental period of the advertising land on the facade of the Bank Mega Tower Building, located at Jalan Kapten P.
Tendean No. 12-14A, Mampang Prapatan Village/Sub-district, Mampang Prapatan District, South Jakarta Administrative
City, DKI Jakarta Province, for the next 3 years until March 14, 2028 and can be extended with terms and conditions
determined later.
Transaction Value
The transaction value for the rental of the room is IDR 528,741,000,- (Five hundred twenty eight million seven hundred
forty one thousand rupiah) excluding VAT
Considering the Company's paid-up capital as of June 30, 2023, which was recorded at IDR 2,173,025,644,200.00 (two
trillion one hundred seventy three billion twenty five million six hundred forty four thousand two hundred rupiah), the total
transaction of IDR 528,741,000,- does not exceed 0.5% of the Company's paid-up capital or does not exceed a
maximum amount of IDR 5,000,000,000.00 (five billion rupiah) as regulated in POJK No.42/2020. Thus, the Company is
only required to report to the Financial Services Authority no later than the end of the 2nd (second) working day after the
transaction occurs.

Hariantono Nature of Affiliated Relationship with the Company The transaction between the Company and PT Bank Mega Tbk is categorized as an affiliated transaction as referred to in POJK 42/2020, because the Company and PT Bank Mega Tbk are directly controlled by the same party, namely PT Mega Corpora. Reasons and Background As a member of KUB of PT Bank Mega Tbk, the Company sees that synergy and efficiency can be further improved in integrated services under one roof, this can certainly improve customer service, in addition, these efforts are expected to provide financial benefits to the Company. For the same transaction if carried out with an unaffiliated party, it will not produce the same benefits if the transaction is carried out with an affiliated party considering the synergy and financial factors so that the expected increase in customer service can be achieved. This report is submitted in order to comply with the provisions of POJK 42/2020 concerning Affiliated Transactions and Conflict of Interest Transactions.
