Uraian Informasi atau Fakta Material Pada tanggal 28 Februari 2025, telah dilakukan rapat
pemungutan suara (voting) atas Rencana Perdamaian, yang
dilanjutkan dengan Agenda Sidang Permusyawaratan Majelis
Hakim di Pengadilan Niaga pada Pengadilan Negeri Jakarta
Pusat terkait Permohonan Penundaan Kewajiban Pembayaran
Utang ("PKPU") oleh entitas anak Perseroan PT Golden
Harvest Cocoa Indonesia ("PT GHCI"), atas dirinya sendiri
(volunteer) berdasarkan Nomor Perkara
163/Pdt.SusPKPU/2024/PN Niaga.Jkt.Pst ("Perkara 163").
Bahwa berdasarkan agenda pada tanggal 28 Februari 2025,
Perjanjian Perdamaian yang diajukan oleh PT GHCI telah
disetujui oleh seluruh kreditor (separatis dan konkuren) dalam
Rapat Kreditor sehingga telah memenuhi ketentuan
sebagaimana diatur dalam Pasal 28 ayat (1) Undang-Undang
No. 37 tahun 2004 tentang Kepailitan dan PKPU ("UUK").
Setelahnya pada hari yang sama, telah dilakukan pula Sidang
Permusyawaratan Majelis Hakim dengan agenda pembacaan
Putusan Pengesahan Perjanjian Perdamaian (Homologasi)
dalam Perkara 163, yang pada pokoknya mengesahkan
Perjanjian Perdamaian yang telah disetujui oleh para kreditor
PT GHCI.
Dampak kejadian, informasi atau fakta PT GHCI telah mencapai kesepakatan dengan para kreditor
material tersebut terhadap kegiatan sebagaimana dituangkan dalam Perjanjian Perdamaian yang
operasional, hukum, kondisi keuangan, ditandatangani pada tanggal 28 Februari 2025, sehingga
atau kelangsungan usaha Emiten atau karenanya kegiatan usaha dan operasional PT GHCI tetap
Perusahaan Publik berjalan normal.

Voting meeting on the Peace Plan and Agenda of the
Type of Material Information or Facts Consultative Session regarding PKPU by the Company's
subsidiary PT GHCI
Description of Material Information or On February 28, 2025, a voting meeting was held on the
Facts Peace Plan, which was followed by the Agenda of the
Consultative Session of the Panel of Judges at the
Commercial Court at the Central Jakarta District Court
regarding the Application for Suspension of Debt Payment
Obligations ("PKPU") by the Company's subsidiary PT Golden
Harvest Cocoa Indonesia ("PT GHCI"), on himself (volunteer)
based on Case Number 163/Pdt.SusPKPU/2024/PN
Niaga.Jkt.PSt ("Case 163").
That based on the agenda on February 28, 2025, the Peace
Agreement submitted by PT GHCI has been approved by all
creditors (separatists and concurrent) in the Creditors Meeting
therefore it has fulfilled the provisions as stipulated in Article
281 paragraph (1) of Law No. 37 of 2004 concerning
Bankruptcy and PKPU ("UUK").
After that on the same day, a Consultative Session of the
Panel of Judges was also held with the agenda of reading the
Decision on the Ratification of the Peace Agreement
(Homologation) in Case 163, which basically ratified the Peace
Agreement that had been approved by the creditors of PT
GHCI.
Impact of event, material information or PT GHCI has reached an agreement with its creditors as
facts towards Issuers or Public stated in the Peace Agreement signed on February 28 2025,
Company’s operational activities, legal, therefore PT GHCI's business and operational activities
financial condition, or going concern continue to run as usual.
